Subject to the following terms and conditions, Carlisle Roofing Systems, Inc., (CARLISLE) warrants to the Buyer that the
membrane material (MEMBRANE) sold to the Buyer will be free from manufacturing defects at the time of its delivery to the
job site.
If upon inspection by Carlisle, the membrane evidences manufacturing defects, Carlisle's liability and Buyer's remedies are
limited, at Carlisle's option, to the repair or replacement of the defective membrane at the F.O.B. point in the original contract
of sale.
Carlisle further warrants that the Membrane material will not prematurely deteriorate to the point of failure because of
weathering for a period of 10 years from the date of sale if properly installed, maintained and used for the purpose for which
Carlisle intended.
Buyer shall give Carlisle notice of a claim under this warranty within thirty (30) days of discovering the premature
deterioration of the Membrane.
If upon inspection by Carlisle, the Membrane shows premature deterioration because of weathering within the 10 year period
stated herein, Carlisle's liability and Buyer's remedies are limited at Carlisle's option to the providing of repair material for the
original Membrane or credit to be applied towards the purchase of a new Membrane, the value of these remedies being
determined by Carlisle based upon the number of remaining months of the unexpired warranty used to pro -rate at the current
prices for the Membrane. The maximum pro -rated value allowed by Carlisle for repair or credit shall not exceed the original
Membrane purchase price.
This warranty refers to the membrane material only. Flashings, adhesives and other accessories contained in a membrane
system are not covered by this warranty.
Carlisle shall not be responsible for the cleanliness or discoloration of the membrane material caused by environmental
conditions including, but not limited to, dirt, pollutants or biological agents.
NO REPRESENTATIVE OF CARLISLE HAS AUTHORITY TO MAKE ANY REPRESENTATIONS OR PROMISES EXCEPT
AS STATED HEREIN.
THERE ARE NO WARRANTIES EITHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WHICH EXTEND BEYOND THE WARRANTIES
CONTAINED IN THIS DOCUMENT. CARLISLE SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL OR
OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS OR DAMAGES TO THE STRUCTURE OR
ITS CONTENTS ARISING UNDER ANY THEORY OF LAW WHATSOEVER.

In order to pass a final inspection on commercial elastomeric or similar type roofing, a
letter of inspection and approval from the manufacturer technical representative stating
that "the application of the roof at (project address) has been applied in accordance with
the installation instruction for (roof material brand name) roof covering" is required to
be on site at the time of final inspection. Effective December 1, 2014, asphalt shingle
installations require an approved midroof inspection, conducted when 25-75 percent of the
roof covering is installed, prior to final approval. Installation of roof sheathing (new or
overlay) requires an approved inspection prior to installation of ANY roof coverings and is
require on the entire roof when spaced or board sheathing with ANY gap exceeding one half
inch exists. Asphalt shingles are required to be fastened to the roof deck with a minimum
of 6 nails per shingle. A ladder extending 3 feet above the roof eave and secured in place
is required to be provided for all roof inspections. Roof ventilation is required to comply
with applicable codes and/or manufacturer installation instructions, whichever is more
stringent.

ThiS permit shalt expire jf (A) the work authorized is not commenced within sixty (60) days from issue date or (B) the building authorized is suspended or
abandoned. for a period of 120 days.
If this permit expires. a new permit may be acquired for a fee of one-half the amount normally required, provided no changes have been or will be made in the
original plans and specifications and any suspension or abandonment has not exceeded one (1) year. If changes are made or if suspension or abandonment
exceeds one (1) year, full fees shall be paid for a new permit.

RE: Proposal to Perform Asbestos Inspection Services at 4455 Harlan Street in
Wheat Ridge, Colorado 80033 (Project Number 14077.1)
Schafer Environmental Consulting, Inc. (Schafer) is pleased to provide this proposal to
perform Asbestos Inspection Services at 4455 Harlan Street in Wheat Ridge, Colorado
80033 (project site). Schafer is fully licensed, insured and experienced to perform the
proposed scope of work.
Scope of Work
The proposed scope of work for this project includes a limited asbestos inspection of
suspect building materials that may have been impacted by recent renovation activities.
Schafer, a Colorado Certified Asbestos Consulting Firm, Colorado Certified Asbestos
Laboratory and Colorado Certified Lead Evaluation Firm, will provide Environmental
Protection Agency (EPA) and Colorado Department of Public Health and Environment
(CDPHE) certified Asbestos Project Designers, Building Inspectors and Air Monitoring
Specialists to perform the proposed asbestos scope of work in accordance with EPA,
CDPHE and OSHA regulations. Schafer is also an American Industrial Hygiene
Association (AIHA) Proficiency Analytical Testing (PAT) proficient laboratory for the
analysis of Phase Contrast Microscopy (PCM) asbestos air samples (Laboratory ID#
196128).
Schafer will provide alI equipment, supplies and materials to perform bulk sampling.
Bulk samples of the suspect asbestos containing materials (ACM) will be collected in a
random and representative manner, as determined by the inspector in accordance with
applicable regulations. Bulk material samples will be collected by taking a composite
core that includes all layers within the suspect ACM.
Collected bulk samples will be representative of suspect ACM for each homogeneous
area. Samples will be collected in compliance with CDPHE and the EPA Asbestos
Hazard Emergency Response Act (AHERA) 40 CFR, Part 763. Representative sampling
is based on the following criteria:
➢ The distribution of the suspect material throughout the homogeneous area.

➢ The suspect materials physical characteristics and application.
➢ Random sampling patterns determined for each homogeneous area.
The inspection report will include assessment, quantity, location, condition and
description of confirmed ACM, descriptions of confirmed non -ACM, findings and
recommendations. Photographic documentation will also be provided.
Asbestos Laboratory Analysis
The bulk samples will be analyzed by Polarized Light Microscopy (PLM) by a National
Voluntary Laboratory Accreditation Program (NVLAP) and American Industrial Hygiene
Association (AIHA) accredited laboratory to determine asbestos type and content. The
laboratory will be instructed to perform proposed turnaround time analysis, unless faster
turnaround time is required or requested. Unused portions of samples will be archived
for 60 days unless the client requests special handling. Samples of friable materials
resulting in detectable concentration (Trace), but less than one percent will be re-
analyzed using PLM point count techniques to confirm that the samples contain less than
one percent asbestos by weight following client authorization.
Schedule
Upon authorization to proceed, Schafer can begin services immediately and will provide
verbal results upon receipt of analytical data. The final report will be provided within
one week following receipt of analytical data.
Costs
The proposed costs are presented in the Time and Materials (T&M) Cost Estimate
Spreadsheets below which provides a Not To Exceed (NTE) total. Schafer will only bill
for services authorized and rendered. Additional services will be pre -approved by client
prior to services rendered. Upon written notice to proceed, Schafer will perform services
identified above and as directed by our client.

TERMS AND CONDITIONS OF AGREEMENT
GOVERNING LAW: This Contract and the legal relations of the Parties shall be governed by the laws of
the State of Nebraska and the State of Colorado applicable to agreements negotiated, executed, delivered
and fully performed in such state.
CONTRACT DOCUMENTS: Consist of this Proposal including all attachments and schedules referred
to herein, these Terms and Conditions of Agreement, the inspection report (if provided), and any
modification to this Proposal by written change order executed by the CLIENT and Schafer Environmental
Consulting, Inc. (Schafer).
PROPOSAL TERMS: CLIENT understands and agrees that Proposal amount(s) unless otherwise stated:
• Are based on normal working hours.
• Do not include performance, labor and material bonding costs or additional insurance limits
greater than those described herein
• May include a one-time mobilization and demobilization cost. Additional
mobilizations/demobilizations may be viewed as change order work.
• May be withdrawn by Schafer if not accepted within thirty -days of the date of the Proposal.
THE WORK: Schafer agrees to perform the work set forth in this Proposal, within the timeframe set forth
in the Schedule of Events (if included) subject to adjustment as may be necessitated by the Project's
progress and unanticipated events. It is agreed that given the nature of the work being performed by
Schafer, the protection of human health and the environment shall be the overriding concern in the Project
and shall supersede time to insure that Schafer 'S work is completed safely for all parties involved. It is
also understood that Schafer is an independent contractor and not an agent or employee of CLIENT.
TIME AND SCHEDULING: It is recognized that time is of the essence subject to respect for safety and
health. Schafer and CLIENT shall cooperate in scheduling and coordination of activities to coordinate their
work and the work of other contractors/subcontractors as necessary to keep the work of Schafer proceeding
in a normal manner.
DATE OF COMMENCEMENT AND SUBSTANTIAL COMPLETION: Shall be the date of
acceptance of this Proposal unless otherwise indicated. Substantial or final completion of the work shall be
achieved on or before the date agreed upon subject to adjustment as provided in the Contract Documents.
Schafer will immediately advise CLIENT of any delays, which may extend the date of substantial
completion.
CHANGES TO THE WORK: CLIENT may direct Schafer to make changes to the work. For such
changes, it is agreed and acknowledged that:
• Any change order, which increases the contract amount, shall increase the contract price as set
forth in the Proposal.
• Payments for change orders shall be subject to the payment terms set forth herein.
• Work subject to change orders include verbal and/or written orders to perform work outside the
sequence and/or scope of work set forth in Schafer 's Proposal, proposed schedules (if included),
and work resulting from discovery or unforeseen conditions not previously identified available
documents.
PAYMENT TERMS: CLIENT understands and agrees that:
• Each invoice, upon presentation, is due and payable by client. Invoices are past due after 30 days.
Invoices past due are subject to a fifteen percent (15%) monthly increase.
GENERAL CONDITIONS: CLIENT is responsible for:
• Providing sufficient storage space for Schafer's materials and equipment.
• Providing a convenient location for Schafer vehicles and/or trailers.
• Guaranteeing full and free access to CLIENT's property where project activities will take place.

• Notifying Schafer of any hazardous materials that Schafer may come in contact with and
supplying Schafer with Material Safety Data Sheets (MSDS) for those materials.
• Ensuring that all authorized personnel/visitors who enter regulated area have a current medical
exam, are fit tested for respirator use, sign in and out of the abatement area on a Schafer Visitor
Log and utilize proper decontamination methods.
INSURANCE: Schafer currently maintains.
• Commercial General Liability, Property Damage and Pollution Liability Insurance in the amount
of $1,000,000.00 per occurrence, with an additional $2,000,000.00 general aggregate.
• Workers Compensation Insurance as required by law, per state statutes.
FORCE MAJEURE: No delay or failure in performance by either party shall constitute default or give
rise to any claim for damages, if, and to the extent, such delay or failure is caused by an occurrence beyond
the reasonable control, without the fault or negligence of the Party affected and by which said Party is
unable to prevent or provide against by exercise of reasonable diligence, including, but not limited to, acts
of God or the public enemy, expropriation or confiscation of facilities, material changes in applicable law,
war, legal disputes, labor strike, rebellion, sabotage or riots, floods, unusually severe weather, fires,
explosions, or other catastrophes (collectively, "Force Majeure").
WAIVERS OF SUBROGATION: CLIENT AND Schafer waive all rights against each other, any of
their subcontractors, agents or employees and any other subcontractors for damages caused by losses
covered by other insurance applicable to work except such rights as they may have to proceeds of such
insurance held by the CLIENT or Schafer.
INDEMNIFICATION: CLIENT AND Schafer agree to indemnify each other for losses, damages,
penalties, other costs or expenses incurred as a result of the acts of the indemnifying party, but only to the
extent such damages, losses or penalties are caused by the indemnifying party in accordance with the laws
of comparative negligence established in the State of Colorado. Neither party agrees to indemnify the other
for the negligence of the party seeking indemnification. Except for contractual obligations, neither party
acknowledges any obligations to indemnify the other for acts of negligence or misconduct on the part of
any independent subcontractors of either of them. The parties each agree to require their subcontractors to
maintain appropriate insurance for liability for wrongful acts.
LIMITATION OF LIABILITY: CLIENT AND Schafer each recognizes that the Project may involve
existing conditions that may have features unknown or concealed from a responsible inspection. Projects
involving such structures have inherently unpredictable conditions. The parties further acknowledge that
they have no knowledge of the expectations of the other party as to performance of the Contract other than
performance of the work and payment. In the event of any dispute arising under this Agreement, the
prevailing party shall be entitled to recover reasonable attorney fees.
WARRANTY: Schafer warrants that its services will be performed in accordance with sound contract ring
practices and procedures. Any equipment or materials furnished will be of good quality, and that the work
will conform to the requirements of the Contract Documents, Schafer agrees to correct any deficiencies in
its work within one (1) year after substantial completion.
TERMINATION: CLIENT AND Schafer may terminate this Contract upon seven (7) days written notice
of the other party's failure to perform a substantial and material obligation of this Contract. The party
receiving the Notice to Terminate shall have seven (7) days to correct or resolve any alleged deficiencies.
Should CLIENT terminate this Agreement at no fault of Schafer, compensation shall be made to Schafer
for any permit filing fees, bonding/insurance fees, direct labor, or material costs incurred to the time of
termination.
NOTICE OF MECHANIC LIEN -RIGHTS:
AS REQUIRED BY THE COLORADO CONSTRUCTION LIEN LAWS CONTRACTOR
HEREBY NOTIFIES CLIENT THAT PERSONS OR COMPANIES FURNISHING LABOR OR
MATERIALS FOR THE CONSTRUCTION ON OWNER'S LAND MAY HAVE LIEN RIGHTS

ON OWNER'S LAND AND BUILDING IF NOT PAID. THOSE ENTITLED TO LIEN RIGHTS,
IN ADDITION TO THE SIGNED CONTRACTOR, ARE THOSE WHO CONTRACT DIRECTLY
WITH THE OWNER OR WHO GIVE THE OWNER NOTICE WITHIN 60 DAYS AFTER THEY
FIRST FURNISH LABOR OR MATERIALS FOR THE CONSTRUCTION. ACCORDINGLY,
OWNER PROBABLY WILL RECEIVE NOTICES FROM THOSE WHO FURNISH LABOR OR
MATERIALS FOR THE CONSTRUCTION, AND SHOULD GIVE A COPY OF EACH NOTICE
RECEIVED TO HIS MORTGAGE LENDER, IF ANY, CONTRACTOR AGREES TO
COOPERATE WITH THE OWNER AND HIS LENDER, IF ANY, TO SEE THAT ALL
POTENTIAL LIEN CLAIMANTS ARE DULY PAID.
