COMPANY may retain Contractor in connection with COMPANY's real property improvements to one or more of COMPANY's properties. If COMPANY retains Contractor, then Contractor will provide the construction/general contractor services (herein the "Services") described in "Project Terms" Exhibit A and "Scope of Work" (herein a "SOW'), Exhibit B. Exhibits A and B are incorporated herein by reference. The location of the Services will be set out in Exhibit A. Contractor may retain, at Contractor's own discretion and expense, such employees and/or subcontractors as Contractor deems necessary to perform the Services. Contractor will perform any and all services in a diligent and workmanlike manner and in accordance with the schedule, if any, set forth in Exhibit B. Exhibit D outlines company standards that must be met. 2. Compensation. COMPANY will compensate Contractor in consideration for the Services by paying the fees described in Exhibit C. Completeness and quality of work product based on COMPANY and industry standards and shall be determined by COMPANY in its sole discretion, and Contractor agrees to make all revisions, additions, deletions or alterations as requested by COMPANY. No other fees and/or expenses will be paid to Contractor, unless such fees and/or expenses have been approved in advance by the appropriate COMPANY executive in writing. Contractor shall be solely responsible for any and all taxes, Social Security contributions or payments, disability insurance, unemployment taxes, and other payroll type taxes applicable to such compensation. Contractor hereby indemnifies and holds COMPANY, employees, assigns, and shareholders harmless from, any claims, losses, costs, fees, liabilities, damages or injuries suffered by COMPANY arising out of Contractor's failure with respect to its obligations in this Section 2 and elsewhere in this Agreement, and otherwise. I Personnel. Contractor represents and warrants to COMPANY that its employees performing Services hereunder, if any, will have sufficient expertise, training, and experience to accomplish the Services. Contractor agrees that all its personnel shall be compensated, taxes withheld, and other benefits made available as required by applicable law and regulations. 4. Termination of Agreement. This Agreement shall be effective from the date first listed above for the period set forth in Exhibit A, or until completion of the Services, as applicable unless sooner terminated in accordance with the terms and conditions of this Agreement. COMPANY may terminate this Agreement and its related Exhibits for any reason, with at least seven (7) days' prior written notice, which notice shall specify the exact date of termination. COMPANY will pay the Contractor for all Services performed to COMPANY and industry standards by the Contractor, through the date of termination. Either party may terminate this Agreement and its related Exhibits for cause, immediately upon written notice. 5. Continuing Obligations of Contractor. The provisions of Sections 2, 4, 6, 7, 8, 10, 11, 20 and shall survive expiration or termination of this Agreement for any reason. 6. Representations and Warranties. Contractor represents and warrants to COMPANY that Contractor has full power and authority to enter into this Agreement; and that in performing under the Agreement Contractor will not violate the terms of any Agreement with any third party. Contractor shall defend, indemnify and hold COMPANY and its successors, assigns and licensees harmless from any and all claims, actions and proceedings, and the resulting losses, damages, costs and expenses (including reasonable attorneys' fees) arising from any claim, action or proceeding based upon or in any way related to Contractor's, or Contractor's employees, breach or alleged breach of any representation, warranty or covenant in this Agreement. Contractor agrees not to enter into any Agreement, either written or oral, in conflict with this Agreement. Additionally, Contractor represents and warrants that: a) it has and will maintain all insurance required by law and by Section 12 of this Agreement as well as licenses and permits usual, necessary, and legally required by applicable Federal, State, or local law for conducting the Services; b) its personnel are legally authorized to work in the United States in accordance with all applicable immigration laws; c) it currently has multiple clients/customers, has had multiple clients/customers in the past, and intends to have multiple clients/customers in the future; d) it makes its services available to the general public and does not make its services exclusively available to COMPANY; e) it will maintain accurate financial records in connection with the performance of this Agreement and the conduct of its business; f) it will comply with all applicable laws and is not prohibited from performing its obligations under this Agreement or any other Agreement; and g) it will provide the Services in a workmanlike manner consistent with industry standards. 7. Indemnification. Contractor agrees to indemnify, hold harmless, and defend COMPANY from and against any and all judgments, liabilities, damages, losses, expenses, and costs (including without limitation court costs and reasonable attorney's fees) incurred by COMPANY which relate to: (i) Contractor's willful misconduct or negligence and/or acts or omissions of Contractor or Contractor's employees in connection with this Agreement; (ii) Contractor's breach of any representation, warranty, or obligation under this Agreement; (iii) the violation of any licensure or bond requirement; and (iv) Workers' Compensation claims, overtime claims, tax liability claims, benefits claims, or other liabilities imposed against COMPANY by Contractor's employees or any other party (including governmental bodies and courts), whether relating to Contractor's status as an independent contractor or the status of its personnel; (v) Contractor represents and warrants to COMPANY that Contractor will provide all necessary indemnifications and will hold COMPANY harmless for any damage or harm COMPANY may suffer due to Contractor's completion of Contractor's services. 8. Non -Disclosure & Company Property. To the extent applicable, Contractor will protect and keep confidential all non-public information disclosed by COMPANY (herein "Confidential Information"), and will not, except as may be authorized by COMPANY in writing, use or disclose any such Confidential Information for any purpose other than the performance of this Agreement. All materials, including without limitation documents, drawings, drafts, notes, designs, computer media, electronic files and lists, including all additions to, deletions from, alterations of; and revisions in the foregoing (together the "Materials"), which are furnished to Contractor by COMPANY or which are developed in the process of performing the Services, or embody or relate to the Services are the property of COMPANY, and shall be returned by Contractor to COMPANY promptly at COMPANY's request together with any copies thereof, and in any event promptly upon expiration or termination of this Agreement for any reason. Contractor is granted no rights in or to such Materials except as necessary to fulfill its obligations under this Agreement. 9. Non -Solicitation. During the term of this Agreement and for a period of one (1) year thereafter, Contractor will not solicit or hire any employee or independent contractor of COMPANY with which Contractor had contact in connection with this Agreement. 10. Independent Contractor Status. The parties hereto are independent contractors. Nothing herein shall be deemed to create any form of partnership, principal -agent relationship, employer-employee relationship, or joint venture between the parties hereto. Contractor will provide the Services using its own independent skill and judgment. COMPANY will have no right or responsibility hereunder to provide instructions or training, require any work other than what is agreed to by Contractor in this Agreement, choose or supervise the personnel usedd to perform the Services, set Contractor's hours or location of work, other than the actual construction site when required, set the order for or sequence of performing the Services, require progress reports, or provide tools, facilities or equipment. Acknowledgment. Contractor hereby acknowledges and agrees that: a) neither Contractor nor any of its employees is an employee of COMPANY; b) neither Contractor nor any of its employees is entitled to any benefits provided or rights granted by COMPANY to their respective employees, including without limitation group insurance, liability insurance, disability insurance, retirement plans, health plans and the like; c) COMPANY will not make any deductions on behalf of Contractor for any U.S. federal or state taxes or FICA taxes; d) COMPANY will not have any obligation to provide Worker's Compensation coverage for Contractor or to make any premium overtime payments; e) it will be Contractor's sole responsibility to provide Worker's Compensation and pay any premium overtime rate, for its employees who provide Services under this Agreement and to make required FICA, income tax withholding, and other payments, including compensation for Services, related to such employees; and f) Contractor will provide COMPANY with suitable evidence of Contractor's compliance with this Section 11 whenever requested. 12. Insurance. Through the term of this Agreement and the project duration, Contractor, at its own expense, will obtain for itself and its personnel Worker's Compensation insurance in statutory amounts. Contractor owner cannot be excluded from Worker's Compensation. Contractor will also obtain Commercial General Liability insurance with limits of liability of not less than one million dollars ($1,000,000.00) per occurrence naming COMPANY as an additional insured. Contractor will provide a certificate to COMPANY of such insurance coverage upon request. Contractor further hereby agrees and represents that should the proceeds of such insurance policies not be sufficient to cover the full amount of the indemnification Contractor agrees to provide in this paragraph, Contractor shall nevertheless fully indemnify COMPANY to cover the full amount of the harm or damage COMPANY suffers. 13. Limitation of Liability. IN NO EVENT WILL COMPANY HAVE ANY LIABILITY OR RESPONSIBILITY FOR ANY INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 14. Inniunctive Relief. Contractor acknowledges and agrees that in the event of a breach or threatened breach of this Agreement by Contractor, COMPANY will suffer irreparable harm and will therefore be entitled to injunctive relief to enforce this Agreement. 15. Contractor's Remedy. Contractor's remedy, if any, for any breach of this Agreement shall be solely in damages and Contractor shall look solely to COMPANY for recovery of such damages. Contractor waives and relinquishes any right Contractor may otherwise have to obtain injunctive or equitable relief against any third party with respect to any dispute arising under this Agreement. Contractor shall look solely to COMPANY for any compensation that may be due to Contractor hereunder. 16. AAAgencX. Contractor is not COMPANY's agent or representative and has no authority to bind or commit COMPANY to any Agreements or other obligations. 17. Amendment and Waivers. Any term or provision of this Agreement may be amended, and the observance of any term of this Agreement may be waived, only by a writing signed by the party to be bound. The waiver by a party of any breach or default in performance shall not be deemed to constitute a waiver of any other or succeeding breach or default. The failure of any party to enforce any of the provisions hereof shall not be construed to be a waiver of the right of such party thereafter to enforce such provisions. 18. Time. Contactor agrees that time is of the essence in this Agreement. A fee of 200 per day will be deducted from the total amount for everyday past the deadline date outlined in this contract. 19. Arbitration. The COMPANY and Contractor agree that, if any controversy or claim arising out of or relating to this Agreement or Scope of Work that cannot be settled through direct discussions, they shall be submitted to an informal mediation and then to arbitration. Arbitrations shall be the exclusive forum for the resolution of any controversies, claims or disputes arising out of or relating to this Agreement, including issues related to the COMPANY Initials Contractor Initials 7c-sey Property Solutions classification of the Contractor as an Independent Contractor. The neutral arbitrator shall be jointly chosen by both parties either from a list of arbitrators supplied by the American Arbitration Association or an alternate source by agreement of the parties. The decision of the arbitrator, including determination of the amount of damages suffered, if any, shall be exclusive, final and binding on the parties. The arbitrator shall only have the authority to award traditional contract remedies, and any award shall not exceed the maximum value of this Agreement. Each party shall be solely and exclusively responsible for its costs of arbitrating any dispute, with the sole exception of the fee of the arbitrator, the record or transcript of the arbitration, and the cost of the facilities for the arbitration, which shall be borne equally by both parties. 20. Binding Effect. This Agreement shall be binding upon, and inure to the benefit of, the successors, executors, heirs, representatives, administrators and permitted assigns of the parties hereto. Contractor shall have no right to (a) assign this Agreement, by operation of law or otherwise; or (b) subcontract or otherwise delegate the performance of the Services without COMPANY's prior written consent which may be withheld as COMPANY determines in its sole discretion. Any such purported assignment shall be void. 21. Waiver. Neither party will be deemed to have waived any provision hereof unless such waiver is in writing and executed by a duly authorized officer of the waiving party. No waiver by either party of any provision hereof will constitute a waiver of such provision on any other occasion. 22. Severability. If any provision of this Agreement shall be found invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to reasonably effect the intent of the parties. 23. Notices. All notices and other communications in connection with this Agreement shall be in writing and shall be deemed to have been received by a party three (3) days after mailing, registered or certified, postage prepaid with return receipt requested, to each party's principal office address. Notices delivered personally shall be deemed communicated as of the date of actual receipt. Either party may change its notice address upon written notice to the other party. 24. Governing., Law and Attorney's Fees. This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its choice of law principles. The parties consent to exclusive jurisdiction and venue in the federal and state courts sitting in Denver County, Colorado. In any action or suit to enforce any right or remedy under this Agreement or to interpret any provision of this Agreement, the prevailing party shall be entitled to recover its reasonable attorney's fees, costs and other expenses. 25. Counterparts. This agreement may be executed in Counterparts, each of which shall be deemed to be an original, but all of which, taken together, shall constitute on and the same agreement. 26. Entire Agreement. This Agreement, including the Exhibits, constitutes the entire understanding and Agreement of the parties with respect to its subject matter and supersedes all prior and contemporaneous Agreements or understandings, inducements or conditions, express or implied, written or oral, between the parties.
