Signees of this contract warrant that they are fully authorized to enter into this transaction and accept full responsibility and liability for the terms and conditions oft his contract. The party contracting for work may be called "client, owner, homeowner, or customer." 1" Priority Roofing may be called 'company or 1" Priority.' 2. All proposals (including 'work outside the insurance scope') are subject to approval by 1st Priority Roofing, LLC executive management and shall be made in writing (sales representatives and project managers are not 'executive management'). Any amendments to this contract shall be made in writing and require approval from 1" Priority executive management. Any statement made after the conclusion of a valid written contract shall not be considered a valid part of this contract, nor shall it be considered binding or enforceable. All verbal and 'text message' agreements are strictly prohibited. This constitutes the entire agreement between 1" Priority Roofing and client. Client may cancel this contract without penalty within 72 hours after entering this contract by writing a letter to 1" Priority Roofing, 7208 S Tucson Way, Suite 195, Centennial CO, 80112, requesting a cancelation or hand delivering this letter to authorized personnel at this same address. An email sent to infoCdlstPrioritvRoofine.com is also sufficient, but must be accompanied by confirmation of receipt from 1" Priority Roofing; without 1" Priority Roofing's acknowledgement in writing via email response, the cancellation shall not be considered valid. The postmark and or electronic date shall be used to determine timeliness. Deposits are refundable if the contract is cancelled within the allotted time frame except for when services have already been performed, including but not limited to; permits being pulled, the purchase of materials, negotiations with customer's insurance company that results in customer enrichment (supplements). If this contract is cancelled by the customer after the allotted time frame, customer agrees to pay 1st Priority Roofing, LLC twenty (20%) percent of the contract price as liquidated damages, not as a penalty, but as fair and just compensation for all services to that point. 4. 1" Priority Roofing is insured by M.U.S.I.0 for general liability insurance. 1-480-306-8300. 6263 N Scottsdale Rd, Suite 300, Scottsdale, AZ 85250. Insurance provider may change change. S. The "estimated costs of services" on the front ofthis contract is strictly an estimate and subject to change based upon unforeseen work that arises and/or additional supplements approved by your insurance company. The final cost of services is the final approved replacement cost value (RCV) (including approved supplements, 0&P, and your deductible) plus any additional work authorized by you in writing, plus additional work completed because 1" Priority determined it was best construction practice at the time (see 416), and any work required or recommended by the City or State per city code or recommended by manufacturer specifications. Customer is responsible to pay the above in full regardless of any amounts deducted by customer's insurance or mortgage company for "non-recoverable depreciation," "no code upgrade," or similar or dissimilar policy language and issues. 6. 1" Priority reserves the right to perform the specified repairs / replacement in accordance with generally accepted roofing and construction guidelines (including any combination of IRC, Manufacturer or City Code as determined by 1" Priority Management), and using similar (though not necessarily identical) materials unless otherwise agreed upon in writing. 1" Priority Roofing shall be considered to have fulfilled its contractual obligations once repairs have been substantially completed within these guidelines. Should a dispute arise as to the definition of such guidelines, 1" Priority Roofing management shall inspect the completed repairs and shall have sole authority to determine if the work meets such guidelines, thus fulfilling contractual obligations. Customer agrees to release all funds agreed upon in this contract to Is' Priority Roofing once work is substantially completed and has been determined to meet such guidelines. Pending or failed city or mortgage bank inspections shall not constitute a breach of contract, nor shall it be an allowable reason to withhold payment for work substantially complete. 7. 1st Priority Roofing, LLC's standard payment terms are as follows: 50% deposit upon acceptance of contract and balance upon substantial completion of work. The work shall be substantially complete even though warranty or minor work may be unfinished, or permits still open. 1" Priority Roofing is expressly authorized to determine the date of substantial completion. Client shall not withhold any funds or proceeds from 1" Priority Roofing for work that has been substantially completed while additional project items are in process. Endorse and/or make all checks payable to 1st Priority Roofing, LLC. 8. Client is responsible for procuring any third party endorsement(s), such as lenders (Mortgage Company) approval or HOA approvals for projects in a timely manner. 9. Client acknowledges 1st Priority Roofing, LLC as General Contractor and as such will be entitled to 10% overhead and 10% profit. Client also acknowledges that any additional supplements negotiated by 1" Priority Roofing, LLC shall be awarded to 1" Priority Roofing unless otherwise agreed upon by 1" Priority Roofing executive management in writing. 10. Past due accounts are defined when work has been substantially completed by 1st Priority Roofing, LLC and 30 days have passed. Any portion remaining unpaid will bear interest at the rate of eighteen percent (18%) per annum commencing thirty (30) days after substantial completion. In addition, if 1st Priority Roofing, LLC requires an attorney for collection, client agrees to pay all costs incurred in pursuit of collecting any unpaid portion of this contract, including reasonable legal/attorney fees and collection agency fees. Should default be made in payment of this contract, 1st Priority Roofing, LLC reserves the right to place a mechanic's lien on the contract property. Lien costs shall be charged in addition to contract price. 11. 1st Priority Roofing, LLC shall not be in breach ofcontract or held liable for failure of performance due to labor controversies, strike, fire, hail, weather, inability to obtain material from usual sources, failed or pending city inspections, manufacturer defects or voided manufacturer warranties, or any other circumstances beyond the control of 1st Priority Roofing, LLC whether of similar or of dissimilar nature. 12. 1st Priority Roofing, LLC's standard workmanship warranty for roofing is five (5) years and one (1) year for all other work. Client must notify 1" Priority Roofing in writing if a warranty is to be transferred to new owners. Transfers may be done one time by the original customer. Warranty shall be void if these steps are not taken. Warranties are only valid if customer has paid all obligations in full per contract. All warranties are void if legal action or a collections agency were needed to collect the balance, or if the account is 90 days past due. 13. 1" Priority Roofing, LLC is not responsible for any leaks or water damage below the roofline as a result of ice damming, insufficient insulation, defective materials, poor architecture or design of property/roof, excessive wind, rain, snow, ice or hail during the period of warranty. Leaks that are a result of repair work outside the original scope of this contract shall be paid at the sole expense of client, even if the repair work required is a result of work (or demolition) done by 1" Priority Roofing in the normal process of remodeling. 14. Customer/Property Owner/Renter agrees to indemnify 1st Priority Roofing LLC against and hold 1st Priority Roofing LLC harmless for any and all claims, demands, liabilities, losses, expenses, suits and actions (including attorney's fees) for or on account of any injury to any person, or any death at any time resulting from such injury, or any damage to any property, which may arise (or which may be alleged to have risen) out of or in connection with the work covered by this contract even though such injury, death, or damage may be (or may be alleged to be) attributable in part to negligence or other fault on the part of 1st Priority Roofing LLC or its officers, subcontractors, agents or employees. Customer/property owner/renter agree to hold harmless 1st Priority Roofing, LLC, its agents and/or employees for damage to real, private or personal property, whether exterior or interior through negligence, accident or competence, including but not limited to; slight scratching or denting of gutters, oil droplets in the driveway, nails perforating soffit or fascia, cracks in concrete, paint spills or droplets, scuffs or tar on siding, broken siding, broken windows or glazing, damage to plants or shrubbery, sunken foundation or framing, broken or fallen crown molding or stucco, solar panels, evaporative coolers, existing skylights, personal property such as pictures, cars, or interior damage such as cracked plaster, damaged sheetrock or drywall, nail pops, or falling dust and debris as a result of roof replacement, additional contracted work, cleanup or through happenstance. 15. If material has to be reordered or restocked because of cancellation by customer, there will be a restocking fee equal to twenty percent (20%) of the contract price. 16. Replacement or repair of any deteriorated decking not covered by insurance, or expressly agreed to in writing beforehand, shall be charged at $225.00 per square. Fascia boards, furnace or hvac work, swamp coolers, ventilators, chimneys, counter flashing, or any other work completed for client not stated in this contract are not included and will be charged above contract terms on a time and material basis. Customer also agrees to pay 1" Priority Roofing for work required by City, recommended per manufacturer specifications, installed due to safety concerns, or installed because 1" Priority considered it to be best construction practice at the time but may not be specifically disclosed in this agreement or paid for by customer's insurance policy. 17. 1" Priority Roofing, LLC is not a licensed engineer and recommends that customer consults a licensed engineer in cases where additional items not already pre-existing (such as roofing vents, skylights, or specialty roof covers including but not limited to TPO, cement shingles, etc,) are installed, or in cases where the structure of the existing building may not be up to current city code (including framing, truss structure, etc). Customer assumes all responsibility for these items and shall hold 1" Priority Roofing harmless in the event of any controversy arising thereof. 18. The Insurance Company Adjuster Summary (and all revisions) is a legal part of this contract. Customer agrees to allow 1" Priority Roofing to discuss all aspects of the claim with customer's Insurance Company (including additional revisions and monetary values of the claim) and Mortgage Company. Customer agrees to secure a copy of all revisions of the Adjuster Summary related to customer's claim on behalf of 1" Priority Roofing. 19. 1" Priority Roofing retains the right to require that any controversy or claim arising out of or related to this contract for alleged breach thereof be mediated before any further legal action may be undertaken. Mediation costs shall be paid for at the sole expense of customer. If mediation is unsuccessful, 1" Priority Roofing may require that the controversy be resolved by binding arbitration with a single arbitrator, chosen by 1" Priority Roofing. Arbitration fees shall be paid at the sole expense of customer. 20. For any work or workmanship that allegedly or rightfully requires remedy (per city ordinance or customer request), customer agrees to allow 1" Priority Roofing and any of its agents or subcontractors full access to the property in order to complete such remedies.
