TO SUBDIVISION IMPROVEMENT AGREEMENT
THIS FIRST AMENDMENT TO SUBDIVISION IMPROVEMENT AGREEMENT
("First Amendment") is entered into as of , 7e_cc.�e_ (`j , 2020, by and among
EVERGREEN -CLEAR CREEK CROSSING APARTMENTS, L.L.C., an Arizona limited
liability company ("Developer"), and CITY OF WHEAT RIDGE, COLORADO, a home rule
municipal corporation (the "City"), together referred to as the "Parties".
RECITALS
A. On October 22, 2019 the Community Development Director of the City of
Wheat Ridge, administratively approved a plat for the Property titled Outlook at Clear
Creek Crossing, and in connection therewith, approved a Subdivision Improvement
Agreement ("Agreement") which was filed for record with the Jefferson County Clerk and
Recorder's Office on October 30, 2019 at Reception no. 2019103411.
B. The Parties wish to amend the Agreement to allow phasing of public
improvements as it relates to Exhibit C of the Agreement.
C. The Parties wish to amend the agreement, as permitted by Section 20 of
the Agreement.
AMENDMENT
NOW THEREFORE, in consideration of the mutual covenants and agreements
contained herein, the sufficiency of which are mutually acknowledged, the Parties
hereto agree as follows:
1. Agreement Amended. Exhibit C of the Agreement is hereby amended and
replaced per the attached Exhibit C contained herein.
2. Recording. This First Amendment will, at the expense of Developer, be
recorded in the office of the clerk and recorder of Jefferson County, Colorado, and shall
be a covenant running with the Property in order to put prospective purchasers or other
interested parties on notice as to the terms and provisions hereof.

EXHIBIT C
Phasing Plan for Public Improvements and On -Site Improvements
Consistent with the Subdivision Improvement Agreement with the Master Development
(reception number 2018065899) and with the approvals for this Project, on-site and public
improvements shall be installed as follows:
• Site work permits may be issued upon approval of civil engineering plans,
construction control plan, cost estimates, and payment of City of Wheat Ridge use
tax.
• Retaining wall permit may be issued upon approval of retaining wall plans.
• Prior to issuance of each building permit the following fees associated with that
permit shall be paid:
o City of Wheat Ridge building use tax
o Building permit and plan review fees
o Fees -in -lieu of parkland dedication
• Prior to any foundation construction, the following shall be completed and accepted
by the City:
o Written notification to City of intent to commence foundation construction
o Installation of the all-weather surface temporary access road
o Installation of access adequate for conducting inspections. Refer to the
access exhibit in Exhibit C.2 for the approved sequencing of 40th Avenue
and Clear Creek Drive
• Prior to any combustible vertical construction, the following shall be completed and
accepted by the City:
o Written notification to City and West Metro Fire Protection District of intent
to commence combustible vertical construction
o Installation of water mains and activation of fire hydrants for the respective
phase
■ Written acknowledgement from Consolidated Mutual Water District
that fire hydrants are active.
o Installation of the first lift of asphalt on the temporary access road

o Installation of access adequate for conducting inspections. Refer to the
access exhibit in Exhibit C.2 for the approved sequencing of 40th Avenue
and Clear Creek Drive.
• Prior to issuance of the first Certificate of Occupancy in Clear Creek Crossing,
Developer shall comply with the requirements of the Subdivision Improvement
Agreement for Clear Creek Crossing dated July 18th, 2018 ("Subdivision
Improvement Agreement") and/or subsequent amendments.
• Prior to issuance of the first Certificate of Occupancy in each phase, on-site
improvements, including adjacent sidewalks, private streets (including top lift of
temporary access road), parking lots, yard inlets and associated piping, lighting,
landscaping, and all utilities shall be installed based on the enclosed overall
phasing plan in Exhibit C.1.
• Prior to issuance of final Certification of Occupancy, the following shall be
completed and accepted by the City:
o Top lift on all internal roadway systems
o All on-site landscaping
• Upon completion of the Permanent Access and demolition of the Temporary
Access, the Developer shall restore the public improvements along West 40th
Avenue back to the design depicted in the Clear Creek Crossing Phase II Roadway
and Storm Construction drawings produced by Martin & Martin and approved by
the City of Wheat Ridge on July 26, 2019. drawings produced by Martin & Martin

Exception to the above requirements:
• Installation of landscaping, street trees, and irrigation is not required prior to
Certificate of Occupancy if issuance of the C.O. occurs outside of the planting
season, generally October to June. Refer to Section 12 of the Subdivision
Improvement Agreement.
