SERIES OF 1990
TITLE:
A RESOLUTION OF THE CITY OF WHEAT RIDGE ACCEPTING GRANT
C 39412 ISSUED BY THE COLORADO DEPARTMENT OF HEALTH TO
THE CITY OF WHEAT RIDGE, AND ACCEPTING THE TERMS AND
CONDITIONS THEREOF, AND AUTHORIZING THE MAYOR AND CITY
CLERK TO EXECUTE A CONTRACT WITH THE STATE OF COLORADO
TO OPERATE THE PROGRAM REFERENCED IN SAID GRANT.
WHEREAS, the Colorado Department of Health has issued Grant
C 39412 in the amount of sixteen thousand four hundred dollars
($16,400.00) to the City of Wheat Ridge, as Contractor, for the
purposes, and subject to the limitations, set forth therein;
WHEREAS, the State of Colorado requires the city, as a
condition of acceptance of said Grant, to execute a Contract to
operate said Grant pursuant to the terms and conditions set forth
in said Contract;
WHEREAS, the City wishes to accept said Grant, and to execute
the Contract required by the State to operate the programs provided
for in said Grant;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City
of Wheat Ridge that:
1. The city of Wheat Ridge does hereby accept from the
Colorado Department of Health Grant C 39412 in the amount of
sixteen thousand four hundred dollars ($16,400.00), pursuant to the
terms and conditions set forth in said Grant and the Contract
authorized to be executed in paragraph 2 hereof.
2. The city Council does hereby authorize the Mayor and city
Clerk to execute the attached Contract with the State of Colorado
whereby the city wil1 operate the program referenced in the Grant
accepted hereby pursuant to the terms and conditions set forth in
said Contract.
DONE AND RESOLVED this 26th day of November, 1990.

GRANT ADMINISTRATION AGREEMENT
Th THIS GRANT ADMINISTRATION AGREEMENT made and executed this
~1 day of November, 1990, by and between the city of Wheat Ridge,
a Colorado home rule municipal corporation (hereinafter referred
to as the City) and the Wheat Ridge Coalition (hereinafter referred
to as Coalition).
WHEREAS the city has received Grant C 39412 in the amount of
sixteen thousand four hundred dol1ars ($16,400.00) from the
Colorado Department of Health for the purposes, and subject to the
conditions, contained in said Grant (a copy of which is attached
hereto as Exhibit A)i
WHEREAS the city wishes to contract with the Coalition to be
the contracting agent of the city and operator of said Grant until
such time as the Coalition has obtained status as a 501 C.3. tax
exempt corporation under the provisions of the Internal Revenue
Code, and is able to contact directly with the state of Colorado;
WHEREAS the parties wish to set forth their complete
understanding and agreement relating to conduct of said Grant.
NOW THEREFORE, the parties, for themsel ves, their heirs,
successors and assigns do hereby covenant and agree as follows:
1. The City shall, and does hereby, contract with the
Coalition to operate and administer Grant C 39412 on behalf of the
city, in strict compliance with all of the terms, conditions, and
limitations of said Grant and the Contract between the City and the
State of Colorado relating thereto, as the agent and Contractee of
the city.
2. The Coalition agrees to indemnify and save the City
harmless for or on account of all of the Coalition's actions in
operation and implementation of said Grant and Contract.
3. This Contract shall terminate upon the failure or refusal
of the Coalition, or any agent or employee thereof, to comply
strictly with the terms and conditions of said Grant and/or
Contract above described.
4. This Agreement shall terminate, upon the mutual consent
of the parties, upon the establishment by the Coalition of its
entitlement to designation as a 501 C 3 tax exempt entity pursuant
to the provisions of the Internal Revenue Code, and its entry into
a direct contract with the State of Colorado, Department of Health.
