RESOLUTION NO. 1466
TITLE:
A RESOLUTION AUTHORIZING AN INTERGOVERNMENTAL AGREEMENT
WITH THE CITY OF LAKEWOOD FOR THE CONSTRUCTION OF A NEW
TRAFFIC SIGNAL AT WEST 32ND AVENUE AND SIMMS STREET.
WHEREAS, section 14.2 of the Home Rule Charter of the city
of Wheat Ridge provides express authority to enter into intergov-
ernmental agreements providing for cooperative efforts between
governments; and
WHEREAS, The Cities of Wheat Ridge and Lakewood wish to
jointly construct a new traffic signal at West 32nd Avenue and
Simms Street in their respective jurisdictions; and
WHEREAS, In the spirit of cooperation, Lakewood has agreed
to design and construct the traffic signal, including portions in
Wheat Ridge. Wheat Ridge will assume ownership and provide
maintenance to the entire signal installation upon final accept-
ance; and
WHEREAS, In order to insure that project costs are equi-
tably distributed between the Cities and that ownership and
maintenance responsibilities are clarified, it is necessary to
enter into and intergovernmental agreement with the City of
Lakewood.
NOW, THEREFORE, BE IT RESOLVED that:
Sec. 1. The mayor of the City of Wheat Ridge is hereby
authorized to execute an intergovernmental agreement with the
City of Lakewood for the construction of a new traffic signal at
West 32nd Avenue and Simms.

THIS AGREEMENT MADE AND ENTERED INTO TIllS ~ DAY OF A;Pr// ,
1995, by and between the City of Lakewood, with offices at 445 South Allison Parkway,
Lakewood, 80226, a Home Rule'Municipality within the County of Jefferson, State of
Colorado, hereinafter referred to as "Lakewood", and the City of Wheat Ridge, with offices
at 7500 West 29th Avenue, Wheat Ridge, Colorado, 80215, a Home Rule Municipality
within the County of Jefferson, State of Colorado, hereinafter referred to as "Wheat Ridge";
Lakewood and Wheat Ridge hereinafter referred to as "Parties".
WITNESSETH THAT:
WHEREAS, Sections 29-1-201 and 29-1-203 Colorado Revised Statutes, 1972, as amended,
permit and encourage governments to make the most efficient use of their powers and
responsibilities by cooperating and contracting with other governments to provide
authorized services; and,
WHEREAS, Lakewood and Wheat Ridge desire to jointly install a new traffic signal at West
32nd Avenue and Simms Street, hereinafter sometimes referred to as the "Project"; and,
WHEREAS, Parties desire to cooperate to the fullest extent possible to ensure that the
planning, engineering and construction ofthe traffic signal is accomplished according to the
mutual desires of each party for the best interests of their respective citizens.
NOW, THEREFORE, in order to accomplish the above stated desires, and in consideration
of the mutual covenants and promises herein set forth, the Parties agree as follows:
1. Parties understand and agree that the traffic signal construction at West 32nd
Avenue and Simms Street shall be in accordance with the engineering specifications and
design standards mutually acceptable and beneficial to Parties in order to bring the traffic
signal operation to an acceptable service level as defined by each party.
2. Lakewood agrees to design and construct said Project as part ofthe 1995 Traffic
Signal Construction Program in accordance with the mutual desires of Parties.
3. Parties agree that the Project Costs shall be split equally, (50/50) between the
respective parties. The Project Costs shall consist of the following:
A.
Purchase of traffic signal materials.
B.
Construction costs as incurred by the approved contractor.
C.
Restriping of the intersection approaches.
D.
Authorized written change or work orders.

Contingencies mutually agreeable to both Parties.

4. The estimateaProject Cost is $50,000,00. W _~t Ridge's share of costs
associated with the Project shall be the lesser of either 50 percent actual construction costs
or $25,000.00.
5. Lakewood will initially bear the full cost of the Project. Upon completion of
the Project, Wheat Ridge shall reimburse Lakewood for its share of the Project Costs, as
outlined in Section 4 upon the City of Lakewood presenting to the City of Wheat Ridge an
itemized cost breakdown of the project.
6. Lakewood agrees to contract with a licensed and reputable contractor for the
traffic signal construction and installation.
7. Parties agree to jointly conduct a final inspection of the Project upon
completion.
8. Parties agree that Wheat Ridge shall own the traffic signals and related
equipment and shall provide maintenance and electrical power to them in perpetuity.
9. Parties agree that the contractor to whom the Project is awarded shall be
required to carry, at a minimum, adequate workers compensation, casualty and liability
insurance in amounts mutually agreed upon and shall name the Parties as additional
insureds.
10. Lakewood shall be solely responsible for the design and construction of said
Project, and shall be solely responsible for any liability resulting from or relating to said
design and construction of said Project. Neither party waives any obligations or benefits
afforded it under ~24,10-101, et. seq, C.R.S., the Colorado Governmental Immunity Act.
11. Wheat Ridge shall be solely responsible for the maintenance of said Project
upon final inspection, and shall be solely responsible for any liability resulting from or
relating to said maintenance of said Project. Neither party waives any obligations or
benefits afforded it under ~24-10-101, et. seq. C,R.S., the Colorado Governmental Immunity
Act.
12. The Agreement embodies the entire understanding of Parties and shall be
deemed to be a contract extending and binding upon Parties hereto, their representatives,
agents, administrators, successors and assigns.
