PO's Responsibilities. The PO is responsible to supply electrical utilities unless otherwise agreed to in writing. Electricity to the site is necessary. PO agrees to allow and provide CM and its equipment access to the property. The PO is responsible to remove or protect any personal property and CM shall not be responsible for personal property including driveways, lawns, shrubs, etc. 2. Delays. CM agrees to start and diligently pursue work through to completion, but shall not be responsible for delays for any of the following reasons: delayed payments by insurance company, failure of the issuance of all necessary building permits within a reasonable length of time, funding of loans, disbursement of funds into control or escrow, acts of neglect or omission of PO or PO's employees or PO's agent, acts of God, stormy or inclement weather, strikes, lockouts, boycotts or other labor union activities. 3. PO warrants that he/she maintains homeowner insurance and will indemnify CM against injury to PO(syresidents or persons on the job site at PO's invitation. 7. Right to Stop Work. CM shall have the right to stop work if any payment shall not be made, when due, to CM under this Agreement; CM may keep the job idle until all payments due are received. PO's failure to make payment, when due, is a material breach of this Agreement. 8. Clean Up. CM and or its contractors will remove from PO's property debris and surplus material created by the Work and leave it in a neat and broom clean condition. CM may store debris at the subject property for purposes of allowing insurance company to re -inspect materials. PO will not remove or cause further damage to these materials. If PO does damage or remove these materials from the subject property and causes the insurance not to pay for the damages materials and the restoration of said materials, then PO will be responsible for those costs. 9. Limitations. No action of any character arising from or related to this Agreement, or the performance thereof, shall be commenced by either party against the other more than two years after completion or cessation of work under this Agreement. 10. In no case shall CM, be responsible for damage to the property that occurs during the normal course of the "Work" as defined by this agreement when CM or its contractors, performs its Work using reasonable care. Such damage may occur due to preexisting damage and/or defects related to design, manufacturing, construction, and/or lack of required maintenance. Examples of such potential damage include damage caused by nails penetrating the roof deck as required by the Building Code, minor denting and scratching of gutters due to accessing the roof, oil droplets in the driveway, scuffs, scratches, and cracks in concrete, trim, or stucco, and damage to weak and/or deteriorated finishes outside our scope of repair. Examples of excluded interior damage include failing dust or debris, damaged wallboard, and nail pops caused by re -roofing. CM shall not be liable for any bowed, cracked, or sagging rafter after installation either caused or not caused by CM and/or its sub -contractors. CM is not responsible for any damage to interiors, rafters, and/or any and all housing structures resulting from removal of excess layers and/or the vibrations caused during the re -roofing process. (This is only intended to exclude responsibility for damage that occurs when CM, is using reasonable care in performing its work; CM would remain responsible if it did not exercise reasonable care in performing its work.) H. Asbestos, Lead, Mold, and other Hazardous Materials. PO hereby represents that PO has no knowledge of the existence on or in any portion of the premises affected by the Project of any asbestos, lead paint, mold (including all types of microbial matter or microbiological contamination, mildew or fungus), or other hazardous materials. Testing for the existence of mold and other hazardous materials shall be performed in accordance with Colorado Law. Unless the Agreement specifically calls for the removal, disturbance, or transportation of asbestos, polychlorinated biphenyl (PCB), mold, lead paint, or other hazardous substances or materials, the parties acknowledge that such work requires special procedures, precautions, and/or licenses. Therefore, unless the Agreement specifically calls for same, if CM encounters such substances, CM shall immediately stop work and notify the PO and obtain qualified asbestos and/or hazardous material contractor(s) to perform the work. Said work will be treated as an extra cost under this Agreement, and the Agreement Term setting forth the time for completion of the Work may be delayed. In the event that mold or microbial contamination is removed by CM, PO understands and agrees that due to the unpredictable characteristics of mold and microbial contamination, CM shall not be responsible for any recurring incidents of mold or microbial contamination appearing in the same or any adjacent location, subsequent to the completion of the work performed by CM. PO agrees to hold CM harmless, and shall indemnify CM harmless for any recurrence of mold or microbial contamination. PO also agrees that CM shall not be responsible, and agrees to hold CM harmless and indemnify CM, for the existence of mold or microbial contamination in any area that CM was not contracted to test and/or remediate. Further, PO is hereby informed, and hereby acknowledges, that most insurers expressly disclaim coverage for any actual or alleged damages arising from mold or microbial contamination. CM makes no representations whatsoever as to coverage for mold contamination, though at PO's additional expense, if requested in writing, CM will inquire as to the availability of additional coverage for such contamination or remediation, and if available, will obtain such coverage if the additional premium is paid for by PO as an extra. 12. Standards of Materials and Workmanship. CM shall restore using like kind and quality materials on the project unless otherwise stated in the Scope of Work, the plans, and/or specifications provided to CM prior to the execution of this Agreement. 13. Interest. Overdue payments will bear interest at the rate of 1.5% per month (18% per annum). 14. Changes in the Work. Should the PO, construction lender, or any public body or inspector direct any modification or addition to the work covered by this Agreement, the Contract Price shall be adjusted accordingly. This includes any requirements from governing bodies as it pertains to code items and other required construction requirements. Modification or addition to the work shall be executed only when both the PO and CM have signed a Change Order Agreement. 15. Excess Materials. CM has the right to order excess materials. All excess materials belong to CM. 16. Supplemental Estimates and Charges. CM reserves the right to file for supplemental insurance claim charges if insurance adjusters scope of work or recommended repairs are inadequate, incomplete, or unsatisfactory. CM reserves the right to submit supplemental insurance claim due to an increase in costs. Supplements paid by the insurance company for additional costs arising from materials, labor or additional scope of repairs are part of this Agreement as if contained herein and will be paid to CM. 17. Warranty. Any warranty from contractors or CM, either express or implied, shall not be effective until the Contract Price is paid in full. The Workmanship Warranty is provided by the contractors and is usually two years from the month of the roof installation. Some roof warranties can be 50 years and lifetime warranties. Labor warranty is void in the event of gale force winds (50 m.p.h.), lightning to roof, hurricane, tornado, hail damage, impacts of foreign objects or other violent storm or casualty, or damage to roofs due to settlement, distortion, failure or cracking of the roof deck, wall or foundation of building. PO agrees that material warranties are limited warranties issued by material manufactures and are subjected to terms and limitations from each manufacturer. 18. Inspections. The final payment in full shall not be held up, or retained contingent while waiting for the city, county, insurance company, or lien holder inspection or appropriate building department to complete final inspection and issue satisfactory completion. Final payments are due upon completion of construction in accordance with the terms of the Agreement. 19. Legal and Collection Fees. PO shall be liable for all costs of collection, including all court costs, all attorney's fees (both hourly and contingency fees), and all collection agency fees in the event this Agreement is placed for collection with an attorney and/or collection agency. 20. Validity and Damages. In case one or more of the provisions of this Agreement or any application thereof shall be invalid, unenforceable or illegal, the validity, enforceability and legality of the remaining provisions and any other applications shall not in any way be impaired thereby. Any damages for which CM may be liable to PO shall not, in any event, exceed the cash price of this Agreement. 21. Statement of Work: From time to time, Subcontractor may provide services to Contractor. In addition to the terms and conditions negotiated by the parties for particular projects, Contractor and Subcontractor hereby agree that the terms and conditions of this Subcontractor Agreement (the "Agreement') shall apply whenever Subcontractor provides services to Contractor. A. Review of Design and Field Conditions Al. Since the Contract Documents are complementary, before starting each portion of the Work, the Subcontractor shall carefully study and compare the various Drawings and other Contract Documents relative to that portion of the Work, as well as the information furnished by the Owner pursuant to Subparagraph 2.2.3, shall take field measurements of any existing conditions related to that portion of the Work and shall observe any conditions at the site affecting it. These obligations are for the purpose of facilitating construction by the Subcontractor and are not for the purpose of discovering errors, omissions, or inconsistencies in the Contract Documents; however, any errors, inconsistencies or omissions discovered by the Contractor shall be reported promptly to the Architect as a request for information in such form as the Architect may require. A2. Any design errors or omissions noted by the Subcontractor during this review shall be reported promptly to the Contractor and Architect, but it is recognized that the Subcontractor's review is made in the Subcontractor's capacity as a Subcontractor and not as a licensed design professional unless otherwise specifically provided in the Contract Documents. The Subcontractor is required to ascertain that the Contract Documents are in accordance with applicable laws, statutes, ordinances, building codes, and rules and regulations, but any nonconformity discovered by or made known to the Subcontractor shall be reported promptly to the Contractor and Architect. B. Architect's Delegation of Design Responsibilities B1. The Contractor shall not be required to provide professional services which constitute the practice of architecture or engineering unless such services are specifically required by the Contract Documents for a portion of the Work or unless the Contractor needs to provide such services in order to carry out the Contractor's responsibilities for construction means, methods, techniques, sequences and procedures. The Contractor shall not be required to provide professional services in violation of applicable law. If professional design services or certifications by a design professional related to systems, materials or equipment are specifically required of the Contractor by the Contract Documents, the Owner and the Architect will specify all performance and design criteria that such services must satisfy. The Contractor shall cause such services or certifications to be provided by a properly licensed design professional, whose signature and seal shall appear on all drawings, calculations, specifications, certifications, Shop Drawings and other submittals prepared by such professional. Shop Drawings and other submittals related to the Work designed or certified by such professional, if prepared by others, shall bear such professional's written approval when submitted to the Architect. The Owner and the Architect shall be entitled to rely upon the adequacy, accuracy and completeness of the services, certifications or approvals performed by such design professionals, provided the Owner and Architect have specified to the Contractor all performance and design criteria that such services must satisfy. Pursuant to this Subparagraph 3.12.10, the Architect will review, approve or take other appropriate action on submittals only for the limited purpose of checking for conformance with information given and the design concept expressed in the Contract Documents. The Contractor shall not be responsible for the adequacy of the performance or design criteria required by the Contract Documents. Article 2. Insurance: The Subcontractor, at its own expense, shall obtain and maintain in full force and effect, without interruption during the term of the Agreement, the following minimum levels of insurance: Al. Workers' Compensation insurance covering the legal liability of the Contractor and its Subcontractors under the applicable workers' compensation or occupational disease laws for claims for personal injuries and death resulting there from to the Contractor and its Subcontractor's employees. Commercial General Liability insurance covering the legal liability (including liability assumed contractually, whether incidental or not) of the Subcontractor who may be engaged in the services, for claims for personal injuries (including death) and property damage resulting there from arising out of the services to be performed by the Subcontractor, in an amount not less than $500,000 for any one occurrence, $1,000,000 general aggregate (subject to a per project general aggregate provision), $1,000,000 Products/Completed Operations aggregate limit. Commercial General Liability insurance shall be obtained and shall include broad form contractual liability coverage, products/completed operations, cross liability, severability of interest and broad form property damage (if required), and Contractor as well as its directors, officers and employees shall be named as an additional insured on such Commercial General Liability policy regarding liability arising out of operations performed under this Agreement. Form CG 20 10 07 04 and CG 20 37 07 04 must be shown on the certificate of insurance or its equivalent. Cl. Automobile Liability insurance shall provide coverage for owned, hired or non -owned automobile or other automotive equipment and Contractor shall be named as an additional insured on such policy. The Subcontractor's insurance coverage shall be primary insurance as respects work on this project for Contractor, its directors, officers, and employees. Any insurance or self-insurance maintained by Contractor shall be excess of the Subcontractor's insurance. The Subcontractor, in its agreements with subcontractors, shall require subcontractors to obtain insurance meeting the minimum limits and incorporating the contractual requirements that are prescribed by this Section. The Subcontractor hereby waives and relinquishes any right of subrogation against Contractor and its agents, representatives, employees, and affiliates they might possess for any policy of insurance provided under this Section or under any State or Federal Workers' Compensation or Employer's Liability Act. Subcontractor shall require its insurer to notify Contractor thirty (30) days prior to the effective date of any cancellation or material change in any of the required policies. To the extent that the Subcontractor utilizes deductibles in conjunction with the insurance required by this Agreement, all deductible expenses will be assumed by the Subcontractor. Insurance shall be placed with insurers with a Best rating of not less than A-. Article 5. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The prevailing party in any arbitration concerning this Agreement shall be entitled to reasonable attorneys' fees. Dispute Resolution In the event a dispute arises out of or in connection with this Agreement, the Parties will attempt to resolve the dispute through friendly consultation. If the dispute is not resolved within a reasonable period then any or all outstanding issues may be submitted to mediation in accordance with any statutory rules of mediation. If mediation is unavailable or is not successful in resolving the entire dispute, any outstanding issues will be submitted to final and binding arbitration in accordance with the laws of the State of Colorado. The arbitrator's award will be final, and judgment may be entered upon it by any court having jurisdiction within the State of Colorado. Prevailing will be entitled to be reimbursed for their attorney's fees. Article 7. Miscellaneous: Subcontractor is an independent contractor and not an employee of Contractor. This Agreement shall be in full force and effect from the date of signing unless canceled in writing by either party with thirty (30) days' written notice. The cancellation of this Agreement shall not negate any term or condition, such as the indemnity or insurance requirements. In addition to any other requirement of this Subcontract and the Contract Documents, Final Payment shall not become due unless and until the following conditions precedent to Final Payment have been satisfied: (a) Approval and acceptance of Subcontractor's work by Owner, Architect and Contractor; (b) delivery to Contractor of all manuals, "as -built" drawings, guarantees and warranties for material and equipment furnished by Subcontractor, or any other documents required by the Contract Documents; (c) receipt of Final Payment for Subcontractor work by Contractor from Owner, (d) furnishing to Contractor satisfactory evidence by Subcontractor that all labor and material accounts incurred by Subcontractor in connection with his Work have been paid in full; (e) furnishing to Contractor a complete Affidavit, Release of Lien and Waiver of Claim by Subcontractor in the form attached hereto as Exhibit "D", and as required by the Contract Documents. Subcontractor expressly assumes the risk of non pavment by the Owner to the Contractor. Subcontractor understands that Contractor is managing this project for the property owner, and that Contractor is not liable for non-payment from the owner or owner's insurance company. Subcontractor hereby agrees to hold Contractor harmless from non-payment by the owner or owner's insurance company, and Contractor is not liable for this non-payment. In addition to any other requirement of this Subcontract and the Contract Documents, Subcontractor agrees to pay or have subtracted from the total paid to Subcontractor 15% as a sales commission. if Contractor provides the sale (project) to subcontractor.
