This proposal is contingent upon the insurance company settling the claim with the assistance of Lumin and will be void ab initio if the claim is not approved by the insurance company. The insurance company and LUMIN will determine and set the price and scope of the claim. LUMIN is authorized to invoice the insurance company for additional repairs/ supplements, as necessary. LUMIN shall then be afforded the opportunity to inspect the premises and respond to the claim either by making a monetary settlement offer or offering to remedy the construction defect in accordance with applicable law. ENTIRE AGREEMENT; INTEGRATION; GOVERNING LAW. This agreement is the entire agreement between the parties concerning services to be provided to the property owner by LUMIN and replaces and supersedes any prior or contemporaneous negotiations, oral representations, agreements or understanding among or attributable to the parties hereto. No verbal agreements of any kind will be honored by LUMIN. This agreement and all performance thereunder shall be governed by and construed in accordance with the laws of the state where the property is located. If the property is located in the State of Colorado, LUMIN and property owner hereby expressly agree that any and all claims arising from the work by LUMIN shall be subject to the rights, remedies and procedures set forth in the Colorado Construction Defect Reform Act, C.R.S. section 13-20-802 et seq. If any provision of this agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the validity of the remaining provisions shall not be affected thereby. The terms and conditions set forth herein are hereby integrated into all agreements by and between LUMIN and the property owner, whether or not explicitly stated therein. MISCELLANEOUS. Finance charges of one and one-half percent (1.5%) per month will be added after thirty (30) days of completion if the charges incurred under this agreement are not timely paid in full. If collection and/or legal action is taken by LUMIN in connection with this agreement, LUMIN shall be entitled to reasonable attorney and court fees and costs. LUMIN reserves all its legal and equitable remedies for non- payment, including, without limitation, the right to file a lien against the property. All excess materials shall be the property of LUMIN. Performance hereunder by LUMIN is contingent upon labor strikes, material shortages, accidents or delays beyond the reasonable control of LUMIN. This agreement may be canceled by LUMIN within 30 days. LIMITED WARRANTY. Lumin General Contractors is not a manufacturer. If any equipment or materials are used or purchased by LUMIN for use on-site, the manufacturers' warranties, if any, of the equipment and materials are provided solely by the manufacturer. LUMIN provides a two-year warranty on LUMIN's workmanship, subject to normal use and conditions and the other terms and conditions set forth herein. The following conditions are unrelated to LUMIN's workmanship and are excluded from warranty coverage: damage caused by settling of the foundation or the premises, fire, misuse, maintenance failures, lightning, windstorm, hailstorm or other weather conditions or casualties. Unless LUMIN's scope of work includes such areas, LUMIN is not responsible for any damage below the roof; liability is limited to the roof repair only. LUMIN is not responsible for damage caused by improper original construction, faulty framing, wiring, plumbing, masonry, drywall cracks, bracing, roof decks or pre-existing conditions. LUMIN is not responsible for decayed siding, paint and sheetrock damage caused by vibration or otherwise. LUMIN is not responsible for damaged electrical cable, air conditioning or plumbing lines which are installed within six (6) inches of the roofline. LUMIN is not responsible for any structural movement, settling, vibrations, cracks in drywall or driveway due to the roofing or loading process. During the normal course of work, it is possible that dust and dirt may infiltrate into the attic space during installation or removal of roofing tiles, particularly slate and underlying felt. LUMIN will not be responsible for clean-up of attic space or any other interior areas. It is the responsibility of the property owner to notify LUMIN if the premises contain exposed decking such as cathedral ceilings so that proper length nails can be used. LUMIN's limited warranty for roof work is conditioned upon the property owner's performance of general roof maintenance, including the matters set forth herein. Please be advised that the accumulation of leaves or pine needles in gutters or roof valley produce what is commonly referred to as "water dam," which can force water under the roofing and produce leaks through the roof structure. These leaks can travel along roof joints, etc. and produce interior damage at points far distant from the leak. Water dams and ice dams are the responsibility of the property owner to prevent. Adequate ventilation is necessary to keep attic temperature close to outside temperature, helping to prevent the deck delamination at the roof and the formation of ice dams in gutters and valleys. Adequate ventilation is essential to the life of asphalt shingles. Inadequate ventilation may result in moisture condensation and can cause rotting of the wood deck and/or blistering or curling of asphalt shingles, which is not a defect in the shingle, but is a direct result of moisture being drawn through the shingle by the sun. Installation or relocation of antennae or other equipment on the roof may cause leaks unless proper sealants are used at any point where screws or other anchoring devices enter the roof. Avoid all unnecessary roof traffic, particularly on concrete tiles, as it can damage tiles and greatly diminish the life of the roof. Leaking can occur in or around the chimney, unless it is periodically tuck -pointed. The flashing compounds around the chimney and vent pipe areas require normal maintenance on an annual basis. These areas should be inspected periodically for cracking or indication of weathering and must be reflashed accordingly. SB12-38: 1. LUMIN does not claim to be or act as a public insu rance adjuster adjusting claims for losses or damages. 2. In accordance with Colorado Revised Statutes (C.R.S.)
