Notwithstanding the foregoing sentence, Applewood and GMB acknowledge and agree that the success of the GMB's bUSItteSSCS in the GMB Property is heavily dependent on its customers being able to park in (hose parking spaces that are cross-hatched on the S'ste Plan (ere "Designated Spaces"). Applcwood shall use its best efforts to cause its Pcntliltces, employees to utilize available off-street parking and to otherwise park in spaces not within the Designated: Spaces. If at any time following GMB's Pcrmittees opening of their respective businesses un the GMB Property for business, GMB reasonably detcrntincs [hat Applewood's Permiuees' usage of the Designated Spaces (i) is adversely affecting the business activities being wnduCtted on the GMI3 Property, or (ii) is inconveniencing GMB's Pennittecs, then GMii and its Petnrittees shalt have, the exclusive right to park on the Designated Spares, and GMB shall have the right to place signs on such parking spaces stating "Reserved Parki+tg- (GMB's Pennittees' customers} Otrly." Mainteflance of Common Areas. Isach Party shall maintain in good condition and repair, or cause to be inaintaincd and kept in repair, the portion of fho Common Areas situated upon its respective Property (or upon municipal property adjacent to its Property if required by applicable governmental authorities). The obligation of the Parties hereunder shall include, but shall not be limiced tq the following: a} Maintaining any paved surfaces at such grades and levels that the same may be used and enjoyfed as contiguous and homogeneous Common Ateas, and maintaining the surfaces in a level, sltlooth and evenly-covered condition (including filling any potholes) with the type of surfacing rhaterial originally installed or of similar quality, use and durability; h) Removing all unsightly weeds, papers, debris, snow, ix, filth and refuse, and thoroughly sweeping the areas to the extent reasonably necessary to keep said areas in a neat, clean and orderly condition; c) Placing, keeping in repair and replacing any necessary and appropriate directional signs, striping markers and lints, and operating, keeping in repair and replacing, when nxcssary, such artificial lighting facilities as shall be reasonably requved; d) 141aintaining any perimeter walls, sidewalks, storm drains, drainage swells, curb cuts, utility lines and sewers, if any, in good condition and stale of repair; and e) Maintaining all landscaped areas, making such replacements of shrubs and other landscaping as is necessary, and keeping said areas a[ all times adequately weeded, fertilized and watered. ~ Maintaining contiguous and, to the extent possible, straight and evert drive lanes and aisles and pedestrian walkways to promote the steady and smooth tlow of vehicular and pedestrian traffic between the Properties. Any such maintenance or repair activities shall be performed in suclt a manner as to not disrupt the other Parties' business operations nr use and enjoyment of their respective property. Conde lion. _ a} In the event of a taking under a right of cmincttt domain, whether in condemnation or by p5ivatc sale in lien thereof, of all or any portion of the Common Areas, the atvard or purchase price paid for such taking shall be paid pro rata to the Parties based upon tfte area of the Common Areas within its respective Property as a portion of the total area of the Common Areas so taken. Consensus was that Commissioner CERVENY was appointed to further investigate costs and time frames - for.undergrounding utilities. Additionally, Commissioner CERVENY will search.£or alternate ways to fund undergrounding utilities in the . future.
