met.

Case No. MS-06-03: An application filed by Lucy Dinneen for approval of a 2-lot
minor subdivision plat for property located at 5400 West 38th Avenue.
This was case was presented by JeffHirt. He entered all pertinent documents into the record
and advised the Commission there was jurisdiction to hear the case. He reviewed the. staff
report and digital presentation. Staff recommended approval of the application for reasons
outlined in the staff report. The applicant was not present for the hearing.
John Montoya
3755 Benton Street
Mr. Montoya was sworn in by Chair WESLEY. Mr. Montoya lives just south ofthe subject
property and was concerned about the distance between any proposed buildings and his fence.
He understood there was at ten-foot easement between his lot and the applicant's property.
Charles Durbin
3703 Ames Street
Mr. Durbin was sworn in by Chair WESLEY. He expressed concern that the application was in
opposition to the city's redevelopment plan for the area and noted that the Urban Renewal
Authority concluded at its March 21,2006 meeting that it was not consistent with the 38th
Avenue redevelopment plan. He commented that it seemed to him the property was laid out for
a subdivision before the auto parts building went up. Further, the lot istoo small for a two-
family dwelling and there is no curb cut.
Cheng Ku
8534 East 28th Avenue, Denver
Mr. Ku was sworn in by Chair WESLEY. Mr. Ku was the architect for the Advance Auto Parts
store recently completed on the subject property. He clarified that the easement between the
auto parts property and Mr. Montoya's property is five, rather than ten, feet. He stated that
approximately three months ago, the applicant had expressed an intention to build a duplex on
the property.
Commissioner CHIL VERS stated that it appears this would remain commercial because
nothing else seems to be definite at this time.
In response to .a question from Commissioner PLUMMER, Alan White explained that under
existing zoning, the property owner could make application for a Planned Residential
Development and write specific lot standards. There is also a charter provision that limits
density.

Commissioner BRINKMAN stated that she would like to have more information about the
proposed use and, although it is not required, she would have preferred to see a zoning change
application.
In response to a question from Commissioner ~flirt stated that Advance Auto.
Parts meets all parking requirements, and may have surplus parking spaces. Commissioner
McMILLIN commented that he would like to see,the applicant have the ability to develop the
property as residential. '
Commissioner STEWART asked if the subject property could be used for auto repair. Alan
White replied that auto repair would be a special use,
Commissioner SPANIEL commented that she didn't see a good reason to vote against it. She
did not believe it would be a good location for a small business.
Commissioner WESLEY commented that the revitalization plan suggests that additional multi-
family dwellings in the city be kept to a minimum and, therefore, any residential use of this
property should be limited to a single- family dwelling.
It was moved by Commissioner PLUMMER and seconded by Commissioner
BRINKMAN to deny Case No. MS-06-03 on the basis that it is not appropriate to have a
small commercial lot encroaching into the neighborhood.
Commissioner BRINKMAN offered a friendly'amendment to add to the reason for denial that
the application does not meet the gUidelines of the Comprehensive Plan and the neighborhood
revitalization strategy for the city. Commissioner PLUMMER did not accept the amendment.
Commissioner BRINKMAN moved to amend the motion to refer to the Urban Renewal
Authority's concern about subdividing this property and the argument that the
application is not compatible with the city's future redevelopment and revitalization plan.
The motion died for lack of a second.
The motion failed 4-3 with Commissioners CIDLVERS, McMILLIN, SPANIEL and
STEW ART voting no.
It was moved by Commissioner STEWART and seconded by Commissioner McMILLIN
to approve the minor subdivision request for the following reasons: (1) all requirements
l of the City's Subdivision Regulations have been met; and (2) all applicable development
standards for the Commercial-One zone district have been met. The motion passed 4-3
with Commissioners BRINKMAN, WESLEY and PLUMMER voting no.
B. Case No. WP A-06-02: A resolution adopting the Northwest Subarea Plan
Alan White advised the Commission that in addition to required public notice, notice was
provided to those individuals on a mailing list compiled from previous workshops held on the
subarea plan. He then introduced J effWinston.

All notification and posting requirements have been met; therefore, there is jurisdiction to hear this case.
I. REQUEST
The applicant is requesting approval of a 2-lot minor subdivision on property zoned Conunercial-One (C-l) and
located at 5400 West 38'" Avenue t~~~~.
The subject property currently has a recently ~___telY 7,000 square foot conunercial building
with associated parking areas and dnve aisles." . .., ,,:,~-.1'tl\jit ~-. The new lot whICh IS proposed to be
created with this request is currently vacant with no structures on it ~~. The applicant is
requesting to create a new lot that is approximately 6,580 square feet in size. The new lot created will also keep
the current zoning with this request, which is Conunercial One (C-l).
II. ANALYSIS
This request is only for the subdivision of the subject property, and does not include any site plan approval,
variances, or zone change requests. No structures or uses are proposed at this time for the new lot.
The new lot would be approximately 6,680 square feet in size, or approximately 51' X 125' with an irregular
shaped front lot line adjacent to Benton Street. The new lot, if approved, would also retain the current C-l
zoning. The C-l development standards (Sec. 26-218) do not require a minimum lot size or lot width, therefore
the new lot would be a conforming lot in this regard. Any new development on the lot would however be
subject to the other development standards for the C-l zone district, including setbacks, lot coverage,
landscaping and parking. The new lot created, if approved, would be relatively small; however no plans for
physical improvements to the property are proposed at this time. It is therefore difficult to ascertain if
development would be problematic on this new lot. The creation of a small lot that may be problematic for
future development is not a criteria staff can use to evaluate the request and make a reconunendation.
Currently the area which may encompass the new lot, although not formally landscaped, acts as a buffer
between the new conunercial development to the north and the residential uses to the inunediate south.
Creating a freestanding C-l zoned lot would enable an additional conunercial use on the new property, provided
that all development standards can be met. If the applicant were to ultimately request a zone change to
residential, for example, all residential development standards must be met as well.
The applicant has expressed that the intent of the subdivision request is to ultimately create a residentially zoned
and used property ~&. As noted however, this request is only for the subdivision of the land and
does not involve any additional requests for the use of the land or otherwise. New freestanding residential
structures are not pennitted in the C-l zone district.
IV. AGENCY REFERRALS
All agencies are currently able to serve the property and can continue to do so with the proposed minor
subdivision. Any service upgrades required by the referral agencies will be addressed if the applicant submits

V. STAFF CONCLUSIONS AND RECOMMENDATIONS
The requirements of the Subdivision Regulations have been met and the parcel to be created meets all
applicable development standards for property zoned Conunercial-One. Therefore, staff recommends
APPROVAL of the minor subdivision request for the following reasons:
1. All requirements of the City's Subdivision Regulations have been met.
2. All applicable development standards for the Commercial-One zone district have been met.

We appreciate your concerns regarding this replat of the Advance Auto Lot. This
letter will hopefully address most of those concerns.
This site is currently zoned commercial but we do not believe the highest and
best use for the rear parcel or excess land is commercial. It is our hope to
ultimately rezone the property so we can build either a single family home or a
small duplex that would be compatible with the surrounding homes.
We have simply pursued the replat first due to time frame limitations. We need
to separate the back parcel from the front parcel to enable different ownership
structures that will then be able to pursue the rezone.

The subdivision increases the number of owners in the area and would not be

LIMITED LIABILITY COMPANY AGREEMENT

BTS BENTON AA LLC
This Limited Liability Company Agreement (this "Agreement") of BTS BENTON AA
LLC is entered into by the person set forth on Schedule A hereto, as sole member (the
"Member").
The Member hereby desires to form a limited liability company pursuant to and in
accordance with the laws of the State of Colorado (the "Laws"), and hereby agrees as follows:
I. Name. The name of the limited liability company is "BTS BENTON AA LLC"
(the "Companv").
2. Pumose. The Company is formed for the object and purpose of, and the nature of
the business to be conducted and promoted by the Company is, engaging in any lawful act or
activity for which limited liability companies may be formed under the Laws and engaging in
any and all activities necessary or incidental to the foregoing.
3. Members. The name and mailing address of the Member is as set forth on
Schedule A hereto.
4. Powers. The business and affairs of the Company shall be managed by William
R. Rothacker ("Manager"). The Manager shall have the power to do any and all acts necessary
or convenient to or for the furtherance of the purposes described herein, including all powers,
statutory or otherwise, possessed by members under the laws of the State of Colorado. The
Manager, the Member, their designees and their officers are each hereby designated as an
authorized person, within the meaning of the Laws, to execute, deliver and file the certificate of
formation of the Company (and any amendments and/or restatements thereof) and any other
certificates (and any amendments and/or restatements thereof) necessary for the Company to
qualify to do business in a jurisdiction in which the Company may wish to conduct business. The
Manager, the Member, their designees and their officers are each, acting singly, hereby
authorized, empowered and directed in the name and on behalf of the Company to approve,
execute and deliver any and all agreements, certificates or any other documents on behalf of the
Company.
5. Dissolution. The Company shall dissolve, and its affairs shall be wound up upon
the written consent of the Member.
6. Contributions. The Member agrees to contribute to the capital of the Company,
upon request by the Manager, the amount set forth on Schedule A. No Member shall be required
to make any additional contribution to the capital ofth~ Company.
7. Distributions. Distributions shall be made to the Member at the times and in the
aggregate amounts determined by the Manager.

8. Assignments. A Member may not assign in whole or in part his limited liability
company interest without the written consent of the Manager which consent may be granted or
withheld in his sole and absolute discretion.
9. Resignation. A Member may not resign from the Company without the
Manager's consent.
10. Liabilitv of Members. The Member shall not have any liability for the obligations
or liabilities of the Company except to the extent provided in the Laws.
11. Indemnity of the Manager.
(a) The Company shall indemnify the Member and Manager in respect to the
payments made and personal liabilities reasonably incurred by the Member or Manager in the
ordinary and proper conduct of the Company's business or property.
(b) The Company may purchase and maintain insurance on behalf of a person
who is or was a Manager, employee, fiduciary, or agent of the Company in their capacity as such
or who, while a Manager, employee, fiduciary, or agent of the Company, is or was serving at the
request of the Company as Manager, officer, partner, trustee, employee, fiduciary, or agent of
any other foreign or domestic limited liability company or any corporation, partnership, joint
venture, trust, other enterprise, or employee benefit plan against any liability asserted against or
incurred by such person in any such capacity or arising out of such person's status as such,
whether or not the Company would have the power to indemnify such person against such
liability under the provisions of this Section 11. Any such insurance may be procured from any
insurance company designated by the Member of the Company, whether such insurance
company is formed under the laws of the State of Colorado or any other jurisdiction of the
United States or elsewhere.
(c) Any indemnification of or advance of expenses to a Manager in
accordance with this Section 11, if arising out of a proceeding by or on behalf of the Company,
shall be reported in writing to the Member with or before the notice of the next Member's
meeting.
(d) The indemnification set forth in this Section 11 shall in no event cause the
Member to incur any liability, or result in any liability of the Member to any third party, beyond
those liabilities specifically enumerated in the Articles, the Laws or this Agreement.
12. Governing Law. This Agreement shall be governed by, and construed under, the
laws of the State of Colorado, all rights and remedies being governed by said laws.

INVESlMENTS LLC, a Delaware limited liability company, as the sole member ("Member"), ofBTS
BENTON AA LLC, a Colorado limited liability company ("Company''), acting without notice or the
holding of a meeting, hereby waive notice and the holding of such meeting and hereby consent to, adopt
and vote for the following resolutions, which shall have the same force and effect as if such actions had
been taken at a formal meeting called for said purpose:
WHEREAS, the Company desires to acquire that certain property located at comer of 38'" and
Benton, in the City of Wheat Ridge, County of Jefferson, State of Colorado (''Property''), upon which the
Company desires to construct improvements for use by Advance Stores Company, I1icoIporated
("Advance''). The Company has entered into a lease with Advance for occupancy thereof ("Lease").
RESOLVED, that each of Gregory B. Ham, the Chief Operating Officer of the Company, and
David M. Becker, the Chief Financial Officer of the Company, is hereby appointed as an authorized
representative of the Company (''Representative'') for the purposes stated in this Consent.
RESOLVED, each Representative is hereby authorized, directed and empowered for and in the
name of the Company, without the consent or approval of any other person or entity, (i) to execute and
deliver on behalf of the Company any and all purchase and sale agreements, deeds, assignments,
documents, instruments and agreements deemed necessary by any such Representative to acquire the
Property and to lease the Property to Advance and to otherwise consummate the acquisition of the
Property by Company ("Closing Docnments"), (Ii) to execute and deliver on behalf of the Company any
and all documents, instruments and agreements necessary to obtain any loans with respect to the Property
("Loan Documents"), and (ill) to take any and all other actions now or hereafter deemed necessary,
desirable or advisable by any such Representative, in his sole discretion, to consummate the closing of the
acquisition of the Property; and
BE IT FURTHER RESOLVED, that any actions taken and documents executed by any
Representative in connection with the acquisition of the Property on or before the date of this Consent are
hereby approved; and
BE IT FURTHER RESOLVED, that the Company has the full right, power and authority (and it
is in the best interest of the Company) to acquire the Property, and to perfonn all of the obligations of the
Company in connection with the Closing Documents and Loan Documents; and
BE IT FURTHER RESOLVED, that any such Closing Documents and Loan Documents shall be
in such form and shall contain such terms and conditions as may be approved by any Representative.

The following mattersilre expressly exduded from the coverage of this policy and the Company will not pay loss or
damage, costs, attorneys' fees or expenses which arise by reason of:

CONDITIONS AND STIPULATIONS
,. DEFINmON OF TERMS
The foRowing terms when used in this policy mean:
(8) "insured"; the insured named in Schedule A. and. subject to any rights
or defenses the COmpany would have had against the named insured, those
who succeed -to the Interest l)f the named insured by operation of law as
distinguished from purchase including, but not limited to, heirs, distributees,
devisees, ~urvivors, personal representatives, next of kin" or corporate or
fiduciary successors.
(b) "insured claimant": an Insured claiming loss or damage.
(e) "knowledge" or "known": aCtual knowledge, not constructive kn0wl-
edge or OOlice which-may be imputed to an insured by reason of the public
records as defined in this policy or any other record5 which impart consll1JOo

(I) "public records": records established under state statutes at Date of
Policy for the purpose of imparting constructive notice of matters relating to
real property to purchasers for value and without knowledge. With respect 10
Section 1(a)fw) ofthe Exclusions From Coverage, "public records" shall atso
include environmental protection liens filed In the records of the clerk of the
Uniled States district court for the district in which the land is klcated.
(g) "unmarketability of the tiUe": an alleged or apparent matter affecting
the title to the Jand, not excluded or excepled from coverage, which would
entitle a purchaser of the eslale or Interest described In Schedule A to be
released from the obligation to purchaSe by virtue of a contractual condition
requiring the delwe!y of marketable title.
2. CONTINUATION OF INSURANCE AFTER CONVEYANCE OF TITLE
The coverage of this policy shall continue in force as of Dale of Policy in
favor of an insullKhmly so long as the insured retains an estate or interest in
the land. or hQlds an indebtedness secured by a, Pl1rchase money mortgage
given bY a purchaser_from the Insured, or only so long as the insured-shall
have liability by reason Of covenants of warranty made by the Insured in any
transferor cOnveyance of th~ estate or interest. This policy shall not continue
in force in favor of any purchaser from the insured of either (i) an estate or
interest in the land, or (il) an Indebtedness secured by a purchase money
mortgage given to the Insured.
3. NOTlCE"OF Cl.AIM TO BE GIVEN BY INSURED CLAIMANT
. -The.insured .shall notify the Company prompUy In writing (i) in'case of any

4. ,DEFENSE AND PROSECUTION OF ACTIONS; DUTY OF INSURED
CLAIMANT TO COOPERATE

(c) Whenever the Company shall have brought an acUon or Interposed a
defense as required or permitted by the provisions of this policy, the COmpany
may pursue any liIigation to final determination by a court of competent juris--
diction and expressly reserves the right, in its sole discretion, to appeal from
any adverse judgment or order.
(d) In all cases where this policy permits or requires the Company to prose-
cute or provide for the defense of any action or proceeding, the insured shall
secure to the Company the right to so prosecute or provide defense in the
action or proceeding, and all appeals therein. and pennlt the Company to
use, at its option, the name of the Insured for this purpose. Whenever
requested by Ihe Company. the insured. at the Company's expense, shall give
the Company all reasonable aid (l) In any action or proceeding, securing
evidence, obtaining witnesses, prosecut1ng or defending the acoon or pro-
ceeding, or effecting settlement. and (il} In any other lawful act which in the
opinion oftheComP<;lny may be necessary or desirable to establish the title to
the estate or interest as insured. If the Company is prejudiced by the failure of
the insured to fumish the required coopemtion, the Company's obligations to
the insured under the policy shall terminate, including any liablllly or obnga~
lion fo defend, prosecute. or continue any 1II1gatloo, with regard to the maner
or matters requiring such cooperation.
6. PROOF OF LOSS OR DAMAGE
In addition to and after the notices required under SeeDen 3 ofthese Condi~
tions and Stipulations have been provided the Company, a proof -of loss or
damage signed and swom to by the Insured claimant shall be furnished 10 the
Company within 90 days after the insured claimant shall ascertain the facts
gMng rise ,to the loss or damage. The proof of loss or damage shall describe
the defect in, or lien or encumbrance on the title. or other mailer insured
againsl by this policy which eanstllutes the basis 01 loss or damage and shall
state, to the exlent possible. the basis of calculating the_amount of the loss or
damage. If the Company Is prejudiced by the failure of the insured claimant to
provide the required proof of loss or.damage, the Company's obligations to
the insured under the poficy shall terminate, Including any liability or obliga.
tion to defend. prosecute, or continue any litigation, with regard to the matter
or matters requiring such proof of loss or damage.
In addition. the Insur8d claimant may reasonably be required to submit to
examination under oath by any authorized .representative of the Company
and shall produce for examination, inspection and copying. at such reason~
able times and places as may be designated by any authorized representative
of the Company, all records, books, ledgers, checks, correspondence and
memoranda. whether bearing a date before or after Date of Policy, which
reasenably pertain to the loss or damage. Further. if requested by any autho-
rized representative of Ute Company, the Insured claimant shall grant lis
pennlsslon, in writing, for any authorized representative of the Company to
examine, inspect and copy all records. books, ledgers. checks. correspon-
dence and memoranda in the custody or control ofa third party. which feason~
ably pertain to the loss or damage. All Information designated as confidential
by the insured claimant provided to the Company pursuant to this Section
shall not be disclosecllO others unless. in the reasonable judgment of the
Company. It is necessary In the administration of the claim. Failure of the
insured cl_aimarrtto submit for examination underoalh. produce other reason~
ably requested information or grant permiSf!ion 10 secure reasonably neces.-
sary infa:rmation from third parties as required In this paragraph shaJltermi-
nate any liability of the Company under thJs policy as to that claim.
S. OPTIONS TO PAY OR OTHERWISE SETTLE CLAIMS; TERMINATION
OF LIABILITY
In case of a claim under this policy. the Company shall have the following
additional options:
(a) To Pay or Tender Payment of the Amount of Insurance.
To payor tender payment of the amount of insurance under this policy
togeI.herwith any costs, attorneys' fees and expenses incurred by the insured
claimant, which were authorized by the Company. up to the time of payment or
tender of payment and which the Company is obligated to pay.
Upon the exercise by the ColJlpanyof this option. all liability and obligations
IOtheinsured underlhlspolicy. Otherlhan to make the payment required. shell
terminate, Including any liability Dr ob6gation to defend. prosecute, or con.
tlnue any lillgation, and the policy shall be surrendered 10 the Company for
cancellation.
(b) To Pay or Otherwise Settle With PartIes Other than the Insured or
WIth the Insured ClaimBnL
(i) to pay or.otherwise seWe with other parties for or in the name oJ an
insured claimantanyclaiminsured against under this policy, together.with any:
costs. attorneys' fees and expenses incurred by the insured claimant which
were authorized by the Company up to the time of payment and which the
Company is obligated to pay; or

provided for under this policy, together with any costs, attorneys' fees and
expenses incurred by the insured claimant which were authorized by ~

Upon the exercise by the Company of either of the options provided fOf in
paragraphs (b}(l) or (ii), the Company's obllg~tions to the Insured under this
policy for the claimed loss or "damage, other than the payments required to be
made, shall terminate, including any liability or obligation to defend, prose-
cute or continue any litigation.
7. DETERMINATION, EXTENT OF LIABILITY AND COINSURANCE
This polley Is a contract of indemnity against actual' monetary loss or dam-
age sustained or incurred b.y the Insured claimant who has suffered loss or
damage by reason of matters insured against by this pollcy.and only to the
exlent herein described.
(a) The liability of the Company under this. policy shall not exceed the least
of:
(I) the Amount of Insurance slated in Schedule A; or,
(iij the difference between the value of the Insured estate or interest as
insured and the value of the insured estate or interest SUbject to the defect,
lien or encumbrance insured against by this pollcy.
(b) In the event the Amount of Insurance slated in Schedule A at the Date of
Poli.cy is less than 80 Percent of the value of the insured estate or interest or
the full consideration paid for the land, whichever is less. or if sUbsequenUo
the Date of Policy an Improvement is erected on the land which increases the
value oftha insured estate or interest by atleasl20 percent over rhe Amounl 01
Insurance stated in Schedule A, then this Policy is subject 10 the following:
(i) where no subsequent improvement has been made. as to any partial
loss, the Company shall only pay' rhe loss pro rata in the proportion that the
amount of insurance at Date of Policy bears 10 the total value of the insured
estate or Interest at Date of Policy; or
(Ii) where a subsequent improvement has been made, as 10 any par1ial
loss, the Company shall only pay the loss pro.rata in the proportion that 120
percent of the Amount of Insurance staled in Schedule A bears to the sum of
the Amount of Insurance stated in Schedule A and the amount expencled for
the improvement.
, The provisions of this paragraph shall not apply to costs, attorneys' fees
and expenses for which the Company is liable under this policy, and shall only
apply tothat portion of any loss which exceeds, in the aggregate, 10 percent of
the Amount of Insurance stated in Schedule A.
(e) The Company will pay only those costs. attorneys' fees and expanses
incurred in accordance with Section 4 of these Conditions and S1ipulations.
8. APPORTIONMENT
Jf the land described in Schedule A consists of two or more parcels which
are not used as a single site, and a loss is established affecting one or more of
the parcels but not all, the loss shall be computed and settled on a pro rata
basis as if the amount of insurance under this policy was divided pro ralaas to
the value on Date of Policy of each separate parcel to the whole, exclusive of
any improvements made subsequent 10 Date of Policy, unless a liability or
value has otherwise been agreed upon as to e8ch parcel by the Company and
the insured at the time of the issuance of this policy and shown by an express
statement or by an endorsement attached to this policy.
9. LIMITATION OF LIABILITY
(8) If the Company establishes the title, or removes the alleged defect. lien
or encumbrance, or cures the lack of a right of access to or from the land, or
cures the claim of unmarketabiUty of title, all as Insured, in a reasonably
diligent manner by any method, Including litigation and the completion of any
appeals therefrom, it shall have fully performed its obligations with respect to
that matter and shall not be liable for any loss or damage caused thereby,
(b) In the BYent of any Iitigallon. including litigation by the Company or with
the Company's consent, the Company shall have no liability for loss or <tam-
age until there has been a final determination by a court of competen1 jurisdic--
tion, and disposition of all appeals therefrom, adverse (0 the tftle as Insured.
(c) The Company shall not be liable for loss or damage to any insured for
liability voluntarily assumed by the insured in settling any claim 9r suit without
the prior written consent of the Company,
10. REDUCTION OF INSURANCE; REDUCTION OR TERMINATION OF
LIABILITY
All payments under this policy. except payments made for costs, attorneys'
fees and expenses, shall reduce the amotlnt of the insurance pro tanto.
11. LIABILITY NONCUMULATIVE
It is expressly understood thai the amount of insumnce under this policy
shall be reduced by any amount the COmpany may pay under any policy
insuring a mortgage to which exception is, taken in Schedule B orto which the
insured has agreed. assumed, or taken subject, or which is hereafter ex-
ecuted by an insured and which is a charge or lien on the estate or Interest
described or referred to in Schedule A, and the amount so paid shall be
deemed a-payment under this policy,to the insured owner.
12. PAYMENT OF LOSS
(a) No payment shall be made without producing this policy for endorse-
ment of the payment unless the policy has been lost or destroyed, In which
case proof of loss or d$$l:ruction shall be furnished to the satisfaction of the
Company.

(b) When liability and the extent of loss or damage has been definitely fixed
in accordance with these Conditions and Stipulations. the loss or damage
shall be payable within 30 days thereafter,
13. SUBROGATION UPON PAYMENT OR SETTLEMENT
(a) The Company's Right of Subrogation:
Whenever the Company shall have seWed and paid a claim under this
policy, all right of subrogation shall vest in the Company unaffected by any act
of the insured claimant.
The Company shall be subrogated to and be entitled to all rights and
remedies which the insured claimant would have had agalnsl any person or
property In 'respect to the claim had this policy not been issued. If requested by
the Company, the insured claimant shall transfer to the Company all rights
and remedies against any person or property necessary in order to perfect
this right of subrogation. The insured claimant shall permit the Company to
sue, compromise or settle in Ihe name of the Insured claimanl and to use the
name of the Insured ~Iaimant In any transaction or litigation involving these
rights or remedies.
If a payment on accounl of a c!aim does not fully ~DVer the loss of the
insured claimant, the Company shall be subrogated to these rights and reme.
dies .in the proportion which the Company's payment bears to the whole
amount of the loss. "
If loss should result (rom any act of the insured claimant, as stated above,
that act shall not void this policy, but the Company, in that event, shall be
required to pay only that part of any losses insured against by this policy which

(b) The Company's RIghts Against Non.insured Obligors,
The Company's right of subrogation against non-insured obligors shall
exist and shall include, without limitation, the rights of the insured to indem-

terms or conditions contained in those instruments which provide for subroga-
tion rights by reason of this policy.
14. ARBITRATION
Unless prohibited by appUcable law, eilher the Company orthe insured may
demand arbitration pursuant to the Title Insurance Arbitration Rules of the
American Arbitration AssociaUon. Arbitrable matters may include. but are not
limited la, any controversy Of claim between the Company and the insured
arising out of or relating to this policy, any seri/ice of the Company in connec-
tion with its issuance or the breach of a policy provIsion or other obligation. All
arbitrable matters when the Amount of Insurance is $1,000.000 or less shall
be arbitrated at the option of either the Company or the insured, All arbitrable
matters when the Amount of Insurance is in excess of $1,000,000 shall be
arbitrated only when agreed to by both the Company and the insured. Arbitra~
tion pursuant to this policy and under the Rules in effect on the date the

Avenue received on March 15, 2006, and I have the following conunents: '
Surveying Comments
1. Show all zoning, both for the 2 lots in the platted area and also for adjoining parcels.
2. Per Section 26-407 of the Municipal Code of Laws, the Legal Description shall include a metes and
bounds description showing accurate dimensions, with bearings and tie(s) to section and/or Y. section
comers being consistent with the current City Datum. Based upon Code requirements, the following shall
be included
3. The Basis of Bearing statement needs to utilize a city-based bearing. The City-based bearing for the north
line of the NE y., Section 25 is N 89059'58"E.
4. Please modify all the bearings shown for the subdivision boundary, lot line, and Legal Description, to
reflect city-based bearings. Please be advised that subsequent to these modifications, additional comments
may be forthcoming regarding closure for both the lots and the subdivision boundary, and also how the
subdivision fits the section.
5. Need to include the Case History MS-06-03.
6. Need to include a P.L.S. seal and signature on the Mylar@copy.
