Woodward of 4733 Robb Street, Wheat Ridge, Colorado, 80033, the "Landlord", and Foothills Academy, a Colorado Nonprofit corporation having its principal place of business at 4725 Miller Street, Wheat Ridge, Colorado 80033, the "Tenant". To keep the Property in good condition and repair and at the expiration of this lease to surrender and deliver up the same in as good order and condition as when entered upon, loss by fire, flood, inevitable accident, act of God or ordinary wear and tear excepted; 3. To not assign this lease or any interest therein without prior written consent of the Landlord; 4. To use the Property for no unlawful or questionable purpose, and to obey all laws, ordinances and police regulations in relation to the use and condition of the Property and the roads and streets adjoining the Property. The Landlord covenants and agrees as follows: 1. To pay all taxes, assessments, and other charges imposed by any governmental or quasi-governmental entity on the ownership of the Property; 2. To repair any damage to the Property caused by Act of God. In the event that any payment required hereunder is not made within ten days after the payment is due, a late charge in the amount of five percent (5%) of the payment will be paid by the Tenant. It is mutually agreed that if the Tenant isortionrthereof,tor payment of any installment of rent or any p is in default of any of the covenants or agreements contained in this agreement, or vacates the Property, and such condition remains uncorrected for a period of three days after Landlord has given written notice thereof, Landlord, may, at his option, and without liability for trespass or damages, enter upon said Property or a portion thereof; declare the term of this lease ended; repossess the said premises; and peacefully expel and remove the Tenant, those claiming under him, or any person or persons occupying the same. IT IS FURTHER MUTUALLY AGREED that the Landlord, in consideration of the performance of all the covenants and agreements herein to be performed by the Tenant, and so long as Tenant shall not otherwise be in default of this lease, hereby grants to the Tenant an exclusive Option to purchase the Property for the total sum of $140,000.00 at any time during the term of this lease. From the proceeds of such sale, the Landlord agrees to make a contemporaneous $5,000.00 unrestricted donation to the Tenant. Such Option may be -2- exercised by the Tenant at any time during the term of this lease, or any renewal of the same, by providing written notice of the exercise of such Option together with an earnest money check in the amount of $500.00. Such noYlwhen shall be deemed delivered when delivered personally, deposited in the United States mails by certified mail with first class postage prepaid, and addressed to the Landlord at the address shown in the opening paragraph of this agreement, or to any address subsequently provided to the Tenant in writing. If mailed, such notice shall be deemed effective three days after posting. Ninety days after the exercise of such Option, or by mutual agreement at an earlier date, the Landlord shall convey the Property to the Tenant by a good and sufficient General Warranty Deed, conveying the Property free and clear of all . taxes, except the general taxes for the year of closing; free and clear of any liens for special improvements installed as of the date of exercise of such Option, whether assessed or not; free and clear of any liens and encumbrances; free and clear of any reserved rights and reseC~c~ovanc°building ande and clear of any easements; but subj Y zoning regulations in effect at the time of conveyance. The date of closing shall be the date for delivery of deed as provided above. The place and hour of closing shall be at a location in the Denver Metropolitan area during normal business hours, as designated by the Tenant. If a new loan is to be obtained by the Tenant from a third party, the Tenant agrees to promptly and diligently apply for such loan, execute all documents and furnish athe1customaryn and documents required by the lender, and pay costs of obtaining such loan. If such loan is not aporoifdso on or before thirty days prior to scheduled closing, such approved but is not available at the time of closing, Option shall be null and void and all earnest money shall be returned to Tenant. Title to the Property shall be merchantable in the Landlord at the time of closing. An abstract of title to the Property, certified to date, or a current commitment for a title insurance policy in an amount equal to the purchase price, at the Landlord's option and expense, shallrbor to furnished to the Tenant on or before thirty days p scheduled closing. If the Landlord elects to furnish said title insurance commitment, he will deliver the title insurance policy to the Tenant after closing and pay the premium thereon. Landlord, at his expense, shall also provide to Tenant a current survey which discloses no conflict in boundary lines or other defects in title. -3- If title is not merchantable in the Landlord, or the survey provided by Landlord discloses any conflict in boundary lines or other defects in title, and written notice of defect(s) is given by the Tenant or Tenant's agent to the La~heoLandlord Landlord's agent on or before date of closing, rior shall use reasonable efforts to correct said defect(s) p to date of closing. If Landlord i.s unab~hetdaterofcclosing defect(s) on or before date of closing, shall be extended thirty days for the purpose of correcting said defect(s). If title is not rendered merchantable, at the Tenant's option, this Option shall be void and of no effect and each party hereto shall be released from all obligations hereunder and the earnest money received hereunder shall be returned to the Tenant. After exercise of such Option, time is of the essence of this Option Agreement. If any note or check received as earnest money hereunder is not paid, honored or tendered when due, or if any other obligation hereunder is not performed as herein provided, there shall be the following remedies: 1. If the Tenant is in Default, then all payments and things of value received under this Option Agreement shall be forfeited by the Tenant and retained on behalf of the Landlord, and both parties shall thereafter be released from all obligations hereunder. It is agreed that such payments and things of value are liquidated damages and are the Landlord's sole and only remedy for the Tenant's failure to perform the obligations of this contract. Landlord expressly waives the remedies of specific performance and additional damages. 2. If the Landlord is in default, (a) the Tenant may elect to treat this Option as terminated, in which case all payments and things of value received under this Option Agreement, except any payments of rent under the Lease Agreement, shall be returned to the Yeone~t ord(b)nThe may recover such damages as may be p p tenant may elect to treat this contract as being in full force and effect and shall have the right to commence an action for specific performance or damages, or both. -4- ~~ ~~ 3. The only area of concern that we have relates to the playing Field at the North West portion of the plan. If this playing field should be utilized for any type of large spectator type activities, such a football, soccer, etc., the parking allocated to the spectator vehicle parking is clearly not sufficient, and the overflow parking needs would in all probability be pushed onto the public streets and service road area. This causes the police department problems from a traffic control point. A second concern would be if this field would be lienerally always fashion for evening events. This type of lighting g causes complaints from surrounding residents that the city would certainly become involved in to mitigate. With the increases size of the overall facility we have a minor concern about increases in traffic volumes on Miller, and the surrounding residential streets, and the commensurate enforcement requirements falling on the police department. DISCUSSION OF PARKLAND DEDICATION FEE - The issues the Park Commission want addressed are 1) do we want the fees increased, 2) do we want it to be applied to commercial building and 3) is the money to be used for acquisition and development only. The Commission discussed these issues in depth. They definitely want the fees increased. Their main concern is the impact of commercial building on the park system and no fee being assessed for commercial building. The Park Commission feels there is a great impact on the park system from commercial development. They do understand the Councils view on waiving these fees to entice development in the City to generate sales tax and so concur with not assessing commercial development. The Planning Commission came up with a formula to help the City make up the deficit-of acres of parkland for the population. The Planning Commission is recommending to not assess commercial development. '. Motion by Edgar Johnson the Park Commission favors the continuation of park land dedication fees revised as now proposed by the Planning Commission. Seconded by Ken Siler. Passed. The Park and Planning Commissions will be meeting to jointly discuss this issue. This meeting will be held on April 2. CASE # CUP-92-1/FOOTHILLS ACADEMY - 5 year plan for Foothills Academy expansion. Foothills proposes to go from a K-8 to include a high school. The issues to be addressed are 1) the amount of traffic that would be generated and 2) the addition of curb & gutter which could add to the storm drainage run off problem. Motion by Edgar Johnson the Commission concur with development provided there is no increase in historic storm drainage to Mugele Park. Seconded by Sue Wilson. Passed. OTHER TOPICS Rancho Del Sol Master Plan - Seven proposals have been received on the RFP for the Master Plan for Rancho Del Sol and three play- grounds at RHE, Apel-Bacher and Rancho Del Sol. The proposals need to be reviewed. Will select four of the seven companies for interview. Hope to interview toward the end of April and hire the consultant by the first meeting in May. Would like representation from Park Commission, Council and Staff to be on the interview committee. Ken Siler and Paul Hovland will represent the Commission. Gary Wardle and Rick Murray will represent the staff. The Council members have not been selected yet. Swimmina Pool Committee Update - Committee recommends hiring a consultant to help develop some cost figures on covering the existing pool, cost on building a new pool, maintenance costs, potential revenue sources. Recommending hiring Barker-Rinker- Seacat & Partners for a cost of $18,700. The swimming pool consultant would like to work with a group of about 20 people. Possible members of this committee will consist of Park Commission and Indoor Pool Committee. Members of the Park Commission interested in being on this committee are: Betty Day, Paul Hovland, Sue Wilson, Ken Siler, Janice Thompson, and Bev Phillips. There are three meetings scheduled for April with the consultant. They meet on Thursdays starting at 5:30 p.m. and end by 7:0o p.m. Gary will notify the Park Commission when the next meeting will be. REQUEST The applicant has operated the Foothills Academy at this location since 1987 when the existing farmhouse and barn were converted into classroom facilities. In 1989 an expansion was approved as a Conditional Use Permit. Since the applicant wishes an additional expansion on the property to the west, another Conditional Use Permit review is required. Staff would note that a private school is allowed as an conditional use iri-both the A-1 and R-2A zone districts. - The site plan approved in 1989 allowed for an additional structure containing 4500 square feet located north of the main building. The major access point to the facility was shifted from West 47th Place to Miller Street where additional parking and a drop-off/pick-up area was provided. See exhibit 'A'. At the time of building permit, the installation of curb, gutter and sidewalk was required. These improvements have not yet been completed. II. SITE PLAN The proposed use permit includes not only changes to the built environment but also expanded services. Currently, the school contains grades kindergarten through eighthjthe grades will be expanded to kindergarten through twelfth grade. They anticipate an increase of 60 students, in addition to the 150 who currently attend. The staff of 13 will likely be increased to 18. A type II site plan has been provided which will be recorded. The applicant is proposing a phased plan over the next five years. The first phase would increase building coverage by 4850 square feet by the construction of the community building and several--building additions. Phase two would include construction of a 5000 square foot classroom building, an ancillary storage shed and an increase in the Miller Street parking area by-16 spaces. Phase III would result in a 7000 square foot gym and more parking accessing the frontage road. There will be no access to West 48th Avenue or Nelson Street. The installation of curb, gutter and sidewalk will be required on Miller-Street and the frontage road. On the plan, no sidewalk is being shown along the frontage road. Formal action by City Council is required for this waiver. Overall, all minimum standards for the A-1 and R-2A zone districts have been met. These figures include 25a coverage by buildings and parking and 750 landscaped coverage. Building height is limited to 35 feet.- Planning Commission Staff Report Page 3 Case No. CUP-92-1/Foothills Academy The one exception to the standards is the 600 square foot storage buildings adjacent to the parking area on West 47th Place. A front setback of 23 feet is being shown where 30 feet is required. The plan must be amended to meet this minimum setback. Based on the City's parking ratios, 37 parking spots are required where 55 spaces are provided.- Additional on-street parking along Miller Street is available for overflow parking if it is built to a 22-foot half section as requested by Public Works staff. In regard to phasing and related parking lot construction, Staff feels the additional parking should be built when the grade expansion is implemented, based in the fact that this will put a greater demand on parking. The phasing plan should be adjusted to reflect when this implementation occurs. III. NEIGHBORHOOD REFERRAL Meetings for neighborhood input were held on April 2 and April 7, 1992. The applicant's synopsis of those meeting is included under exhibit 'B'. IV. AGENCY REFERRALS All agencies can serve with appropriate service upgrades. _ Valley Water will require additional taps and service upgrades. Arvada Fire District will require additional fire hydrants. Emergency access lanes should be noted on the plan. Fruitdale Sanitation District may require line replacement in Miller Street. Police Department was concerned with the potential for. the playing field to be used by unaffiliated sports leagues and the possible lack of parking if this occurs. Colorado Department of Transportation has approved the site plan with only one access-point to the frontage road. Public Works will require curb, gutter-and sidewalk on Miller Street and the frontage road. A phased drainage plan and report must be completed prior to issuance of a building permit. A traffic impact statement has been submitted and approved with the _ conclusion that the expansion will have an-insignificant impact. Please see exhibit 'C'. Parks and Recreation Commission commented they didn't want storm water run-off from this project entering Mugele Park. V. CRITERIA FOR APPROVAL Before a Conditional Use Permit is approved, the applicant shall Planning Commission Staff Report Page 4 Case No. CUP-92-1/Foothill _Academy show and the Planning Commission shall find that the proposed Conditional Use: A. Will not have a detrimental effect upon the general health, welfare, safety and convenience of persons residing or_ working in the neighborhood of the proposed use. Expansion of the development should not have a detrimental effect on the neighborhood, providing that adequate provisions for parking are provided. Staff has some concern regarding outdoor lighting for the play field. Additional vertical landscape to the south of the field will help buffer noise and lights, if they are used at night. Although no specifications have been given for lighting of the field, a note-has been added to the plan indicating the City's standards for outdoor lighting will be met. B. Will not adversely affect the adequate light and air, nor cause significant air, water or noise pollution. Expansion of the school will .not affect light and air or cause any type of pollution. Additional landscaping along the common property lines on the south would help as a sound barrier-type fence along the frontage road. C. is consistent with the Comprehensive Plan. The Fruitdale Valley Master Plan designates desirable land use as low-density residential. Staff concludes a private school would be incompatible with the desired land use. Staff concludes the proposal would qualify as "low intensity use" and would meet the goal stated in Section il.a.2, of land use buffering by providing a transitional land use between the low density neighborhood to the south and commercial use to the northeast and interstate noise to the north. D. Will not result in undue traffic congestion-or traffic hazards, or unsafe parking, loading, service or internal traffic conflicts to the detriment of persons whether on or .off the site. Traffic congestion on West 47th Place has been previously addressed by reorienting traffic away-from the neighborhood by moving the main parking area from West 47th Place to Miller Street. Expansion of parking areas along the frontage road should accommodate additional students and personnel. The Wheat Ridge Police Department expressed concern for adequate parking should the play field and/or gym_be "rented" to unaffiliated sports leagues. The applicant has indicated that the field will be only for their use. Nevertheless, the wider street section on Miller Street will provide special event overflow parking on street. Will be appropriately designed, including setbacks, heights, parking, bulk, buffering, screening and landscaping, so as to be in harmony and compatible with the character of the surrounding areas and neighborhood, especially with adjacent properties. The applicants have tried to maintain the residential character with building treatments and by expanding parking areas to the north. All minimum requirements for setbacks, heighth parking and landscaping have been met. Play fields are oriented toward the north to keep noise out of the neighborhood. Buffering from I-70 will be provided by additional foliage planted along the frontage road and south side of the property. F. Will not overburden the capacities of the existing streets, utilities, parks, schools and other public facilities and services. _ The development will not overburden parks since they are providing their own recreation facilities. it could allow for the expansion of services offered in_the neighborhood. All utilities can serve with upgrades. VI. CONCLUSIONS AND RECOMMENDATIONS Staff concludes that the criteria used to analyze a Conditional Use Permit supports approval of this request. Staff has some concern regarding the phasing of parking lot improvements. The phasing plan must be adjusted so that parking lot construction is concurrent- with the grade expansion. In general however, Staff concludes that_the proposed expanded use meets-the goals and objectives of the Fruitdale Valley Master Plan and has been designed to be compatible with residential neighborhoods to the south. and west. For the reasons stated above, a recommendation of Approval is given with the following conditions: 1. The phasing schedule be adjusted to reflect the grade expansion. 2. Ms. Faddick stated that.. .initial drainage studies had been done during the last project which had indicated a northerly flow and the placement of a drainage pond near the frontage road. She pointed out the area on the artist's project rendition. Ms. Faddick stated that approximately 30 students would be of driving age, but hoped that carpooling would be utilized. M E M O R A N D U M TO: ~oothills Academy - 4725 Miller Street FROM: Meredith Reckert, Planner RE: Building permit for 3500 square foot classroom DATE: August 12, 1993 This memorandum shall set forth conditions for the issuance of a building permit for a 3500 square foot classroom building on the Foothills Academy campus at 4725 Miller Street. The application submitted is somewhat different than that which was approved by Planning Commission through the public hearing process in Case No. CUP-92-1. As such, this permit will be issued with the following understandings by the owners: 1. Construction on the northern portion of the property (Lots B & C not shown on the approved Official Development Plan) shall be limited to a total of 14,500 square feet. In a letter-dated June 14, 1993 submitted by an agent of the owner, a proposal was made that because of the 1000 square foot increase of the proposed building (3500 sq. ft. instead of 2500 sq. ft. ), that this be compensated for by reduction of the gymnasium by 600_ square feet and reduction of the storage shed, which ,is on the southern portion of the property, by 400 square feet. Instead, the compensation for. the increased building size must be totally made up for on the northern portion (Lots B & C). Therefore, i£ the gyro is reduced by 600 sq. ft., any additional structure within Lots B & C cannot exceed 4600 square foot in size, thus maintaining the total developed area on Lots B & C of'14,500 sq. ft. 2. The Miller Street parking area must be expanded with the construction of the classroom building. See red marks. 3. The bermed area shown on L1 of the submitted plans must be built in its' entirety with this phase. See red marks. 4. While Lot C is not being used, it must have weed control performed on it. Once this area begins to be used (i.e., for playing fields), the City will expect certain improvements to be done such as the installation of parking and buffering along the south property line.
