STANDARD OF CARE. Ethos General Contractors, LLC ("Ethos') will perform the services in connection with this agreement in accordance with the level of care and skill ordinarily practiced by roofing and restoration companies providing similar services under similar circumstances at the time Ethos provided services under this agreement. 2. LIMITED WARRANTY. Ethos warrants to property owner that for a period of two years from the date of this agreement, Ethos's workmanship will materially comply with the standard of care set forth in this agreement (the "Limited Warranty"). The Limited Warranty does not apply to products or materials. The Limited Warranty is conditioned upon (a) property owner's Performance of general maintenance, (b) normal use, (c) property owner's compliance with any instructions or documentation related to the work, materials, or products, and (d) property owner's prompt written notice to Ethos of any alleged breach of the Limited Warranty. Upon receipt of written notice of alleged breach, Ethos will have the opportunity to inspect the property and respond to the claim. To the extent Ethos determines a breach of the Limited Warranty has occurred, it may, at its sole option, make a monetary settlement offer, correct the work, or provide another remedy for the default. Property owner agrees that the remedies provided in this section are the sole and exclusive remedies for Ethos's breach of this agreement. 3. NO OTHER WARRANTIES. LIMITATION OF LIABILITY. In no event will Ethos's aggregate liability arising out of related to this agreement, whether arising out of, or related to, breach of contract, tort (including negligence), or otherwise exceed the lesser of (a) the total amounts paid by property owner to Ethos under this agreement, less any expenses already incurred by Ethos, or (b) [amount]. 5. ADDITIONAL DISCLAIMERS. In addition to the other disclaimers set forth in this agreement, Ethos is not liable for any of damages, losses, or costs, arising out of, or related to, the following: (a) any damage caused by the settling of the foundation or the premises, defective materials, misuse, INITIALSA maintenance failures, fire, lightning, windstorm, hailstorm, other weather conditions, or casualties; (b) any damage caused by faulty framing, wiring, plumbing, masonry, drywall cracks, bracing, roof decks, or pre-existing conditions; (c) any decayed siding, paint, and sheetrock damage caused by vibration or otherwise; (d) any damaged electrical cable, air conditioning, or Plumbing lines which are installed within six (6) inches of the roofline; (e) any damage as a result of an water -dam, ice -dam, or any other damage resulting from accumulation of debris or inadequate roof maintenance; or (f) any structural movement, settling, vibrations, cracks in drywall or driveway due to the roofing or loading process. To the extent Ethos performs any work on the stucco or synthetic stucco on the property, Ethos is not liable for any damage related to, or arising from, moisture, water, vapor condensation, mold, fungus, rust, corrosion, preexisting conditions, and any failure of stucco system substrate, including, without limitation, cracking, settlement, excessive deflection, deterioration, and decomposition. Ethos is not a manufacturer and is not liable for any product, material, or equipment defects or any damages resulting from or arising from such products, materials, or equipment. For product, material, or equipment defects and damages resulting from such defects, property owner agrees to seek remedy solely from the manufacturer of such product, material, or equipment. 6. PROPERTY OWNER REPRESENTATIONS. Property owner represents and warrants that all information provided to Ethos is complete and accurate. Property owner acknowledges that Ethos is relying upon property owner's information in the preparation of this agreement and the performance of the work. Property owner represents and warrants to Ethos that he or she owns the premises described in this agreement and has the authority to enter into this agreement without any other consents. Property owner agrees to obtain all approvals required by a home owner's association or other group with jurisdiction over the property. Property owner acknowledges and confirms that it has and must continue to perform regular maintenance to the property. Ethos will not be responsible for any delays or damages resulting from property owner's failure to comply with its obligations under this agreement or to conduct regular maintenance on the property. 7. PAYMENT. Property owner agrees to make payment to Ethos in accordance with the terms of this agreement. Property owner agrees to pay finance charges at the rate of one and one-half percent (1.5%) per month on any amounts still outstanding ninety (90) days following Ethos's notice of completion to property owner. Property owner agrees to reimburse Ethos for all costs incurred in collecting any payments, including, without limitation, attorneys' fees and court costs. Property owner will not withhold payment of any amounts by reason of any set-off or claim or distribute with Ethos, whether relating to Ethos's breach, or otherwise. Property owner acknowledges that all excess materials will be the property of Ethos. S. C.R.S. §6-22-101 ET SEQ. DISCLOSURES. ETHOS WILL HOLD PROPERTY OWNER'S PAYMENTS IN TRUST UNTIL THE DELIVERY OF ROOFING MATERIALS TO THE PROPERTY OR UNTIL ETHOS HAS PERFORMED A MAJORITY OF THE ROOFING WORK DESCRIBED IN THIS AGREEMENT. Ethos is not a public insurance adjuster adjusting claims for losses or damages. Pursuant to Colorado Revised Statutes (C.R.S.) Section 6-22- 105, if property owner plans to use the proceeds of an insurance policy to pay for the work under this agreement, Ethos may not pay, waive, rebate, or promise to pay, waive, or rebate, all or part of property owner's insurance deductible. 9. CANCELLATION BY ETHOS. Ethos may cancel this agreement for any reason, or no reason at all, upon notice to property owner. 10. CANCELLATION BY PROPERTY OWNER. a. Generally. Property owner may cancel this agreement and obtain a fall refund of any deposit within 72 hours after executing this agreement. Following the 72 -hour rescission period and prior to completion of the work, property owner may cancel this agreement on written notice to Ethos; provided, however, property owner agrees to remit to Ethos, no later than 10 days following the date of cancellation, the following: (a) a cancellation fee of 20% of the total contract price under the agreement, which accounts for 10% of the overhead and 10% of the profit; (b) the purchase price for all non -returnable items purchased by Ethos on behalf of the property owner; (c) a restocking fee in the amount of 25% of the purchase price on all materials ordered; and (d) reimbursement of all costs Ethos incurred under the agreement prior to cancellation, including, without limitation, costs incurred in the estimating process (e.g. the engineer's report; Itel reports; eagle view reports; outside consultants, appraisers, engineers costs and fees; and Ethos employees at rate of $150.00 per hour). b. On Denial by Insurance Carrier. Pursuant to C.R.S. Section 6-22-104, if property owner enters into this agreement and the payment will be made from insurance proceeds, property owner may rescind this agreement within 72 hours following property owner's receipt of notice from the insurance company that property owner's claim has been denied in whole or in part, unless the denial was related to a request for supplemental roofing services if the damage requiring the supplemental roofing services could not have been reasonably foreseen as a necessary and related roofing service at the time of the initial roofing inspection or the execution of this agreement. If property owner cancels this agreement pursuant to this section, Ethos may retain the portion of any deposit made by property owner to compensate for work Ethos performed (including, without limitation, the estimating costs identified in Section 10.a. above) and may seek reimbursement for the roofing materials ordered and installed on the property prior to the rescission of this agreement. 11. GENERAL PROVISIONS. a. Entire Agreement. This agreement is the entire agreement between the parties concerning services to be provided to property owner by Ethos and replaces and INITIALS supersedes any prior or contemporaneous negotiations, oral representations, agreements, or understanding among or b. attributable to the parties hereto. No verbal agreements of any kind will be honored by Ethos. The terms and conditions set forth herein are hereby integrated into all agreements by and between Ethos and property owner, whether or not explicitly stated therein. c. Amendment and Waiver. This agreement may only be amended or modified in a writing signed by both parties that specifically states that it amends the terms of this agreement. No waiver by Ethos of any of the provisions of this agreement is effective unless explicitly set forth in writing and signed by Ethos. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from this agreement operates, or may be construed as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege. d. Force Majeure. Ethos will not be liable or responsible to you, nor be deemed to defaulted or breached this agreement, for any failure or delay in fulfilling or performing any term of this agreement when, and to the extent, such failure or delay is caused by, or results from, acts or circumstances beyond the reasonable control of Ethos. e. Assignment, Subcontractor, No Third Party Beneficiary. Property owner will not assign this agreement without the prior written consent of Ethos. Ethos reserves the right to subcontract any and all of its obligations under this agreement to any other person or entity. This agreement is for the sole benefit of the parties and nothing herein, express or implied, is intended to, or will confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under, or by reason of, this agreement. E Governing Law, Ventre, Attorneys' Fees. This agreement and all performance thereunder will be governed by, and construed in accordance with, the laws of the state where the property is located. If the property is located in the State of Colorado, Ethos and property owner hereby expressly agree that any and all claims arising from this agreement will be subject to the rights, remedies, and procedures set forth in the Colorado Construction Defect Reform Act, C.R.S. Section 13-20-802 et seq. If any provision of this agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the validity of the remaining provisions will not be affected thereby. If collection or legal action is taken by Ethos in connection with this agreement, Ethos will be entitled to recover attorney and court fees and costs from property owner.
