This agreement is the entire agreement between the parties concerning services to be provided to Customer by Platte River Roofing and replaces and supersedes any prior or contemporaneous negotiations, oral representations, agreements, or understandings among or attributable to the parties hereto. GOVERNING AND CONTROLLING LAW. This agreement and all performance under it shall be governed by and construed in accordance with the laws of the state of Colorado. Platte River Roofing and Customer hereby expressly agree that any and all claims arising from Platte River Roofing's work shall be subject to the rights, remedies, and procedures set forth in the Construction Defect Reform Act, C.R.S. §13-20-801 et seq. OBLIGATION OF CUSTOMER. Customer warrants that all information provided to Platte River Roofing is complete and accurate to the best of Customer's knowledge, and Customer understands that Platte River Roofing is relying upon Customer's information to do the appropriate work. Customer agrees to obtain any necessary permissions and approvals from any homeowners' associations to which the property is subject and to be responsible for any related delays. WARRANTY. Platte River Roofing is not a manufacturer. If any equipment or material is used or purchased by Platte River Roofing for use on site, the manufacturers' warranties of any of the equipment or material are solely of the manufacturer. Platte River Roofing makes no other representation, guarantee, or warranty, express or implied, in fact or by law, as to merchantability, fitness for a particular purpose, or otherwise, concerning any of the goods or services used or purchased by Platte River Roofing. Platte River Roofing will not be held liable for any structural movement, damages to the interior of the property, settling, or cracks in or damage to drywall or driveway due to the forming or loading process or due to water intrusion resulting from the damage to the roof. DISPUTE RESOLUTION. Platte River Roofing and Customer agree to settle all disputes in accordance with the laws of Colorado and the county in which the agreement is executed. If Customer defaults on its obligation to pay under this agreement, a lien will be placed on the property and charges will be added from the date of substantial completion at the maximum allowed by law. If any dispute is placed in the hands of an attorney for collection or enforcement of this agreement, Customer will pay all attorney fees and legal costs. Any persons or companies supplying labor or materials for this improvement to the property may file a lien against the property if those persons or companies are not paid for their contribution. PAYMENT. Payment by Customer of 50% of total contract amount is required up front. Payment is due for the remainder of the agreed-upon price upon completion of the work to be performed for each individual trade, including applicable overhead and profit, such as: Roofing, Gutters, Siding & Trim, Awnings & Carports, Interior Repairs, Punch list. In the event Customer chooses to withhold full payment until after final inspection, Customer agrees to pay the total balance due less 10% as hold -back until the final inspection and any subsequent punch list is completed, at which time Customer will pay the final 10%. TIMING. The approximate dates of service represent Platte River Roofing's best estimate and is subject to change. Because various factors impact Platte River Roofing's performance (e.g., approval from the insurance carrier, issuance of permits, material shortages), the estimated dates for completing the roofing work is not a material term of the agreement. And Customer waives any and all claims for damages stemming from Platte River Roofing's failure to complete the roofing work within the estimated timeframe. CANCELLATION POLICY. Customer may rescind the agreement in writing within seventy-two (72) hours after entering the agreement. (1)(a) Customer may also rescind the agreement within seventy-two (72) hours after Customer receives written notice from Customer's property and casualty insurer that the claim for payment for roofing work on the residential property is denied in whole or in part. Customer's right of rescission under this subsection (1) does not apply when the property and casualty insurer denies, in whole or in part, a claim related to a request for supplemental roofing services if the damage requiring the supplemental roofing services could not have been reasonably foreseen as a necessary and related roofing service at the time of the initial roofing inspection or the execution of the agreement. (b) Customer shall give written notice of rescission of the contract to Platte River Roofing at the physical address provided in the agreement within seventy- two (72) hours after entering the agreement or after being notified of the denial. Customer may give notice of rescission of the contract: (1) In an electronic form, which is effective on the date of the electronic transmission; (11) By mail, which is effective upon deposit in the United States Mail, postage prepaid, sent to the physical address stated in the contract; or (111) By personal delivery to Platte River Roofing, which is effective upon delivery. (2) Within ten (10) days after rescission of the agreement as set forth above, Platte River Roofing will return to Customer any payments or deposits made by or evidence of indebtedness of Customer in connection with the agreement. (3) Nothing in this section precludes Platte River Roofing from retaining all or a portion of any payments or deposits made by Customer to compensate Platte River Roofing for roofing work actually performed on the property in a workmanlike manner consistent with standard roofing industry practices, but Platte River Roofing may retain only an amount required to compensate the roofing contractor for the actual work performed. (4) Nothing in this section abrogates Platte River Roofing's right to pursue common law remedies for the reasonable value of roofing materials ordered and actually installed on the residential property pursuant to the agreement before the property owner rescinded the agreement, as long as Platte River Roofing performed the roofing services consistent with roofing industry standards for workmanlike performance of roofing services. (5) Except as set forth above, once negotiations have begun with Customer's insurance company and/or material has been delivered to the job -site, this agreement cannot be canceled without written mutual agreement of both parties. T(6) If this agreement is canceled by Customer later than three (3) days from execution, Customer agrees to pay to Platte River Roofing 10% of the agreement price for consulting services rendered and agrees to pay an additional 15% of the agreement price as a re -stocking fee if materials have to be returned due to cancellation.
