LEIGHT, hereinafter referred to as "Lessor", and VI CORP RESTAURANTS, INC., a Colorado corporation, hereinafter referred to as llLessee", WITNESSETH: 1. DEMISE OF PREMISES: Lessor hereby leases to Lessee, and Lessee leases from Lessor, on the terms set forth herein, the real property described in Exhibit "A" attached hereto, together with the restaurant building and related improvements thereon, with all of the right, privileges, easements and appurtenances thereto (here- after "the Premises"). II. TERM: OPTIONS TO EXTEND: A. This Lease shall commence on the date hereof and shall terminate twenty-five (25) years after the date of the first payment of rent specified in Article III, entitled "Rent". B. So long as Lessee is not then and has never been in material default hereunder, Lessee shall have three (3) options to extend the term hereof for additional periods of five (5) years each, provided Lessee gives Lessor at least ninety (90) days written notice of Lessee's election to exercise each such option. Any such extension shall be on the same terms as set forth herein, except that Lessee's options to extend are limited to the number provided for in this Article II. II 1. RENT; A. In consideration of the demising of the Premises, Lessee shall pay the Minimum Monthly Rent set forth on Exhibit "A", in advance and without notice, commencing the earlier of the date when Lessee opens for business or thirty (30) days following completion of the building as defined in Article VIII(H). If the first day upon which rent becomes payable is other than the first day of any calendar month, the rent for the balance of said month shall be payable by Lessee at a daily rate based upon the monthly rent. Similarly, rent for the last partial calendar month of any term hereof shall be payable on the same basis and on the first day of the last partial month. B. Beginning with Lessee's sixth full fiscal year of operation at the Premises and each five years thereafter, the total annual rental will be ad- justed to equal the higher of either (i) 110% of the previous five years annual rental; or (ii) 5% of the previous five years average annual gross sales from the Premises. In computing average annual gross sales, there shall be excluded from such calculation any period of time exceeding thirty (30) calendar days when Lessee is not open for business during normal operating hours. For example, if Lessee is closed for sixty (60) calendar days during a five-year period, the average gross sales shall be calculated by taking the total gross sales for the five-year period and dividing the result by -1- Jlmmlll~ml!i~fli~~i~ml~:1tlr four and eleven-twelfths years to arrive at average annual gross sales. The term "gross sales" means the total amount of food and beverage sales, whether for cash or on credit, made in, upon, or from the Premises, excepting: (i) the amount of all sales and other taxes, to the extent such taxes were included in gross sales; (ii) receipts from cigarette and newspaper vending machines and public telephones, and tips for employees; and (iii) any delivery or consumption of food or beverages included in gross sales where there exists no intention to charge or collect for same, such as promotional meals, charity meals or meals for employees. Lessee shall keep proper records of its gross sales and Lessor shall have the right during regular business hours to examine such records to determine the accuracy of the statement of gross sales furnished to Lessor. Lessor agrees to keep confidential the information con- cerning gross sales or other matters obtained by Lessor. Lessor shall have the right once in any fiscal year to cause an audit of Lessee's gross sales to be made by an independent certified accountant, and if said audit shows an under- payment of percentage rental to Lessor of more than three percent (3%) of the amount properly due, Lessee shall promptly pay to Lessor the cost of such audit; otherwise such cost shall be paid by Lessor. If the audit shows any amount properly due, Lessee shall pay same to Lessor within ten (10) days. IV. PAYMENT OF CHARGES AND TAXES: A. Lessee shall pay when due during the period for which rent is due hereunder: (i) all charges for utilities incurred at the Premises; and (ii) all real estate taxes imposed on the Premises and the annual installments due under any general or special assessment created and imposed during or prior to said period, directly, or at Lessor's option, by reimbursing Lessor within five (5) days of Lessee receiving evidence of Lessor's payment; and (iii) all sales and use taxes imposed as the result of the business conducted on ~he Premises; and (iv) all personal property taxes assessed against personal property situated thereon. B. Lessee shall have the right, at its expense, in Lessor's or Lessee's name, to contest any taxes or assessments, provided the same operates to sus- pend collection or prevents the sale of the Premises to satisfy the same; and pending any such proceeding, and until such tax or assessment shall become final, Lessor shall not payor discharge the tax or assessment so contested. Lessee may pay such tax or assessment under protest. Lessor will join in any contest or protest at Lessee's request. C. Lessee shall have the right to endeavor to obtain a lowering of the assessed valuation of the Premises or the improvements thereon. Lessor agrees to join in any such endeavor. D. Lessor shall promptly transmit to Lessee any statement relating to taxes or assessments to be paid by Lessee hereunder, and shall promptly reim- -2- burse Lessee for any penalty or interest incurred when Lessee is not so notified at least ten (10) days prior to the date on which any such item becomes delinquent. E. Taxes imposed on the Premises for which Lessee is liable hereunder shall be pro-rated between the parties during the last year of the term, or any extensions thereof. F. This Article IV shall not be deemed or construed to require Lessee to payor discharge any tax which may be levied upon the income, profits or bus- iness of Lessor nor any personal property, franchise, inheritance or estate taxes which may be levied against Lessor (nor any tax of the same nature as any tax heretofore mentioned in this sentence), even though such taxes may become a lien against the Premises unless such a tax is levied in substitution of ad valorem real property taxes on the Premises. V. USE OF PREMISES: Except with the expressed written consent of the Lessor, Lessee shall use the Premises for a food service business and related incidental purposes, but Lessee shall not use the Premises in such a manner as to violate any applicable law, rule, ordinance or regulation. VI. INSURANCE AND LIABILITY FOR DAMAGES: A. As a material part of the consideration bargained for herein, Lessee waives all claims against Lessor for damage to property in, upon or adjoining the Premises, and for injuries to persons in or about said Premises, from any cause arising at any time during the period for which rent is due under this Lease, if not attributable to the negligence or tortious misconduct of Lessor, Lessor's employees, agents or business visitors. Lessee shall maintain from the commencement of business, public liability and property damage insurance covering risks on the Premises in an amount of at least One Million Dollars ($1,000,000.00) single limit liability. B. During the period for which rent is due hereunder, Lessee shall main- tain fire and other hazard insurance policies with extended coverage, for the benefit of Lessor, Lessor's mortgagee, if any, and Lessee, on all buildings erected upon the Premises, in an amount equal to the full insurable value there- of (i.e., replacement cost, excluding excavation, footing and foundation costs). Such replacement cost shall be determined from time to time (but not more frequently than once every three (3) years) at Lessor's request. C. Lessor and Lessee shall each procure, on any policy of fire or other hazard insurance covering the Premises and business personal property contained therein, an appropriate endorsement pursuant to which the insurers waive subro- gation or consent to a waiver of right of recovery, and having obtained such endorsements of waiver or consent, each party agrees not to: (i) make any claim against or seek to recover from the other for any loss or damage to its property, or the property of others, resulting from fire or other hazards covered by casualty insurance maintained by such party; (ii) assign to any -3- insurer or to anyone claiming under or through any insurer, any right or cause of action for damages to said property on or to the Premises or to the building of which the Premises are a part, compensated for by fire insurance or any of the risks enumerated in any other hazard insurance, specifically including such damage caused by negligence, which it now has or may subsequently acquire against the other party during the term of this Lease. D. Lessee may bring its insurance obligations within the coverage of any so-called blanket policy or policies of insurance now or hereafter carried, by appropriate amendment, endorsement, or otherwise, provided Lessor's interests are as fully protected thereby as if Lessee obtained individual policies of insurance. E. Said policies of insurance shall: (i) name Lessor as one of the insureds thereunder; (ii) be maintained at Lessee's sole cost and expense; and (iii) contain a clause or endorsement to the effect that the policy may not be terminated or materially amended except after ten (10) days written notice thereof to Lessor. Lessee shall deliver copies of said policies or certificates of insurance to Lessor within thirty (30) days following Lessee's receipt of Lessor's request therefor. VII.
