SUBJECT: Signature for Removal of Covenants and Restrictions at 7575 W. 44'h Avenue
Attached is a document requiring your signature that will terminate and release covenants and
restrictions on the property owned by the City of Wheat Ridge at 7575 W. 441h Avenue, also
known as the Bank of the West building. It also allows the release of covenants and restrictions
on the adjacent two properties at 7527 W. 441h Avenue, 4470 Wadsworth Blvd, and 4490
Wadsworth Blvd under control of the Jefferson County Housing Authority (dba Foothills
Regional Housing). A diagram showing the current ownership is shown on the next page. As
property owners, both the City and Foothills Regional Housing have agreed to terminate the
covenants and restrictions due to the reasons outlined in this memo.
In 1972, the original property owner and developer recorded covenants and restrictions that
provided for access easements as well as major restrictions on the type of development permitted
on the property. These restrictions included artificial limitations on building height and uses
allowed to be developed, despite a more permissive underlying zoning. The City and Foothills
Regional Housing are the successors to the agreement as the current property owners.
The existing language could theoretically prevent development of the future Ives affordable
housing project and any future development on the site by Foothills Regional Housing or the
City of Wheat Ridge. Due to the language being overly restrictive and not in alignment with the
existing Mixed Use — Commercial (MU-C) zoning for the property, the City and Foothills
Regional Housing are in agreement that the private covenants and restrictions should be
terminated, and the underlying MU-C zoning is appropriate to regulate development on the site.
To that end, Foothills Regional Housing has requested the agreement be terminated to clean up
title.
The document terminating the covenants and restrictions has been reviewed by the City
Attorney, City Manager, and Planning Division staff as well as representation for Foothills
Regional Housing. Your signature is required on behalf of the City.

TERMINATION AND RELEASE OF AGREEMENT CREATING GRANT OF
EASEMENTS WITH COVENANTS AND RESTRICTIONS AFFECTING LAND (this
"Termination") is made and given this 11 f 1day of -J&aJ 2023 (the "Effective Date"), by
and between the Jefferson County Housing Authority, a tolorado public body corporate and
politic (the "Authority"), and the City of Wheat Ridge, a Colorado municipal corporation (the
"City').
A. WHEREAS, Authority is the owner of that certain real property located in Wheat Ridge,
Colorado, legally described on Exhibit A attached hereto (the "Authority's Property").
B. WHEREAS, City is the owner of that certain real property located in Wheat. Ridge,
Colorado, legally described on Exhibit B attached hereto (the "City's Property" together
with the Authority's Property the "Subject Property")
C. WHEREAS, Safeway Stores, Incorporated, a Maryland corporation, and Wheat Ridge
National Bank, a national banking association (collectively the "Prior Owners") entered
into that certain Agreement Creating Grant of Easements with Covenants and Restrictions
Affecting Land dated March 23, 1972 and recorded March 30, 1972 with the Clerk and
Recorder of Jefferson County, Colorado in Book 2358 at Page 895, which was
subsequently amended by the First Amendment to Agreement Creating Grant of Easements
with Covenants and Restrictions Affecting Land dated March 26,1973 and recorded April
16,1973 with the Clerk and Recorder of Jefferson County, Colorado in Book 2494 at Page
829 (together the "Agreement"). The Agreement provides for certain ingress, egress and
access easements as well restrictions on the type and nature of development permitted on
the Subject Property.
D. WHEREAS, the Authority and the City are the successors to the interests of the Prior
Owners in the Subject Property and therefore the Agreement.
E. WHEREAS, the Authority desires to develop, construct and operate a Fifty (50) unit
multifamily affordable housing project on the Authority's Property known as the Ives
Apartments (the "Project").
F. WHEREAS, the proposed design of the Project is not permitted under the Agreement.
G. WHEREAS, to facilitate the development, construction and operation of the Project, the
Authority and City desire to terminate the Agreement and to release the Authority and City,
and the Subject Property from each and every obligation thereunder.
H. WHEREAS, in order to replace any ingress, egress and access easements that may be
terminated as a result of this Termination, the Authority and City agree that they, or their
affiliates, contemporaneously or at a later date, will enter into that certain Amended and
Restated Easement Agreement and Right of Way which completely amends and restates
the Easement Agreement and Right of way dated as of October 13, 2003 and recorded
October 15, 2003 in the Jefferson County, Colorado real property records at Reception No.
F 1886408.
NOW, THEREFORE, in consideration of the premises and the mutual promises set forth
herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged:
1. Recitals. All recitals set forth above are incorporated as if fully set forth herein.
2. Termination and Release of the Agreement. The Authority and City hereby agree to
terminate the Agreement and release the Authority, City and the Subject Property from
each and every obligation thereunder in all respects as of the Effective Date, and the
Agreement shall hereafter be of no further force or effect.
3. Counterparts. This Termination may be executed in counterparts, which together shall be
deemed one and the same instrument.

2. This permit shall expire 365 days after the date of issuance regardless of activity. Requests for extension must be made in writing and

GENERAL
The MS-9200 is a compact, cost-effedive, addressable
fire alarm control panel with a capacity of 198 Fire•Lite
300 Series devices. A single Signaling Line Circuit (SLC)
loop supports up to 99 smoke detectors and 99 control or
monitor modules. The panel uses surface-mount technol-
o,yy and is designed for ease of installation and program-
ming. It features the latest in tire protection technology,
including maintenance alerl and automatic detector test.

FIELD-PR06RAMMIN6 FEATURES
Off-Line Programming: Create entire program in your
office using a Windows0-based PC computer (order pro-
gramming kit PK-9200W separately). Upload/Dnwnload
system programming locally to the MS-9200 in less than
one minute.
Auto-Programming: Command the MS-9200 to pro-
gram itself (takes less than 30 seconds). In the Auto-
Program mode, the MS-9200 scans tor all possible de-
vices at all addresses, stores the device types, and ad-
dresses found, and then loads default values for all op-
tions (General Alarm). It also checks for iwo or more
devices set to the same address.
On-Line Edit: While still providing fire protection, the
MS-9200 may be programmed from the front panel. Sim-
ple menu trees displayed on the LCD allow the trained
user to perform all functions without referring back to the
programming manual.
English Label Library: Quickly select labels from a
standard library of more than 50 adjectives/nouns, such
as "FLR 3 NALLWAY," or enter custom labels letler-by-
lelter. Use recall function to repeat previously used label.
Program Check: Automalically catch common errors,
such as relays not linked to any zone or point.
MAIN1'ENANCE ALERT
The MS-9200 continually monitors each smoke detector
and responds to a reading of 80% of the detecrors alarm
threshold. If the detector continually reports an 80% thresh-
old reading (8/10 of what is required to be an alarm condi-
tion) for 24 hours, a trouble condition is created. This
reduces the risk of false alarms due to dust and dirt by
alerting a trouble (maintenance) condition rather than initi-
ating a talse alarm.
AUTONIATIC TES* OPERATION
The MS-9200 performs an automatic test of each detector
every 2 hours. Failure to meet the test limits causes an
AUTO TEST FAIL trouble type. System Reset clears this
trouble.

The SD300 and SD300T Addressable Photoelectric De-
tectors are used exr.lusively with the Fire•Lite MS-9200
Addressable Fire Alarm Control Panel. Since these de-
tectors are addressable, they will help emergency person-
nel quickly locate a fire during its early stages, potentially
saving precious rescue time while also reducing property
damage. The SD300T offers the same features as the
SD300 while adding a 135°F intemal thermal element.

APPLICATIONS
Photcelectric detectors are often faster than ionization de-
tectors in sensing smoke from slow smoldering fires. lon-
ization detectors are often better than photoelectric detec-
tors at sensing fast, flaming fires.

These detectors are constructed of LEXANO in an off-
white color.
The SD300 Series of direct-wire smoke detectors is de-
signed to commercial standards and offers an attractive
appearance.

INSTALLATION
The SD300 Series direct-wire detectors use a separate
mounting bracket to simplify installation, service and main-
tenance.
Mount the base on a box which is at least 1.5 inches (3.81
cm) deep. Suitable boxes include:
• 4" (10.16 cm) square box with plaster ring.
• 4" (10.16 cm) octagonal box.
• 3.5" (8.89 cm) octagonal box.
• Single-gang box.
NOTF.: Because of fhe inberenf supervision provided by the SLC
loop, end-of-line resistors are not required. Wiring "T-taps" or
branches are permittedlor Style 4(Class "B J wiring.
OPERATION
Each SD300/SD300T uses one of 99 possible addresses
on the SLC loop. It responds to regular polls from the
control panel and repoAs its type and status. It blinks its
LED when polled, and turns the LED on when commanded
by the panel.
The detector uses the light scattering principle. It repre-
sents the fatest in smoke sensing technology.

Horn
The SpectrAlen Series homs and horn/strobes provide two differen[ fietA
seleclable/reversible lones, a high-low fielA selectable/reversible sounA
ou[pW setling (low setting on 24 voll models only) and a field seleclable/
reversible temp 3 pattern or non-temporal continuous paltern. These field
seleclable (eaNres are accomplished with the use of pins and jumpers
located on the back o( each SpectrAlerl horn and horn/strobe. An accessory
module is not needed to make these field selecliotis. The horn on horn/
strobe models uiill operate on a mAed power supply. 7'hc horn onty model,
however, will rmt operate on a mAed power supply. In such instances,
substitule wifh a System Sensor model MA12/24U.

The Fire•Lite BG-10 Series Manual Fire Alarm Stations
provide dual-action, normally-open contact alarm initiating
points for use with UL listed flre alarm control panels. The
BG-10 Senes features non-coded, dual-action operation.

APPI.ICATIONS
The BG-10 Series manual fire alarm stations are intended
for use as fire alarm initiating devices, with any fre alarm
initiating circuit to be opera[ed by a contact closure. The
stations are for indoor or outdoor (BG-10WP) use and
should be installed in compliance with applicable NFPA
standards, local building codes, and plans and speciflca-
tions.
INSiALLAiION
The BG-10 Series manual fire alarm stations moun[ to
standard single-gang electrical boxes. A terminal block
with screws allows for fast and easy wiring.
OPERATION
Pulling the handle down rauses the BG-10 to la[ch in the
down position and to close the normally-open switch. The
handle is restored manually by unscrewing the allen-head
screw so the top of the case can pivot forward, allowing the
spring-loaded handle to return to i[s normal position. The
