CR carries $2,000,000 general liability (bodily injury and property damage) insurance and it is incorporated herein by reference and should be considered as part of this Contract. You have the right to rescind this Contract and obtain a full refund of any deposit within 72 hours after entering into the Contract. If you plan to use the proceeds of a property and casualty insurance policy to pay for the roofing work, you may rescind this Contract within 72 hours after you receive written notice from the property and casualty insurer that your claim has been denied in whole or in part. CR is entitled to retain payments or a deposit to compensate CR for roofing work actually performed in a workmanlike manner consistent with standard roofing industry practices and is entitled to compensation for custom or non -returnable materials that may have been ordered prior to any Contract recession. CR cannot pay, waive, rebate, or promise to pay, waive, or rebate all or part of any insurance deductable applicable to the insurance claim for payment for roofing work on your property. Approval. All proposals subject to approval by CR management. Right of First Refusal. Owner grants to CR an exclusive right of first refusal on any final estimate generated by the insurance company lies). Material Selection. Owner is solely responsible for the material and color selection of all products utilized by CR and agrees to insure that all such selections shall meet or exceed any neighborhood, city, homeowners association, zoning, master leases, building code or any person, group or entity concerning the quality, type, color or other characteristic of the material selected by Owner. Accounts. Accounts are considered past due if full payment is not received within two weeks after insurance has issued payment. Owner must take all steps necessary to pay all accounts in a timely manner. Any amount past due for thirty (30) days will accrue interest at the rate of ten percent (10%) per month. Owner acknowledges that it shall be responsible for any and all expenses incurred by CR for collection of any past due amounts, including, but not limited to, all attorney fees, costs, expert fees, etc. If full payment is not received after this time, CR may place a lien or encumbrance on the contract property. Agent. Owner acknowledges that CR is appointed as Owner's agent and representative in working on their behalf to assist in Owner's insurance claim negotiation. Owner agrees to fully cooperate with CR in this regard and shall share any and all documents or correspondence received to Owner's insurance claim with CR. Owner appoints CR and its authorized representatives as its attorney-in-fact to take any action necessary to effectuate the terms of this Contract. Performance of Work. CR shall perform all specified work in substantial compliance with all generally accepted industry standards and guidelines, adhering where applicable to local building codes and ordinances. Failure to Perform. Owner acknowledges that CR will not be responsible for any failure to perform its obligations due to labor controversies, strikes, acts of nature or inclement weather, material shortages, labor shortages, eminent domain actions, court or any other government agency or authority declaration, or any other circumstance beyond the control of CR. Owner's Acknowledgment of Work. Owner hereby acknowledges that CR shall not be responsible for minor inconveniences and damages resulting from CR's work at the contract property in accordance with all generally accepted industry standards and practices generally associated with such work. These include but are not limited to: minor landscaping damages, rotted, broken or falling molding, stucco, or plaster cracks or chips, noise, vibration, vehicles in driveway etc. Owner waives and agrees to hold CR harmless from such minor inconveniences and damages. CR is also not responsible for any damages which occur to Owner's property because of defects in architectural, engineering, construction plans and drawings or with respect to any failure to comply with any applicable building codes through construction occurring under such plans. CR is specifically not performing design services and is specifically not responsible for damages caused by occurrences such as mold, condensation, loose flue pipes, or other similar occurrences. Additional Work. Costs for the replacement or repair of any roofing system components (including, but not limited to, decking, fascia, swamp coolers, solar panels, vents, exhaust, HVAC, components, chimney or chimney flashing, step or headwall flashing, windows, siding, skylights etc.) or additional work not specifically stated in this contract are not included. In addition any work or damage uncovered during the repair or replacement process that was unforeseen is not included in the contract. Such work will be billed separately as an extra and billed according to fair market prices. Failure to remit such payment will result in the CR work being unreasonably delayed; therefore Owner agrees to pay -such amounts in a timely manner. Access. Owner shall warrant and guaranty that CR, its subcontractors, agents or assigns, shall have unrestricted and reasonable access to the contract property at all times. Owner shall notify any tenants, subtenants, leaseholders or other third -party of CR's work at the contract property and shall indemnify, defend and hold CR harmless from any claim or liability brought by any third party against CR related in any way to CR work. Warranty. CR shall provide a life -time workmanship warranty upon completion of the project and receipt of payment. Workmanship warranty covers leaks on total roof installations performed by CR should such leaks be a result of CR's faulty installation. Such warranty does not extend to leaks or water damage below the roof line or any damage resulting from lightning, snow, excessive wind, ice or hail during the warranty. Owner hereby acknowledges that no other warranties, express or implied, are being provided by CR and hereby waives any such express or implied warranties. CR does not provide any warranty, either express or implied, for repair or layover work. Dispute Resolution. The parties agree that the provisions of the Colorado Construction Defect Action Reform Act, codified at C.R.S. § 13-20-801, et. seq. shall apply to any dispute resulting from this Contract.
