Effective December 1, 2014, asphalt shingle installations require an approved midroof
inspection, conducted when 25-75 percent of the roof covering is installed, prior to final
approval. Installation of roof sheathing (new or overlay) requires an approved inspection
prior to installation of ANY roof coverings and is require on the entire roof when spaced
or board sheathing with ANY gap exceeding A�-inch exists. Asphalt shingles are required to
be fastened to the roof deck with a minimum of 6 nails per shingle. Ice and water shield is
required. Eave and rake metal is required. A ladder extending 3 feet above the roof eave
and secured in place is required to be provided for all roof inspections. Roof ventilation
is required to comply with applicable codes and/or manufacturer&€"s installation
instructions, whichever is more stringent. In order to pass a final inspection of
elastomeric or similar type roof coverings, a letter of inspection and approval from the
manufacturer's technical representative stating that "the application of the roof at
(project address) has been applied in accordance with the installation instruction for
(roof material brand name) roof covering" is required to be on site at the time of final
inspection.

I . This permit was issued based on the information provided in the permit application and accompanying flans and specifications and is
subject to the compliance with those documents, and all applicable statutes, ordinances, regulations, policies and procedures.
2. This. permit shall expire 365 days after the date of issuance regardless of activity. Requests for extension must be made in writing and
received prior to the date of expiration. An extension of no more than 180 days made be granted at the discretion of the Chief Building
Official and may be subject to a fee equal to one-half of the original permit fee.
3. If this permit expires, a new permit may be required to be obtained. Issuance of a new permit shall be subject to the standard
requirements, fees and rocedures for approval of any new permit. Re -issuance or extension of expired permits is at the sole discretion of
the Chief Building Offcial and is not guaranteed.

This application is exclusively for new permits for residential roofs and for licensed

contractors only. This type of permit is ONLY being processed online --do not come
to City Hall to submit an application in person. Permits are processed and issued in
the order they are received. YOU WILL BE CONTACTED WHEN YOUR PERMIT
IS READY FOR PICK-UP AND WILL BE GIVEN A SPECIFIC DATE AND TIME
WINDOW TO COMPLETE THE TRANSACTION. You will be notified if your
contractor's license or insurance has expired, and you may update those
documents at the time you are issued your permit. Permits are currently being
processed within 3-5 business days, subject to change based on volume.
For all other requests:
Homeowners wishing to obtain a roofing permit must apply for the permit in person
at City Hall. Revisions to existing permits (for example, to add redecking) must be
completed in person at City Hall. All other non -roofing permits must be completed in
person at City Hall. The Building Division will be open from 7:30-10:30 a.m.,
Monday through Friday to process these types of requests.

hereinafter referred to as "Contractor'

And Hammersmith Enterprises, Inc. (hereinafter referred to as the "Company).
1. The Work of this Contract: The Contractor shall manage the Specified scope described in plans,
specifications, general and special conditions, and addenda (if any) of this project. The Scope of work is
specifically defined in Appendix A (scope of Work) attached hereto. The Company shall contract Beacon
Restoration, LLC.
2. Contract Price: The Company shall pay the Contractor the Contracted price of $15.036.43 for Roofing This
sum is based on the pre -agreed price as quoted in the Contract Price Addendum A to this contract.
3. Progress Payments: The Company shall make progress payments on account of the Contract Price upon
substantial completion of each phase of the Work and upon the Contractor rendering an invoice (AIA G702,
703) for said completed work. Progress payments shall be billed a maximum of twice a month unless the
Company and the Contractor agree, in writing, otherwise. Payments will be made on a Net 30 day basis. If
necessary, the Contractor may bill a mobilization fee to the Company.
4. Final Payment: Final Payment, constituting the entire unpaid balance of the Contract Price, shall be made by
the Company to the Contractor when the Work has been completed, and the Contract fully performed, this
included any punch list items.
5. Punch List: The Company shall notify the Contractor in writing of any disputed items and supply a written
punch list within 15 days of the invoice date. The Company may withhold a retainage of 10% of the
payment due from such disputed invoice. A retainage withheld from a progress payment request may be
billed in the final pay request if all contract provisions are fulfilled and there are no disputes. Release of
retainage does not release the Contractor from any warranty requirements, and fully executed lien waivers
will be required for each check that is released.
6. Contract Documents: The Contract Documents are as follows:
(a) This Agreement;
(b) Any drawings issued in connection with the Project as of the date hereof; (N/A)
(c) Any specifications issued in connection with the Project as of the date hereof; (N/A)
(d) Any addenda issued as of the date hereof: Addenda's (N/A)
(e) Appendix A (Scope of Work) (N/A- TBD)
(f) Appendix B (Certificate of Insurance, as outlined in the Insurance section below)
7. Changes: The Company may order changes in the work consisting of additions, or modifications, and the
Contract time being adjusted accordingly. The Company and the Contractor shall make changes in the
work only by written Change Order signed by the Company and the Contractor. The Company and the
Contractor acknowledge that all changes in work that effect the Contract Sum will be will be requested in
writing and executed by both parties prior to the work taking place. No verbal Change Orders or Change
Orders requested after the work of said change order is complete will be honored. Additional Work
Adjustments in the amounts to be paid to the Contractor by reason of such addition, deletion, or
modification, shall be the subject of good faith pricing between the Company and the Contractor, and shall
be determined by one or more of the following methods:
(a) by unit prices, if any, contained in the Contractor's original bid;
(b) By a supplemental schedule of prices, if any, contained in the Contractor's original bid;
(c) By a mutually agreed lump sum price;
8. Unforeseen Conditions: If concealed physical conditions are encountered which differ materially from
those indicated in the Contract documents or are unknown physical conditions of an unusual nature, an
equitable adjustment in the Contract Price or the time of performance, or both, must be agreed upon
pursuant to written Change Order.
9. Construction Schedule: Contractor shall promptly begin construction and ensures completion within
thereafter. If the Contractor fails to complete the Work by the date specified herein,
the Company may assess a penalty against the Contractor, in the amount of $100.00 per day to be deducted
from the total sum due to the Contractor under this agreement.
10. Delays: If the Contractor is delayed at any time in the progress of the Work by any act or neglect of the
Company, an employee of the Company, by a separate contractor employed by the Company, by changes in
the work, by weather delays, by labor disputes, by access issues caused by the Company, owners, fire,
unusual delay in deliveries, unavoidable casualty, or other causes beyond the Contractor control, then there
will be no amounts deducted from the contract Price for the day(s) delayed due to such circumstances.
11. Cease Work: Upon the Company's non-payment of progress payments, the Contractor shall notify the
Company of its intent to cease work. Unless the Company becomes current with the progress payments
within 7 days of such notice, the Contractor shall be entitled to an equitable adjustment in the Contract Price
for a remobilization charge.
12. Limited Warranty: Conditioned upon receipt of final payment, the Contractor shall assign to Company or
their Client all warranties of manufacturers, and shall warrant that the Work will be free from defects not
inherent in the quality required or permitted for a minimum period of one year from substantial
completion. The Company's warranty excludes damages or defects caused by abuse, modifications,
improper or insufficient maintenance, normal wear and tear under normal usage, acts of God (including
but not limited to hail, tornadoes, falling trees, wind, etc.) and further excludes any warranty of concrete
flatwork against cracking and/or movement due to expansive soils.
13. Utilities: Contractor shall supply and pay for all necessary utilities during the duration of the project, unless
explicitly included in the scope of the Company's Work.
14. Hazardous Substances: If the Contractor encounters on the site materials reasonably believed to be
asbestos, polychlorinated biphenyl, or other hazardous or toxic substance, the Contractor shall immediately
stop work in the area affected and report the condition to the Company. If the Work is stopped for such
reasons for more than one week, the Contractor may at its option terminate the Contract. Upon such event,
Company shall pay the Contractor for all Work performed to date, without retainage, as determined by the
Contractor's reasonable estimate and invoice.

15. Inspection and Acceptance: Company agrees to inspect the Work at the request of the Contractor.
Company agrees to execute a Punch list of any particular portion of the Work when that portion is
substantially completed. Contractor agrees to complete the Punch list items within 5 days. If the Punch list
items are not completed with 5 days of notification by the Company to the Contractor, a penalty in the
amount of $100 per day shall accrue until all items are completed, unless the delays are caused by any of
the occurrences listed in the paragraph of this contract titled "Delays", in which case there will be no
penalties for those delays. Further, Company affirmatively acknowledges that the approval by the building
department(s) will be accepted by the Company as conclusive evidence of the Contractor's compliance with
all applicable codes.
16. Arbitration: Any controversy or claim arising out of or relating to the Contract, or the breach thereof, shall
be settled by arbitration in accordance with the Construction Industry Arbitration Rules of the American
Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any
court having jurisdiction thereof. In the event arbitration is instituted to remedy, prevent or obtain relief
from a breach of this Agreement, or arising out of a breach of this Agreement, the prevailing party shall
recover all costs and fees incurred in each and every such action, or proceeding, including any and all
appeals or petitions. As used in this Agreement, arbitration fees shall be deemed to mean the full and
actual cost of any legal services actually performed in connection with the matters involved, calculated on
the basis of the usual fees charged by the attorneys performing such services and shall not be limited to
"reasonable fees".
17. Damages: Any and all damages, whether for breach of contract, breach of warranty, negligence, tort,
statutory claim, regulatory claims, pursuant to equity or otherwise, shall be limited to an amount equal to
the actual damages necessary to compensate the injured party, and in no event shall consequential,
incidental, treble damages (or damages based upon any other multiplier), or punitive damages be
recoverable. In no event and under no circumstances shall damages ever exceed the Contract Price. The
Contractor expressly understands and agrees that the terms of this anticipatory release and the damage
limitations are the result of a knowing allocation of risk between the Company and the Contractor based
upon the Contract Price. The Contractor's acceptance and assumption of the risks set forth in this
paragraph are partial consideration for, and a material inducement to, the Company entering into the
Contract, and the Contractor acknowledges that Contract Price is lower than it would be if not for the
provisions of this paragraph. The Company and the Contractor acknowledge and agree that this damage
limitation herein shall have been given for and in consideration of a negotiated arms length transaction
upon which each of the parties had a full and complete opportunity to negotiate.
18. Qualifications: Contractor represents that it is fully qualified and licensed, to the extent necessary, to do
business in the vicinity of the project, has the requisite expertise, skill and capability to perform the Work in
the manner contemplated by this Agreement, and that it shall maintain the requisite skilled employees and
other workers, materials equipment and tools necessary to perform the Work as and when required under
this Agreement.
19. Standard of Work: All materials supplied by Contractor shall be new, except as specified in contract
addendum. All Work shall be performed in a good and workmanlike manner, free from faults and defects,
and in accordance with the highest standards of the trade and in accordance with the Plans and
Specifications, and applicable governmental building codes and other laws, rules, ordinances, requirements
and regulations applicable to the Project. The Work shall be performed in a manner satisfactory to
Company.
20. Site Inspection by Contractor: Contractor represents that it has inspected the Property in the Project and is
familiar with its condition and accepts the condition of the Project as it existed at the time of said inspection,
and states that there shall be no request by Contractor for additional compensation due to site conditions.
21. Equipment, Etc. Contractor shall furnish all tools, equipment, supplies and materials necessary to perform
the Work. Company shall not be responsible or liable for any loss of Contractor's tools, equipment,
materials and supplies, except as specified in contract addendum.
22. Waste Removal: Contractor shall remove from the Project and the job site all rubbish, debris and waste
material arising from the Work upon completion of the Project.
23. Cooperation of Contractor: Contractor shall obtain all governmental inspections required, if any, in the
performance of Contractor's work and shall cooperate with Company and in the performance of this
Agreement and the development of the Project.
24. Safety: Contractor shall take all reasonable safety precautions with respect to the Work, shall comply with
all applicable laws, ordinances, rules, regulations, requirements and orders of any public authority for the
safety of persons or property.
(a) Workers must wear the proper safety equipment and be attached to safety lines at all times
while on the roof. Any noted violation of this will result in a $100.00 per person, per incident
fine.
(b) If an OSHA violation is assessed due to the subcontractor's negligence the fine will be deducted
from this contract value or assessed if contract value has already been paid in full.
25. Employment Practices: Contractor, in the performance of the Work, is an independent contractor and, as
such, shall be responsible for compliance with the provisions of all applicable State and/or Federal Social
Security, Unemployment Compensation, Workmen's Compensation, Sales and Use Tax, Withholding Tax
and other tax laws now or hereafter in effect and shall pay all taxes, contributions and premiums required
thereunder.
26. No Liens. Contractor shall deliver the Work to Company in good condition, free and clear of all claims,
liens and encumbrances arising by, through or under Contractor. At all times, Contractor shall defend and
hold Company harmless from and indemnify Company from and against all such claims, liens or
encumbrances, pending or threatened.
27. Miscellaneous: All work involving repair and or replacements covers the damaged area only and does not
include modifying or correcting existing deficiencies or building code non -compliances. All work will be
completed in substantial compliance with the contract Documents using current techniques and materials
reasonably calculated to approximate the original finish and quality. Painting is estimated to return existing
surfaces to their same color. A change in color, finish or surface will be considered additional work. All
construction salvage shall become the property of the Company.
28. Insurance: Contractor shall, in a manner satisfactorily to Company, maintain at its own expense until the
completion of the Work and final payment thereof the following insurance:
(a) Worker's Compensation and Employer's Liability: Meeting the statutory requirements and
covering any employees of Company used by the Contractor.
(b) Comprehensive General Liability: Comprehensive General Liability Form.
(c) Comprehensive Automobile Liability:
i. Comprehensive Automobile Liability Form, including all owned, non owned and hired
vehicles.
ii. Limits of Liability: Bodily Injury - $250,000 each person; $500,000 each occurrence;
Property Damage - $100,000 each occurrence aggregate.
(d) Subcontractors are required to include additional insured endorsements naming Hammersmith
Contracting Inc. as a co-insured on their policy for the duration of the Project.
Maintenance of the required insurance protection does not relieve the Contractor of responsibility for any
losses not covered by the above required policies. Contractor shall furnish original certificates, together
with copies of the policies, evidencing that existence of the required coverage with Company named as a co-
insured. Failure of Contractor to fulfill any of its obligations contained in this Section shall constitute a
material breach of this Agreement. Certificate of Insurance to list Hammersmith Contracting, Inc. as
additionally insured.
29. IndeInde Tnity: Contractor hereby indemnifies and saves harmless Company against any and all loss, damage,
liability, claims, demands, cost or expense, including attorney fees and costs of litigation, arising from or in
any way attributable to the activities of Contractor or any of the Contractor's employees, Contractor's work
or Contractor's presence or activities on the Project site without limitation, injuries or deaths to persons and
damage to property.
30. Termination:
(a) In General. This Agreement shall terminate upon satisfaction of all requirements contained
herein by all parties, or in any other manner as provided herein.
(b) Upon Breach by Contractor. In the event of Contractor's breach of this Agreement, the
following procedures will apply:
Company shall notify Contractor of said breach and shall give Contractor twenty-four
(24) hours from its receipt of such notice to remedy the breach, provided, however, if it
is or becomes impossible or commercially impracticable for Contractor to cure such
breach within (24) hours, then Contractor shall have such additional time as is
necessary to cure the breach until the impossibility or commercial impracticability
ceases to exist.
ii. In the event Contractor fails to timely correct said breach in a manner satisfactorily to
Company, then Company may notify Contractor that this Agreement is terminated
because of Contractor's breach, and Contractor shall be liable to Company for all
damages and/or costs sustained by Company as a result of said breach.
(c) Upon Breach by Company.
Contractor shall notify Company of said breach and shall give Company twenty-four

because of Company's breach, and Company shall be liable to Contractor for all

31. Payment No Release: No payment to the Contractor under this Agreement, whether in full or in part, shall
be deemed to operate as a release or Company's acceptance of any work or an admission that Contractor
has complied with any provisions of this Agreement.
32. Successors and Assigns: This Agreement shall inure to the benefit of and be binding upon any permitted
successors and assigns of the parties hereto.
33. Notice: Any notice required pursuant to the terms of this Agreement shall be considered to have been
received when delivered in writing to the other party or an officer or manager thereof, in person or one (1)
day after placing such notice in the United States Mail, certified mail, return receipt requested, postage
prepaid, properly addressed to th party at the address appearing for such party on page one of the
Agreement or at such other address as any party may furnish to the other party in accordance herewith for
the purposes of this notice. Actual receipt shall not be required to effect notice hereunder.
34. No Waiver: Any failure to enforce or waiver of any breach of any of the provision of this Agreement shall
not constitute a waiver of any continued or additional breach of the same or any other provisions of this
Agreement. Company's failure to give notice to the Contractor's shall not limit, alter, diminish, restrict or
waive the Contractor's obligations set forth in this Agreement.
35. Entire Agreement: All parties hereby agree that this Agreement and all documents referred to herein
including Exhibits A, attached hereto, represents and constitutes the entire Agreement between said parties
and no other document or representation, either verbal or written, whether made heretofore,
simultaneously with the execution hereof, or hereafter, except as set forth herein, shall be binding on either
parties hereto.
36. Amendment: This Agreement may be amended, altered or modified only by written instrument, validity
executed by all parties hereto.
37. Governing Law: This Agreement shall be interpreted in accordance with the laws of the State of Colorado.
In the event of a lawsuit, the proper venue shall be Arapahoe County, Colorado where the Company is
located.
38. Severability: The provisions of this Agreement are severable, and should any provision be found to be
invalid or unenforceable, such finding shall not affect the validity or enforceability of any other provisions
hereunder.
39. Independent Contractor: Contractor is not an employee or agent of Company, but only an independent
contractor. Nothing in this Agreement shall authorize or empower Contractor to create or assume any
obligation or responsibility whatsoever, express or implied, in the name or on behalf of Company, nor to
make any representation, warranty or agreement on Company's behalf.
40. Conflicts: If the parties attach to this Agreement any exhibit or form prepared by the Company or the
Contractor, the provisions of this Agreement shall goy an the event of a conflict between this Agreement
and the Company or Contractor's exhibit or form.
