PARTIES. The parties to this Agreement are the WATROUS LATERAL DITCH COMPANY, a Colorado ditch company ("Ditch Company"), and BRADLEY A. STEPHENSON and KIMBERLEY J. TAYLOR, ("Licensees") owners of the property known as 31 Skyline Drive, Wheat Ridge, CO 80215 ("Property"). The Ditch Company and Licensees are jointly referred to as the Parties. 2. RECITALS. The Licensees desire to obtain the permission of the Ditch Company to build a garage extension over that part of the ditch location that currently is under an asphalt driveway ("Ditch") on the Property. The locations of the crossings are described in EXHIBIT A. The Ditch Company agrees to permit the proposed crossings, subject to the terms, conditions, covenants and agreements set forth in this Agreement. Accordingly, in consideration of the mutual promises set forth in this Agreement, the Parties covenant and agree as follows: 3. CONSTRUCTION. 1. Pursuant to the terms of this Agreement, the Licensees are granted the license to replace the current 12 -inch diameter underground irrigation pipe with the foundation and attached garage building over an underground C-900 type, minimum 12" diameter, irrigation pipe at that same location pursuant to the plans attached as Exhibit A. 2. The Ditch Company's review of the plans and specifications is solely for its own benefit and creates no obligation on the Ditch Company. 3. All portions of the Ditch, bottoms, sides, banks, and all affected portions of the Ditch Company's easement which are disturbed by the Licensees' Installations shall be restored to their original condition so the flow of the water in the Ditch runs at the original amount and velocity, and with the same quality, and so that there is no increase in the burden on the Ditch Company's easement. Any and all fencing and other facilities appurtenant to the Ditch Company's easement shall be replaced in a condition at least equal to the condition of such facilities and appurtenances prior to construction. 4. The Licensees shall not spill any dirt, debris or other foreign material into the Ditch. In the event that dirt, debris or other foreign material is spilled into the Ditch, the Licensees agree to completely clean the affected portions of the Ditch. 5. The Licensees agree that the Installations shall proceed expeditiously and with reasonable diligence from the commencement of construction to its completion. The Installations which are constructed over the Watrous Lateral Ditch and its easements shall be completed by April 15, 2020. If the Installations are not completed by that date, this Agreement is of no force or effect; and another Agreement must be negotiated prior to any further construction affecting the Ditch and it's easements. 6. If the Licensees' construction, maintenance, repair, and/or replacement of the Installations interrupts the Ditch Company's water supply for any reason, the Licensees shall pay as liquidated damages $100 per day for any day that the Ditch Company has a request for water from a shareholder and cannot deliver water to that shareholder or shareholders as a result of the Installations. 7. It is not known whether Licensees' project requires any local, state or federal permits or approvals. It is Licensees' obligation to investigate and determine the need for any such permits or approvals. Licensees are responsible, at their own expense, for obtaining all local, state and federal permits or approvals and for compliance with all local, state and federal laws and regulations, including but not limited to land use and environmental laws and regulations, and specifically including the Endangered Species Act, prior to beginning construction. To the extent permitted by law, Licensees shall indemnify the Ditch Company for any and all costs, damages, fines, and fees, including reasonable attorneys' fees, incurred by the Ditch Pagel U6 Company as a result of Licensees' failure to obtain such permits or approvals or failure to comply with all applicable laws and regulations. 4. CROSSING FEE. The Licensees shall pay to the Ditch Company a crossing fee of $200.00 which the Ditch Company acknowledges sufficiency and receipt. This crossing fee shall be in addition to any other costs for which the Licensees are responsible pursuant to this Agreement. 5. INSPECTION. 1. The Licensees shall notify the Ditch Company at least five (5) days prior to commencement of the Installations, or prior to replacement, maintenance or repair of the Installations permitted by this Agreement. The Ditch Company is permitted to inspect the Installations and the replacements, maintenance and repairs during construction and upon their completion. If, during the Ditch Company's inspections, the Watrous Lateral Company deems it necessary to hire an engineer to protect their water rights as per Colorado law, such expense will be shared equally between the Ditch Company and the Licensees not to exceed $1,500.00 total. 2. The Ditch Company's right to inspect the Installations (including replacement, maintenance or repair of the Installations) in no way relieves the Licensees of their liability for improper construction, maintenance, repair, or replacement. The Ditch Company's inspection is solely for the benefit of the Ditch Company and creates no obligation on the Ditch Company. 6. MAINTENANCE. Licensees specifically agree and pledge to maintain, repair and replace the Installations described in EXHIBIT A so as not to require the Ditch Company to maintain, repair or replace them. All such maintenance, repair and replacement shall be subject to the same standards as are imposed on the original construction by this Agreement. 7. WATER LOSS. The Licensees agree that the Installations will not increase carriage or transit loss over the loss that occurred historically. The Licensees agree to compact earth materials so that such additional water losses will not occur. If the Licensees' Installations increase carriage or transit loss in the Ditch, the Licensees agree to repair, at their expense, the construction to prevent such additional loss. 8. LIABILITY AND INDEMNIFICATION. 1. By virtue of entering into this Agreement, the Ditch Company: (1) assumes no liability for use, operation, or existence of the Licensees' Installations; and (2) assumes no additional responsibilities or obligations related to the Licensees' future or additional activities in the area described in EXHIBIT A which are allowed or required by this Agreement. 2. To the extent permitted by law, the Licensees agree to indemnify and hold harmless the Ditch Company, from all claims and liability for damage or injury to property or persons arising or caused directly or indirectly by the Licensees' construction, restoration, maintenance, repair, or replacement of, or failure to maintain, repair or replace, the Installations and the Licensees' occupancy and use of the area located in EXHIBIT A. 3. The Ditch Company shall not be responsible for any damage caused by seepage water or inadvertent striking of the Installations during maintenance of the Ditch. Use Figure 11 or 12 to locate and mark the location of the standoff lag screw holes within the installation area. Remove the tile or shake underneath each standoff location, exposing the roofing underlayment. Ensure that the standoff base lies flat on the underlayment, but remove no more mate- rial than required for the flashings to be installed properly. The standoffs must be firmly attached to the building structure. If multiple high-profile rows are to be installed adjacent to each other, it may not be possible for each row to be centered above the rafters. Adjust as needed, following the guidelines of Fig. 12 as. closely as possible. Installing standoffs Drill 3/16 inch pilot holes through the underlayment into the center of the rafters at each standoff location. Securely fasten each standoff to the rafters with the two 5/16" lag screws. Ensure that the standoffs face as shown in Figure 11 or 12. Untrue steel standoffs (15/8 "O.D.) are designed for collared (lashings available from Unirac. Aluminum two-piece standoffs (1 1/ /8"o D.) take all-metal flashings, also available from Unirac. Install and seal Lashings and standoffs using standard building practices or as the company providing roofing warranty directs. I8 SolarMount Unirac Code-Compliant Installation Manual : mUN I RAC [3.2.4] Installing SolarMount rails Keep rail slots free of roofing grit or other debris. Foreign matter will cause bolts to bind as they slide in the slots. Installing Splices. If your installation uses SolarMount splice bars, attach the rails together (Fig. 13) before mounting the rails to the footings. Use splice bars only with flush installations or those that use low-profile tilt legs. Although structural, thejoint is not as strong as the rail itself. A rail should always be supported by more than one footing on both sides of the splice. (Reference installation manual 908.1, Splices/Expansion Joints.) If using more than one splice per rail, contact Unirac concerning thermal expansion issues. Mounting Rails on Footings. Rails may be attached to either of two mounting holes in the L-feet (Fig. 14). Mount in the lower hole for a low profile, more aesthetically pleasing installation. Mount in the upper hole for a higher profile, which will maximize airflow under the modules. This will cool them more and may enhance performance in hotter climates. Slide the '%-inch mounting. bolts into the footing bolt slots. Loosely attach the rails to the footings with the flange nuts. Ensure that the rails are oriented to the footings as shown in Figure 8, 9, 11, or 12, whichever is appropriate. Aligning the Rail Ends. Align one pair of rail ends to the edge of the installation area (Fig. 15 or Fig. 16). The opposite pair of rail ends will overhang the side of the installation area. Do not trim them off until the installation is complete. If the rails are perpendicular to the rafters (Fig. 15), either end of the rails can be aligned, but the first module must be installed at the aligned end. If the rails are parallel to the rafters (Fig. 16), the aligned end of the rails must face the lower edge of the roof. Securely tighten all hardware after alignment is complete (28-32 ft lbs). Mount modules to the rails as soon as possible. Large temperature changes may bow the rails within a few hours if module placement is delayed. Edge of installation area -`-I 1 Figure 15. If modules are the Plug and Play type, no pre-wiring is required, and you can proceed directly to "Installing the First Module" below. If modules have standard J-boxes, each module should be pre-wired with one end of the intermodule cable for ease of installation. For safety reasons, module pre-wiring should not be performed on the roof. Leave covers off J-boxes. They will be installed when the modules are installed on the rails. Installing the First Module. In high-profile installations, the safety bolt and flange nut must be fastened to the module bolt slot at the aligned (lower) end of each rail. It will prevent the lower end clamps and clamping bolts from sliding out of the rail slot during installation. - If there is a return cable to the inverter, connect it to the first module. Close the J-box cover. Secure the first module with T-bolts and end clamps at the aligned end of each rail. Allow half an inch between the rail ends and the end clamps (Fig.18). Finger tighten flange nuts, center and align the module as needed, and securely tighten the flange nuts (15 If lbs). v J J boxes Figure 17 1/2" minimum End clamp Installing the Other Modules. Lay the second module face down (glass to glass) on the first module. Connect intermodule cable to the second module and close the J-box cover. Turn the second module face up (Fig. 17). With T-bolts, mid-clamps and flange nuts, secure the adjacent sides of the first and second modules. Align the second module and securely tighten the flange nuts (Fig. 19). For a neat installation, fasten wire management devices to rails with self-drilling screws. Repeat the procedure until all modules are installed. Attach the outside edge of the last module to the rail with end clamps. Trim off any excess rail, being careful not to cut into the roof. Allow half an inch between the end clamp and the end of the rail (Fig. 18). Check that all flange nuts on T-bolts are torqued to 15 ft lbs Figure 18 Figure 19 Figure 20.
