ENTIRE AGREEMENT. This agreement is the entire agreement between the parties concerning services to be provided to Customer by Fox Roofing
and replaces and supersedes any prior or contemporaneous negotiations, oral representations, agreements, or understandings among or
attributable to the parties hereto. This agreement may not be amended, modified, or otherwise changed except by a writing executed by Fox
Roofing. If any provision of this Agreement should be held to be invalid or unenforceable, the validity and enforceability of the remaining provisions
of this contract shall not be affected thereby.
GOVERNING AND CONTROLLING LAW. This agreement and all performance under it are governed by and construed in accordance with the laws of
the state of Colorado. Fox Roofing and Customer hereby expressly agree that any and all claims arising from Fox Roofing's work are subject to the
rights, remedies, and procedures set forth in the Construction Defect Reform Act, C.R.S. §13-20-801 et seq. Customer agrees Fox Roofing's
aggregate liability for any claim for damages due to Fox Roofing's provision of services will not exceed the price set forth above.
OBLIGATION OF CUSTOMER. Customer warrants that all information provided to Fox Roofing is complete and accurate to the best of Customer's
knowledge, and Customer understands that Fox Roofing is relying upon Customer's information to do the appropriate work. Customer agrees to
obtain any necessary permissions and approvals from any homeowners' associations to which the property is subject and to be responsible for any
related delays.
WARRANTY. Fox Roofing is not a manufacturer. If any equipment or material is used or purchased by Fox Roofing for use on site, the
manufacturers' warranties of the equipment or material are solely of the manufacturer. Fox Roofing provides a workmanship warranty for two
years on roof replacement, one year on siding replacement, one year on gutter repairs, and one year on all other repairs (including interior work).
Fox Roofing makes no other representation, guarantee, or warranty, express or implied, in fact or by law, as to merchantability, fitness for a
particular purpose, or otherwise, concerning any of the goods or services used or purchased by Fox Roofing. Fox Roofing is not responsible for any
damages on or below the roof due to leaks by excessive wind driven rain, ice, or hail during the period of warranty. Excessive wind is 65 M.P.H. or
greater. The warranty is not transferrable.
DISPUTE RESOLUTION. Fox Roofing and Customer agree to settle all disputes in accordance with the laws of Colorado and in courts within the
county in which the property is located. If Customer defaults on its obligation to pay under this agreement, a lien will be placed on the property
and/or interest will be added to the amount owed from the date of substantial completion at the maximum rate allowed by law. If any dispute is
placed in the hands of an attorney for collection or enforcement of this agreement, Customer will pay all collection costs incurred by Fox Roofing
and, if Fox Roofing is the prevailing party in any dispute, Customer will also pay all reasonable attorneys' fees incurred by Fox Roofing. Any persons
or companies supplying labor or materials for this improvement to the property may file a lien against the property if those persons or companies
are not paid for their contribution.

understands that Fox Roofing may issue a stop work order if requested progress payment is not received. Fox Roofing reserves the right to collect
payment in full per trade prior to beginning on the next trade. Customer agrees to pay the total balance due less 10% as hold -back until the final
inspection and any subsequent punch list is completed, at which time Customer will pay the final 10%.
TIMING. The approximate dates of service represent Fox Roofing's best estimate and are subject to change. Because various factors impact Fox
Roofing's performance (e.g., approval from the insurance carrier, issuance of permits, material shortages), the estimated dates for completing the
roofing work are not a material term of the agreement. And Customer waives any and all claims for damages stemming from Fox Roofing's failure

CANCELLATION POLICY. Customer may rescind the agreement, by giving written notice to Fox Roofing, in writing within seventy-two (72) hours
after entering the agreement. Customer may also rescind the agreement, by giving written notice to Fox Roofing, within seventy-two (72) hours
after Customer receives written notice from Customer's property and casualty insurer that the claim for payment for roofing work on the
residential property is denied in whole or in part. Customer's right of rescission does not apply when the property and casualty insurer denies, in
whole or in part, a claim related to a request for supplemental roofing services if the damage requiring the supplemental roofing services could not
have been reasonably foreseen as a necessary and related roofing service at the time of the initial roofing inspection or the execution of the
agreement. Upon rescission, Fox Roofing will comply with the requirements of C.R.S. § 6-22-104. In the event Customer cancels this agreement for
any reason, Customer agrees to immediately pay Fox Roofing any actual incurred costs pertaining to the work (including, but not limited to, on-site

homeowners insurance or business risk insurance, or unless a specified written agreement be made therefor prior to commencement of the work
at Customers residence. During the duration of the work, Customers homeowners insurance will be responsible for any interior damage as long

PAYMENT. Payment by Customer of 50% of total contract amount is required up front. Payment is due for the remainder of the agreed-upon price
upon completion of the work to be performed for each individual trade, including applicable overhead and profit, such as: roofing, gutters, siding &
trim, awnings & carports, interior repairs, punch list. In the event Customer chooses to withhold full payment until after final inspection, Customer
understands that Fox Roofing may issue a stop work order if requested progress payment is not received.
And Customer waives any and all claims for damages stemming from Fox Roofing's failure
to complete the roofing work within the estimated timeframe. Fox Roofing shall not be liable for failure of performances due to labor
controversies, strikes, fires, weather, inability to obtain materials from usual sources, or any other circumstances beyond the control of Fox
Roofing, whether of a similar or dissimilar nature.
§ 6-22-104. In the event Customer cancels this agreement for
any reason, Customer agrees to immediately pay Fox Roofing any actual incurred costs pertaining to the work (including, but not limited to, on-site
property inspections, travel to and from property inspections, calls and meetings with third party representatives, and provision of necessary
equipment and tools, ladders and safety equipment needed for inspections, estimates and reports), plus 15% restocking fee.
