Dear Mr. Lyons,
This letter is to inform you that as of this date the following
issues, which Triton Development has been aware of during the
past several months, have not been addressed to the satisfaction
of the Public Works Department:
l. The letter of certification, for the various drainage
improvements, has not been received. As you are aware, Triton
Development assured the City that this letter would be
submitted, and agreed that temporary certificates or
certificates of occupancy could be withheld for any units
within phase 2 of this project, if this letter was
submitted to the City for approval. As a reminder and for your
information, I am including a copy of the map that
this department has been, and will continue to use, for
determining the phasing boundary: Despite this agreement; it
has come to the attention of this department that three
certificates of occupancy have been issued for lots 66, 68,
and 69. These certificates are all within the phase 2 area of
this project, and were never signed off as approved by the
Public Works Department.
2. There is still a low area of asphalt along'the West 38th
Avenue frontage and east of the present construction entrance
that has not been properly repaired by Triton Development.
Several verbal requests to the site's project manager, Mr.
Barry Odean, have been made over the last several months to
repair this problem. This area needs to have the existing
asphalt removed because of the excessive time that water has
been ponding. An asphalt patch (minimum 9-inches in depth)
needs to be placed in accordance with City standards. Please
notify the City at least 24 hours in advance prior to
completing this work to set up an inspection and confirm
licensing requirements for the contractor.

3. A drainage problem has been created along the entire Miller
Court frontage between the back of the new sidewalk and the
new fence. Water from the operation of the irrigation system,
drains to the low area described. This area need to be
regraded as needed to properly convey flows from the Cambridge
Park site that are adversely impacting this area.
Please be aware that effective immediately, the City of Wheat
Ridge will not accept any temporary certificate, or certificate
of occupancy applications in Phase 2 of this development until
such time as Triton Development has completed the above items to
the satisfaction of the City.

On March 10, 1998, I was requested to review a proposed entry gate modification. Upon review with
Wheat Ridge Fire it was concluded that this gate modification is not acceptable.
Our files show the following options will be considered as acceptable:
1. The gates to open with the application of a lateral force not to exceed fifteen pounds.
2. The gates to be continually attended with the availability of emergency power on the site.
3. The removal of the gates.

Subject: Observation of Underdrain for House at Lot 67, Cambridge Park,
Wheat Ridge, Colorado.
Dear Mr. Odean:
At the time of our visit on May 8, 1997, the underdrain had been ins[alled.
The gravel top was exposed and was covered with a tilter tabric. The top of the
gravel was 86 to 90 inches below the top of the foundation wall. A sump was located
in the southwest corner of the lower level and was about 45 inches deep. The invert
of a drain line entered the sump about ] 14 inches below the top of the foundation
wall.
The drain appeared to be installed substantially in accordance with our
recommendations.

Per our conversation this morning, please accept this letter as our word of
agreement to extend the Letter of Credit that is currently in place for the
improvements of 38th Avenue. We will extend this Letter of Credit through April,
1999, which would correspond with your original request as stated in your letter
of November 23, 1998.
The original of this letter will be forthcoming by mail. Please accept this faxed
copy in the interim. This will satisfy the balance of your conditions which will allow
the Certificates of Occupancy to be issued on the last two homes.

Dear Mr. Avery,
This letter is to inform you that the bike path construction lans for
the above referenced project have been reviewed and approved ~or
construction. Please be aware of the following items regarding the
construction of the project:
1. It will be the res onsibility of the contractor for the pro ect to
repair any damaqe~o the existing public improvements on Mi~ler
Court as a result of related construction traffic in the area.
Also, the contractor will be responsible for maintaininq Miller
Court and West 41 Avenue on a regular basis such that they are
free of construction debris and tracking from construction traffic
accessing the site.
It will be the responsibility of the developer/owner, to provide
the necessary testing for subgrade compaction, and related material
tests for those concrete and as halt improvements to be constructed
within public right-of-way. Tes~ing methods shall be in conformance
with the 3atest industry standards. The number of tests taken shall
be at intervals sufficient to confirm that the structural inteqrity
of said public improvements are in conformance with the respecEive
materials testinq specifications. Copiesof all test results shall
be forwarded to Ehe City as soon as possible for review.
3. Prior to any construction of public imp rovements, the necessary
qht-of-way construction permit(s) and res ective licensing will
neeY3 to be submitted for processing by the ~ity.

Dear Mr. Lyons,
This letter is to inform you that as of this date the following
issues, which Triton Development has been aware of during the
past several months, have not been addressed to the satisfaction
of the Public Works Department:
1_ The letter of certification, for the various drainage
improvements, has not been received. As you are aware, Triton
Development assured the City that this letter would be
submitted, and agreed that temporary certificates or
certificates of occupancy could be withheld for any units
within phase 2 of this project, if this letter was
submitted to the City for approval. As a reminder and for your
information, I am including a copy of the map that
this department has been, and will continue to use, for
determining the phasing boundary. Despite,this agreement, it
has come to the attention of this department that three
certificates of occupancy have been issued for lots 66, 68,
and 69. These certificates are all within the phase 2 area of
this project, and were never signed off as approved by the
Public Works Department.
2. There is still a low area of asphalt along the West 38th
Avenue frontage and east of the present construction entrance
that has not been properly repaired by Triton Development.
Several verbal requests to the site's project manager, Mr.
Barry Odean, have been made over the last several months to
repair this problem. This area needs to have the existing
asphalt removed because of the excessive time that water has
been ponding. An asphalt patch (minimum 9-inches in depth)
needs to be placed in accordance with City standards. Please
notify the City at least 24 hours in advance prior to
completing this work to set up an inspection and confirm
licensing requirements for the contractor.

3. A drainage problem has been created along the entire Miller
Court frontage between the back of the new sidewalk and the
new fence. Water from the operation of the irrigation system,
drains to the low area described. This area need to be
regraded as needed to properly convey flows from the Cambridge
Park site that are adversely impacting this area.
Please be aware that effective immediately, the City of Wheat
Ridge will not accept any temporary certificate, or certificate
of occupancy applications in Phase 2 of this development until
such time as Triton Development has completed the above items to
the satisfaction of the City.

This memorandum is to inform you that as of this date the
required letter of certification, confirming the satisfactory
construction of the project's drainage improvements, has not been
received by the Public Works Department.
It is critical that this letter be submitted while Triton
Development is still mobilized at the Cambridge Park site.
Therefore, please be aware that as of this date the Public Works
Department will not approve any requests for a temporary
certificate of occupancy, or certificate of occupancy for units
within Phase 2 of the Cambridge Park Development until such time
as the requested drainage certification letter has been received
and approved.

Dear Mr. Avery,
This letter is to inform you that the final drainage study,
erosion control and W. 38th Avenue construction drawings for the
above referenced project have been reviewed and approved for
construction. Please be aware of the following items regarding
the construction of the project:
1. The proposed drainage facilities shall be constructed and
approved by the City of Wheat Ridge prior to issuance of the
any Temporary Certificate of Occupancies.
2. Erosion control for the project shall be placed in conformance
with the approved drainage/erosion control plan and shall be
maintained as needed during the course of construction.
3. All drainage improvements shall be constructed in conformance
with the approved drainage report and plan.
4. It will be the responsibility of the contractor for the
project to repair any damage to the existing public
improvements on West 38th Avenue as a result of related
construction traffic in the area. Also, the contractor will
be responsible for maintaining West 38th Avenue on a regular
basis such it is free of construction debris and tracking
from construction traffic accessing the site.
5. Upon completion of the drainage improvements the engineer,
Adams-Avery, Ltd. shall provide to the City of Wheat Ridge a
letter of certification stating that the various improvements,
as defined in the drainage report and plan, have been
accurately surveyed to confirm that their construction is
in accordance with these documents. The certification letter
shall be written and stamped by the engineer who prepared the

Dear Mr. Lyons, ,
This letter is to inform you of the City's position regarding the
continuous problem of construction traffic accessing the
Cambridge Park site from Miller Court. The City has during the
last three months, and without success, made several verbal
requests to the various Triton Development project
superintendents to discontinue all construction traffic on Miller
Court, and to use the approved construction access from West 38th
Avenue. Also, the City has received several complaints, as
recent as September 2, 1996 from Miller Court residents regarding
the unauthorized access of construction traffic. Finally, Miller
Court was recently slurry sealed by the City as part of the
ongoing maintenance program.
Based upon this information, please be aware that any future use
on Miller Court by construction traffic accessing the Cambridge
Park Development will result in the City requiring that Triton
Development warranty the existing Miller Court asphalt
improvements for a period of one year. In addition, continued
construction traffic on Miller Court may result in the City
withholding all future building permits for the project until
such time as an appropriate solution to this issue can be
reached.

DEVELOPMENT COVENANT
THIS DEVELOPMENT COVENANT, as authorized by the SUBDIVISION REGULATIONS
t, of the City of Wheat Ridge, is entered into this 14th day of MarcIl_,
1996 between the City of Wheat Ridge, a Municipal Corporation,
hereinafter referred to as City, and Cambridge Ventures, LLC,
hereinafter referred to as Owner, and concerns property located at 10241
W. 38th Avenue, Wheat Ridge, Colorado.
WITNESSETH:
WHEREAS, Owner is the titled owner of a tract of land in the City of
Wheat Ridge, County of Jefferson, State of Colorado, more fully
described as Cambridge Park Subdivision, City of Wheat Ridge, County of
Jefferson, State of Colorado, which property is hereinafter referred to
as the "Property"; and
WHEREAS, Owner is in the process of constructing a new residence and
associated improvements and'is desirous of obtaining a building permit;
and
WHEREAS, curb, gutter, sidewalk and street improvements bordering the
Property and neighboring tracts of land are incomplete and/or below
those standards as set forth in the SUBDIVISION REGULATIONS of the City;
and
WHEREAS, to be uniform and consistent with the existing neighboring
improvements, the completion or non-completion of those improvements as
required by SECTION FIVE: IMPROVEMENTS of the SUBDIVISION REGULATIONS
will make no significant change at the present in those streets fronting
the Property and the neighboring tracts of land; and
WHEREAS, in order to conform to those requirements as set out in the
SUBDIVISION REGULATIONS of the City, this Agreement is hereby determined
to be proper.
NOW, THEREFORE, IT IS HEREBY AGREED THAT:
1. The responsibility for providing improvements along the street
frontage of the Property, as set out in the SUBDIVISION REGULATIONS
of the City, is hereby acknowledged by the Owner.
2. The Owner has caused certain improvements to be constructed on the
Property and associated on-site improvements.
3. The existing improvement of property frontage along 10241 W. 38th
Ave. is below those standards as set forth in the SUBDIVISION
REGULATIONS of the City, and the completion of those improvements
as required by Section Five: Improvements of the SUBDIVISION
REGULATIONS will make no significant change at the present in those
streets fronting the property.
4. In accordance with Section 5-45 of the Code of Laws of the City of
Wheat Ridge, Colorado, subsection E, the Department of Public works
has determined that public improvements along 10241 W 38th Ave.
need not be immediately constructed and that execution of this
Development covenant is appropriate. The owner agrees to
participate in engineering and construction costs for the
property's frontage along 10241 W. 38th Ave_ when the street is
brought in accordance with City street standards, or as directed by
the Director of Public Works. The engineering and construction
costs will be limited to those reasonable and necessary to
construct 10241 W. 38th Ave. to current local street standards,
including earthwork, one half street width paving, curb, gutter and
walk, and miscellaneous and incidental items.

5. The Director of Public Works shall give written notice and an
estimate of costs to the Owner 30 days prior to advertisement of
any major improvements to 10241 W. 38th Ave. which would affect the
Property and will submit to the Owner a detailed cost breakdown and
billing after Award of the construction contract by City Council.
The detailed cost estimate will include the Owner's portion of the
cost of curb, gutter and sidewalk and associated pavement
improvements and other items listed in Paragraph 4.
6. Upon receipt of the detailed cost estimate or billing, the Owner
hereby agrees to pay to the City, within 45 days, the full amount
of the detailed cost estimate or billing. The owner also agrees to
pay to the City any extra costs associated with the Public
Improvements to the Property due to variations in estimated
contract quantities or as a result of change orders within 30 days
of written request for payment by the City. The City will pay to
the Owner any overcharges paid to the City by the owner within 45
days after final acceptance of the Public Improvements.
7. Owner agrees to pay for all public improvements or billings within
45 days of written notice; Owner further agreeing that any amount
resulting from his failure to pay for any improvement or billing
this improvement completed shall constitute a lien upon the
property above described in the actual amount of the public
improvements or billing completed, less any payments made by Owner,
plus interest on the amount unpaid at 10 percent (10%) per annum
from the date of final acceptance or billing, plus any costs
incurred by the City in collecting same, including court costs and
attorney's fees.
8. In the event an Improvement District or a Special Improvement
District is created by the City to improve or provide those
requirements as set out in the SUBDIVISION REGULATIONS as they
exist at the date of execution of this Covenant, for curb, gutter,
sidewalk related street and drainage improvements, solely relating
to those streets fronting on the property and neighboring tracts of
land, the owner or his assigns and successors agree not to oppose
its creation, or subsequent reasonable assessment of the costs to
the property.
9. In the event an Improvement District is created by the City to
provide the improvements as provided by the SUBDIVISION REGULA-
TIONS, the costs assessed against the property shall not be
disproportionate with costs assessed to other nearby and like
properties.
10. This COVENANT is executed by the Owner pursuant to the SUBDIVISION
REGULATIONS of the City of Wheat Ridge.
11. The City, in its sole discretion, may require a cash or surety bond
to be held in escrow by the City to secure completion or the public
improvements described herein. Such cash or surety bond shall be
in the sum sufficient to cover the estimated costs of the
construction of the, public improvements described herein, said
estimate to be made at or about the time of the notice described in
Paragraph 5 above. Any interest earned on any escrow funds shall
be the sole property of the City.
12. The DEVELOPMENT COVENANT shall be recorded with the Clerk and
Recorder of Jefferson County, Colorado, and constitute a continuing
covenant running with the land, providing however, that this
DEVELOPMENT AGREEMENT shall be released by the City upon the
completion of the public improvements and complete and satisfactory
payment by the owner of all costs and fees associated therewith r

Dear Mr. Lyons,
This letter is to inform you that as of this date the following
issues, which Triton Development has been aware of during the
past several months, have not been addressed to the satisfaction
of the Public Works Department:
1. The letter of certification, for the various drainage
improvements, has not been received. As you are aware, Triton
Development assured the City that this letter would be
submitted, and agreed that temporary certificates or
certificates of occupancy could be withheld for any units
within phase 2 of this project, if this letter was
submitted to the City for approval. As a reminder and for your
information, I am including a copy of the map that
this department has been, and will continue to use, for
determining the phasing boundary. Despite this agreement, it
has come to the attention of this department that three
certificates of occupancy have been issued for lots 66, 68,
and 69. These certificates are all within the phase 2 area of
this project, and were never signed off as approved by the
Public Works Department.
2. There is still a low area of asphalt along the West 38th
Avenue frontage and east of the present construction entrance
that has not been properly repaired by Triton Development.
Several verbal requests to the site's project manager, Mr.
Barry Odean, have been made over the last several months to
repair this problem. This area needs to have the existing
asphalt removed because of the excessive time that water has
been ponding. An asphalt patch (minimum 9-inches in depth)
needs to be placed in accordance with City standards. Please
notify the City at least 24 hours in advance prior to
completing this work to set up an inspection and confirm
licensing requirements for the contractor.

3. A drainage problem has been created along the entire Miller
Court frontage between the back of the new sidewalk and the
new fence. Water from the operation of the irrigation system,
drains to the low area described. This area need to be
regraded as needed to properly convey flows from the Cambridge
Park site that are adversely impacting this area.
Please be aware that effective immediately, the City of Wheat
Ridge will not accept any temporary certificate, or certificate
of occupancy applications in Phase 2 of this development until
such time as Triton Development has completed the above items to
the satisfaction of the City.
