Contract Term. XIII. GENERAL PROVISIONS. Assignments. This Agreement constitutes a personal contract that may not be assigned by Customer without prior written consent of Contractor. A. Governing law. The Parties agree that this Agreement shall be governed by, interpreted and construed in accordance with the laws of the State of Colorado, and the Parties agree that any suit, action or proceeding with respect to this Agreement shall be brought in the state courts in Denver, Colorado. The Parties hereby accept the exclusive jurisdiction of the courts for the purpose of any such suit, action, or proceeding. Venue for such action, in addition to any other venue permitted by statute, shall be in Denver, Colorado. The Parties iffevocably waive the right to a jury in any trial on the merits. B. Severability. C. Binding Affect. This Agreement shall be bending upon and shall inure to the benefit of each Party hereto and each Party's respective successors, heirs, assigns, and legal representatives. O. Entire Agreement. This Agreement, along with the attached schedule A embodies the entire agreement and understanding between the Parties with respect to Its subject matter and supersedes all prior agreements and understanding, whether written or oral, relating to its subject matter. No amendments, modification, or termination of this Agreement shall be valid unless made in writing and signed by each of the Parties. E. Interpretation. In interpreting words in this Agreement, unless the context will otherwise provide or require, the singular will include the plural, the plural will provide the singular, and the use of any gender will include all genders. F. No Construction Against Drafter. The Parties have reviewed the Agreement in its entirety and acknowledgment that each has had a full opportunity to negotiate the terms of this Agreement. Therefore, the parties waive any and all applicable common law and statutory rules of construction that any provision of this Agreement should be construed against the drafter, and agree to affirm that this Agreement and all provisions thereof shall in all cases be constructed as a whole, according to the fair meaning of the language used. This Agreement may not be modified, changed or amended, nor may any rights, remedies or claims of Contractor be waived except by written document executed by authorized representatives of the Parties hereto. Contractors failure to strictly comply with any provision of this Agreement shall not constitute or be interpreted as a waiver of or intent to waive any right or obligation in this Agreement. No failure or delay by Contractor in exercising any right or remedy, in whole or in part, shall operate as a waiver of that or any other right or remedy. No acceptance of any partial payment by Contractor shall be deemed a waiver or considered as an intent to waive any rights under this Agreement. K. Attached Documents. Schedule A will be referred to as the Agreed Price, or will be considered the Agreed Scope of Work provided by the insurer or the Contractor. A Scope sheet may or may not be attached to this document as well. Scope sheet will provide amounts of materials and miscellaneous items necessary to complete the Work. XIV. Customer has the right to rescind this Agreement and obtain a full refund of any deposit within 72 hours after the Agreement is executed by Customer. If Customer plans to use the proceeds of property and casualty insurance policy to pay for the Work, Customer may rescind this Agreement in writing within 72 hours after Customer receives written notice from the carrier that the Customers claim has been denied in whole or in part by mailing or delivering such notice to Contractor at 300 E Miller Court, Suite 1571, Castle Rock, CO 80104 If Customer rescinds this agreement within the 72 hour period, Contractor shall, within ten (10) days of receiving notice of such rescission, refund any moneys paid by Customer. However, Contractor is entitled to retain payments or deposits to compensate Contractor for roofing work actually performed, Including costs incurred by Contractor for custom non-refundable materials ordered for the Work prior to Contractor receiving notice of Customer's rescission. If Customer does not rescind this Agreement before the 72 -hour period expires, then the terms of this Agreement shall remain binding upon Customer. Contractor cannot pay, waive, rebate, or promise to pay, waive or rebate all or part of any insurance deductible applicable to the Insurance claim for payment for roofing work on Customers property. Contractors have been pennitted to provide copies of contracror licenses from three other cities as a part of the submittal process to obtain a contractors license. Orion Development subinitted For, and received a contractors' license, based on their submission of three licenses from Allentown, Pennsylvania. One was For a business named Oasis Home Services, Inc., one was named Oasis Entertainment, LLC, and the thirdwas Hamilton Suites, LLC, with the name of Tina Hanuschak on the license. While a contractors' license was issued to Orion Development, the submitted licenses are not contractors' licenses, nor do they provide evidence of qualiFication. In Section 5-103 of the Municipal Code, the responsibilities of the licensed contractor are outlined. These responsibilities require observance of city ordinances and state and federal statutes, securing a permit for work, and obtaining required inspections. Failure to comply tvith these requirements is cause for suspension ar xeeocation of the license (Section 5-124). Additionally, in iny opinion, faffure to comply with these responsibilities demonstrates a lack of knowledge of the basic requirements of the construction and permitting process, or a lack of willingness to comply with these requimments, and therefore justifies the requirement of positive proof of the applicants' knowledge and ability. Municipal Code Section 5-120 allows for the Building Official Co require examination procedures. Unlicensed contractars have been discovered on several projects perForined by Orion Development on behalf of Wheat Ridge 2020. There have been numerous repeated 7/22/2008 Page 3 of 4 violations oF Municipal Code and buffding codes which call into question the ability and intent of Oxion Development and its' subcontractors to comply with Ciry of Wheat Ridge orclinances and building codes. Based on the application documents subinitted, the failure to comply with City of Wheat Ridge ordinances, and lack of knowledge of basic construction practices and codes, such as acquiring required permits and inspections and providing proper egmss From structures, I believe that the requirement of testing to demonstrate knowledge is appropriate and vvarranted. Work has been performed and concealed without inspection, has been performed by unlicensed contractors, and has been perfonned without petmit in at least three separate instances. Worlc has been perforined that is in violation of the most basic tenets of the buildinn code and standard building practices, and has potentially endangexed the saFety and well being of the occupants of the structure. While refusal to issue a license or suspension of a license based on these actions would not be inappropriate, and the requirement of testing to demonstrate coinpetence is acceptable altetnative allowable tmder the Municipal Code. ,John C. It has been brought to my attention that the City, as of today, is now requiring IRC (International Residential Building Code) Testing of all applicants who desire to obtain a contractor's license in Wheat Ridge. The following text is from the City's website regarding obtaining a license. The current requirements to obtain a contractor's license are a copy of work history, references, and insurance certificate. Please confirm when the new regulations for licensing are taking effect, how they will be enforced, and who will be responsible for administration of the licensing process? Mr. Blakesley, I have spoken with John Schumacher at the City of Wheat Ridge regarding the above referenced project and the need to provide interior weather proofing on windows at units that were not weatherproofed at the time work was directed to stop. Due to the need to help the citizens at the property maintain a safe living environment, Mr. Schumacher has advised me that he will permit Youorion Development, to complete the interior weatherproofing on the windows that were left incomplete. You may not delegate this work to your subcontractor, as they are unlicensed and not allowed to perform any work. You_mav not perform any other work. I have spoken with the HOA president and she understands that you will be contacting her and the residents that are affected by the incomplete window installations to schedule and perform the work this afternoon and over the weekend.
