A site inspection was completed by the Public Works Department on December 19, 2000 at 9:00 a.m. The
following items are to be addressed prior to issuance of a C.O.:
1. The gutter and street will have to be cleaned free of material.
2. There is an area located at the west driveway that will require infrared treatment. This area is located with
orange paint.
3. There is curb and gutter that has been damaged during construction. Thesesectionshauebeenidentifiedbythe
letter "ac" in orange paint. The amount ofwalk that is to be removed and replaced is 40 feet. An escrow amount
of$1750.OOcanbepaidtothePublicWorksDepartment. Anallowabletimetocompletetherepairworkwill
be determined.
4. The side slope on the west and south side ofthe building will require silt fence to be maintained until permanent
landscapinghas beenplaced. This will protect the drain pan transporting runoffto the main detentionponds. The
tract of land to the east ofthe parking lot (adj acent to Ted's Sheds) will require silt fence be erected to protect the
parking lot from material being eroded into the pazldng lot. This shall be placed and maintained by the property
owner. This erosion control is to be erected and maintained prior to issuance of a C.O.

This memo is in regard to a proposed roof-mounted antennae and equipment cabinet located at 13350
W. 43' Drive in the 44`h Avenue Industrial Park.
Although the proposed antennae and equipment cabinet comply with the Chapter 26 Zoning Code
development standards of the City of Wheat Ridge Code of Laws, the antennae would require
amendment of the planned industrial development (Section 26-615A.4), and a special use permit
(Section 26-114). Amendment of the PID would require signatures of all properiy owners in the PID.
A special use permit would involve a pre-application meeting, neighborhood meeting, and hearings
before the Wheat Ridge Planning Commission and City Council. Typically this process will take about
4-6 months.
The proposed antennae would increase the height oFthe building at 13350 W. 43`d Drive, is
inconsistent with the overall character of the 44`h Avenue Industrial Park, and therefore would not
receive support from staff.

All permits shall be applied for through the Public Works Department. An approved permit is effective for a
period of one (1) year from date of issue and may be renewed. All fees shall be in accordance with those fees
established by the Uniform Building Code or other applicable City adopted Resolutions or Ordinances.
Note: A// pub/ic improvements, when constructed, sha!/ be maintained (by the respective individua/(s) and/or
company responsib/e fai the construction of that pub/ic and/oi private improvement in the respective
deve%pment) on a dai/y basis, oi as needed, such that they are fiee of mud and other construction debiis

MINOR EXCAVATION AND FILL PERMITS
1. 1-50 Cubic Yards: No permit is required for dumping or excavation of earth aterials, which do
not exceed 50 cubic yards, provided, however, that any fill deposited is on natural terrain of less
than three (3) horizontal to one (1) vertical slope, or such fill is less than three (3) feet in depth and
is not intended to support permanent structures, and in addition, such fill or excavation does not
obstruct or otherwise adversely affect any drainageway. Should any of the above standards be
exceeded, or a drainage way be affected, a permit shall be required under the guidelines for No. 2.
2. 51-500 Cubic Yards: Dumping or excavation of earth materials not exceeding 500 cubic yards
may be allowed with a permit approved by the City Engineer. All applications are to be submitted
on the appropriate completed appiication form and shall be accompanied by the appropriate fee and
sketch plan indicating the following information before the permit will be issued.
A Location and dimensions of all property boundaries and structures on the site.
B Location and extent of areas to be filled and/or excavated.
C. Location of existing and proposed drainageways, irrigation ditches, etc., and indication of
how and where historic run-off will be maintained on and through the site.
D. Cross section area to be filled and/or excavated indicating original slope, new slope and
depth of fill.
E. Statement which indicates the proposed use or purpose for said fill or excavation.
F. Relative elevation of adjacent properties.
G. Erosion control plan showing placement of control devices such as hay bales, etc..

3. 501-20,000 Cubic Yards: Operations in which earth material fill or excavation exceeds 500 cubic
yards but does not exceed 20,000 cubic yards may be allowed by a permit issued by the City
Engineer after review of an application and supporting information. The following information shall
be submitted with the required application form:
A. A site plan, prepared and signed by a Colorado registered professional engineer, at a scale
of no less than 1 inch to twenty feet (1:20) which iliustrates the following:
1. Location an dimensions of all property boundaries and structures on the site.
2. Location and extent of areas to be filled and/or excavated.
3. Location of existing waterways and dreinage courses indicating any changes. (for
a site containing an established irrigation ditch, a letter of approval from the
appropriate ditch company shall be required).
4. Location of existing and proposed points of ingress.
5. Location and extent of existing vegetation, proposed changes in such vegetation
and methods of rehabilitation on site vegetation after earthwork operations are
complete.
6. Erosion control plan.
7. Grading plan with existing (dashed lines) and proposed (solid lines) ground contours
with contour intervals of 2 feet and spot elevations.
8. At least two cross sections (east to west and north to south) through the site
showing depth of fill and/or excavation.
9. A drainage report may be required if site runoff characteristics are changed.
70. Relative elevations of adjacent properties and structures.
11. Statement of purpose of intended fill and/or excavation.
4. Performance Standards: The following provisions shall apply to all Minor Excavation and Fill
Permits:
A. Rehabilitation: Within thirty(30) days after cessation of filling and/or excavation,
rehabilitation for the site shall have been completed in accordance with the approved
plans. Rehabilitation shall consist of leveling, grading, landscaping or any combination
thereof to minimize potential erosion and be acceptable to the City Engineer.
B. Debris: Debris and/or contaminants shall not be used except with the approval of the City
Engineer.
"For the purpose of this Section, the term debris shall have the same meaning as the
terms "garbage, trash or junk" as defined in the Wheat Ridge Code of Laws, Section 20-
21."
In no case shall debris or contaminates identified or classified as hazardous waste by local,
state or federal agencies be used as fill in any fill areas within the City of Wheat Ridge.

C. Excavation and/or fill areas shall be graded to facilitate weed control until final grades are
set and site rehabilitation and use occur (must be leveled with side slopes not to exceed
3 to 1).

requested under this permit within the 100 year flood zone MUST COMPLY WITH WHEAT RIDGE
CODE OF LAWS, SECTION 26-201, FLOOD PLAIN ZONING ORDINANCE.

In conjunction with the approval of the building permit application for the above referenced
address, this letter is to inform you that all existing public improvements located along the
frontage of said address shall be restored, (if damaged from related construction) to an
acceptable condition, as determined by City of Wheat Ridge Public Works Department, and
prior to the issuance of a Cerfificate of Occupancy.
Prior to any construction commencing, the City's representative will conduct an onsite

101, WHEAT RIDGE, CO 80033 ("Grantor"); Union Bank & Trust, whose address is Main, 100 Broadway,
Denver, CO 80203 (referred to below sometimes as "Lender" and sometimes as "Beneficiary"); and the
Public Trustee of JEFFERSON County, Colorado (referred to below as "Trustee").
CONVEYANCE AND GRANT. For valuable consideration, Grantor hereby irrevocably grants, transfers and assigns to Trustee tor the
benefit of Lender as 8eneticiary all of Grantor's right, title, and interest in and to the following described real property, together with all
existing or subsequently erected or affixed buildings, improvements and fixtures; all easements, rights of way, and appurtenances; all water,

The Real Property or its address is commonly known as 13350 WEST 43RD DRIVE, WHEAT RIDGE, CO
80403.
Grantor presently assigns to Lender (also known as Beneficiary in this Deed of Trust) all of Grantor's right, [itle, and interest in and to all
present and tuture leases of the Property and all Rents from the Property. In addition, Grantor granls to Lender a Uniform Commercial Code
security interest in the Personal Property and Rents. I
THIS DEED OF TRUST, INCLUDING THE ASSIGNMENT OF RENTS AND THE SECURITY INTEREST IN THE RENTS AND PERSONAL
PROPERTY,IS GIVEN TO SECURE (A) PAYMENT OF THE INDEBTEDNESS AND (B) PERFORMANCE OF ANY AND ALL
OBLIGATIONS UNDER THE NOTE, THE RELATED DOCUMENTS, AND THIS DEED OF TRUST. THIS DEED OF TRUST IS GIVEN AND
ACCEPTED ON THE FOLLOWING TERMS: .
GRANTOR'S REPRESENTA710NS AND WARRANTIES. Grantor warrants that: (a) this Deed of Trust is executed at Borrower's request
and not at the request of Lender; (b) Grantor has the full power, right, and authority to enter into this Deed of Trust and to hypothecate the
Property; (c) the provisions of this Deed of Trust do not conflict wiih, or result in a default under any agreement or other instrument binding
upon Grantor and do not result in a violation of any law, regulation, court decree or order applicable to Grantor; (d) Grantor has established
adequate means of obtaining irom Borrower on a continuing basis information about Borrower's financial condition; and (e) Lender has
made no representation to Grantor about Borrower (including without limitation the creditworthiness of Borrower). .
GRANTOR'S WAIVERS. Grantor waives all rights or defenses arising by reason of any "one action" or "anti-deficiency" law, or any other law
which may prevent Lender from bringing any action against Grantor, including a claim for deficiency to the extent Lender is olherwise entitled to a claim for deficiency, before or after Lender's commencement or completion of any foreclosure action, either judicially or by exercise of a
power of sale.
PAYMENT AND PERFORMANCE. Except as otherwise provided in this Deed of Trust, Borrower shall pay to Lender all Indebtedness
secured by this Deed of Trust as it becomes due, and Borrower and Grantor shall strictly perform all their respective obligations under the
Note, this Deed of Trust, and the Related Documents. POSSESSION AND MAINTENANCE OF THE PROPER7Y. Borrower and Grantor agree fha[ Borrower's and Grantor's possession and use
of the Property shall be governed by lhe following provisions:
Possession and Use. Until the occurrence ot an Event of Default, Grantor may (1) remain in possession and control of the Property;
(2) use, operate or manage the Property; and (3) collect the Rents from the Property.
Duty to Maintain. Grantor shall maintain the Property in tenantable condition and promptly perform all repairs, replacements, and
maintenance necessary to preserve i4s value.
Compliance With Environmental Laws. Grantor represents and warrants to Lender that: (1) During the period of Grantor's
ownership of the Properry, there has been no use, generation, manufacture, storage, treatment, disposal, release or threatened release
of any Hazardous Substance by any person on, under, about or from the Property; (2) Grantor has no knowledge of, or reason to
believe that there has 6een, except as previously disclosed to and acknowledged by Lender in writing, (a) any breach or violation of
any Environmental Laws, (b) any use, generation, manufacture, storage, lreatment, disposal, release or threatened release of any
Hazardous Substance on, under, about or from the Property by any prior owners or occupants of the Properry, or (c) any actual or
threatened litigation or claims of any kind by any person relating to such matters; and (3) Excapt as previously disclosed to and
acknowledged by Lender in writing, (a) neither Grantor nor any tenant, contractor, agent or other authorized user of the Property shall
use, generate, manufacture, store, treat, dispose of or release any Hazardous Substance on, under, about or from tha Property; and (b)
any such activiry shall be conducted in compliance with all applicable tederal, state, and local laws, regulations and ordinances,
including without limitation all Environmental Laws. Grantor authorizes Lender and its agents to enter upon the Property to make such
inspections and tests, at Grantor's expense, as Lender may deem appropriate to determine compliance of the Property with this section
satisfactory proof of such expenditure, pay or reimburse Grantor from the proceeds for the reasonable cost ot repair or restoration if
Grantor is not in default under this Deed of Trust. Any proceeds which have not been disbursed within 180 days aRer iheir receipt and
which Lender has not committed to the repair or restoration of the Property shall be used first to pay any amount owing to Lender under
this Deed of Trust, then to pay accrued interest, and the remainder, if any, shall be applied to the principal balance of the Indebtedness.
If Lender holds any proceeds after payment in full of the Indebtedness, such proceeds shall be paid to Grantor as Grantor's interests
may appear. , .
Unexpired Insurance at Sale. Any unexpired insurance shall inure to the benefit of, and pass to, the purchaser of the Property
covered by this Deed of Trust at any trustee's sale or other sale held underthe provisions of this Deed of Trust, or at any foreclosure
sale of such Properry.
Grentor's Report on Insurence. Upon request of Lender, however not more than once a year, Grantor shall furnish to Lender a report
on each existing policy of insurance showing: (1) the name of the insurer; (2) the risks insured; (3) the amount of the policy; (4) the
property insured, the then current replacement value of such property, and the manner of determining that value; and (5) the
expiration date of the policy. Grantor shall, upon request of Lender, have an independent appraiser satisfactory to Lender determine
the cash value replacement cost of the Property.
LENDER'S EXPENDITURES. If any action or proceeding is commenced that would materially aftect Lender's interest in the Properry or if
Grantor fails to comply with any provision of this Deed of Trust or any Related DocumenGS, including but not limited to Grantor's failure to
discharge or pay when due any amounts Grantor is required to discharge or pay under this Deed of Trust or any Related Documenls, Lender
on Grantor's behalf may (but shall not be obligated to) take any action that Lender deems appropriate, including but not limited to
discharging or paying all taxes, liens, security interesis, encumbrances and other claims, at any time leviad or placed on the Property and
paying all costs for insuring, maintaining and presarving the Property All such expenditures incurred or paid by Lender for such purposes
will then bear interest at the rate charged under the Note from the date incurred or paid by Lender to the date of repayment by Grantor. All
such expenses will become a part of the Indebtedness and, at Lender's option, will (A) 6e payable on demand; (B) 6e added to the
balance of the Note and be apportioned among and be payable with any installment payments to become due during either (7) the term of
any applicable insurance policy; or (2) the remaining tercn of the Note; or (C) be treated as a balloon payment which will be due and payable at the Note's maturity. The Properry also will secure payment of these amounts. Such right shall be in addition to all olher rights
and remedies to which Lender may be entitled upon Default.
WARRANTY; DEFENSE OF TITLE. The following provisions relating to ownership of the Property are a part of this Deed ot Trust:
Title. Grantor warrants that: (a) Granior holds good and marketable title of record to the Property in fee simple, free and clear of all
liens and encumbrances other than ihose set forth in the Real Properry description or in any title insurance policy, title report, or final title
opinion issued in favor of, and accepted by, Lender in connection with this Deed of Trust, and (b) Grantor has the full right, power, and
authority to execute and deliver this Deed of Trust to Lender.
Defense of 7ifle. Subject to the exception in the paragraph above, Grantor warrants and will forever defend the title lo the Properry
against the lawful claims of all persons. In the event any action or proceeding is commenced that questions Grantor's title or the interest
of Trustee or Lender under this Deed of Trust, Grantor shall defend the action at Granior's expense. Grantor may be the nominal party
in such proceeding, but Lender shall be entitled to participale in the proceeding and to be represented in the proceeding by counsel of
Lender's own choice, and Grantor will deliver, or cause to be delivered, to Lender such instruments as Lender may request from time to
time to permit such participation. .
Compliance With Laws. Grantor warranis that the Properly and Granior's use of the Property complies with all existing applicable
laws, ordinances, and regulations of governmental authorities.
Survival of Representations and Warranties. All representations, warranties, and agreements made by Grantor in this Deed of Trust
shall survive the execution and delivery of this Deed of Trust, shall be continuing in nature, and shall remain in full force and effect until
such time as Borrower's Indebtedness shall be paid in full.
CONDEMNATION. The following provisions relating to condemnation proceedings are a part of this Deed of Trust:
Proceedings. If any proceeding in condemnation is filed, Grantor shall promptly notify Lender in writing, and Grantor shall promptly
take such steps as may be necessary to defend the action and obtain the award. Grantor may be the nominal parry in such
proceeding, but Lender shall be entitled to participate in the proceeding and to be rapresented in the proceeding by counsel of its own
choice, and Grantor will deliver or cause to be delivered to Lender such instruments and documentation as may be requested by
Lender from time to time to permit such participation.
Application of Net Proceeds. If all or any part of the Property is condemned by eminent domain proceedings or by any proceeding or
purchase in lieu of condemnation, Lender may at its election require that all or any portion of the net proceeds of the award be applied
to the Indebtedness or the repair or restoration of the Property. The net proceeds of the award shall mean the award aker payment of
all reasonable costs, expenses, and attorneys' fees incurred by Trustee or Lender in connection with the condemnation.
IMPOSITION OF TAXES, FEES AND CHARGES BY GOVERNMENTAL AUTHORITIES. The following provisions relating to govemmenlal
taxes, fees and charges are a part of this Dsed of Trust:
Current Taxes, Fees and Charges. Upon request by Lender, Grantor shall execute such documents in addition to this Deed of Trust
and take whatever other action is requested by Lender to perfect and continue Lender's lien on the Real Properry. Grantor shall
reimburse Lender for all taxes, as described below, together with all expenses incurred in recording, perfecting or continuing this Deed
of Trust, including without limitation all taxes, fees, documentary stamps, and other charges for recording or registering this Deed of
Trust.
Taxes. The following shall constitute taxes to which this section applies: (1) a specific tax upon this type of Deed of Trust or upon all
or any part of the Indebtedness secured by this Deed of Trust; (2) a specific tax on Borrower which Borrower is authorized or required
to deduct from paymenls on the Indebtedness secured by this type of Deed of Trust; (3) a tax on this type of Deed of Trust chargeable
against the Lender or the holder of the Note; and (4) a specific tax on all or any portion of the Indebtedness or on payments of
principal and interest made by Borrower.
Subsequent Taxes. If any tax to which this seclion applies is enacted subsequent to the date of this Deed of Trust, lhis event shall
have the same effect as an Event of Default, and Lender may exercise any or all ot its available remedies for an Event ot Default as
provided below unless Grantor either (1) pays the tax before it becomes delinquent, or (2) contests the tax as provided above in the
Taxes and Liens section and deposits with Lender cash or a sufficient corporata surery bond or ofher securiry satisfactory to Lender.
SECURITY AGREEMENT; FINANCING STATEMENTS. The following provisions relating to this Deed of Trust as a security agreement are
a part of this Deed of Trust: Security Agreement. This instrument shall constitute a Security Agreement to the extent any of the Property constitutes fixtures or
other personal. property, and Lender shall have all of the rights of a secured party under the Uniform Commercial Code as amended
from time to time.
Security Interest. Upon request by Lender, Grantor shall execute financing statements and take whatever other action is requested by
Lender to pertect and continue Lender's securiry interest in the Rents and Personal Property. In addition to recording ihis Deed of Trust
in the real properry records, Lender may, at any time and without (urther authorization from Granior, file executed counterparts, copies
or reproductions of this Deed of Trust as a financing statement. Grantor shall reimburse Lender (or all expenses incurred in perfecting
or continuing lhis security interesi. Upon default, Grantor shall assemble the Personal Property in a manner and at a place reasona6ly
convenient to Grantor and Lender and make it available lo Lender within ihree (3) days after receipt of written demand from Lender.

whether or not any proper grounds for ihe demand existed. Lender may exercise its rights under this subparagraph either in person, by
agent, or through a receiver.
Appoint Receiver. Lender shall have the right to have a receiver appointed to take possession of all or any part of the Property, with
the power to protect and preserve the Property, to operate the Property preceding foreclosure or sale, and to collect the Rents from tha
Property and apply the proceeds, over and above the cost of the receivership, against the Indebtedness. The receiver may serve
without bond if permitted by law. Lender's right to the appointment of a receiver shall exist whether or no4the apparent value of the
Property exceeds the Indebtedness by a substantial amount. Employment by Lender shall not disqualify a person from serving as a
receiver. Receiver may be appointed by a court of competent jurisdiction upon ex parte application and without notice, notice being
expressly waived.
Tenancy at Sufferance. If Grantor remains in possession of the Property after the Property is sold as provided above or Lender
otherwise becomes entitled to possession of the Property upon default of Grantor, Grantor shall become a tenant at sufferance of
Lender or the purchaser ot the Properry and shall, at Lender's option, either (1) pay a reasonable rental for the use of the Property, or
(2) vacate the Property immediately upon the demand of Lender.
Other Remedies. Trustee or Lender shall have any other right or remedy provided in this Deed of Trust or the Note or by law.
Sale of the Property. In exercising its rights and remedies, Lender shall be free to designate on or betore it files a notice of election
and demand with the Trustee, that the Trustee sell all or any part of the Property together or separately, in one sale or by separate sales.
Lender shall be entitled to bid at any public sale on all or any portion of the Property. Upon any sala of the Properry, whether made
under a power of sale granted in this Deed of Trust or pursuant to judicial proceedings, if the holdar of the Note is a purchaser at such
sale, it shall be entitled to use and apply all, or any portion of, the Indebtedness for or in settlement or payment of all, or any portion of,
the purchase price of the Properry purchased, and, in such case, this Deed of Trust, the Note, and any documents evidencing
expenditures secured by this Deed of Trust shall be presented to the person conducting the sale in order that tha amount of
Indebtedness so used or applied may be credited thereon as having been paid.
Attorneys' Fees; Expenses. If Lender forecloses or institutes any suit or action to entorce any of the terms of this Deed of Trust,
Lender shall be entitled to recover such sum as the court may adjudge reasonable as attorneys' fees at trial and upon any appeal.
Whether or not any court action is involved, and to the extent not prohibited by law, all reasonable expenses Lender incurs that in
Lender's opinion are necessary at any time for the protection of its interest or the enforcement of its rights shall become a part of the
Indebtedness payable on demand and shall bear interest at the Note rate from the date of the expenditure until repaid. Expenses
covered by this paragraph include, without limitation, however subject to any limits under applicable law, Lender's attorneys' fees
whether or not there is a lawsuit, including attorneys' fees and expenses tor bankruptcy proceedings (including efforts to modify or
vacale any automatic stay or injunction), appeals, and any anticipated post-judgment collection services, the cost of searching records,
obtaining title reports (including foreclosure reports), surveyors' reports, and appraisal fees, title insurance, and tees for the Trustee, to
the extent permitted by applicable law. Grantor also will pay any court costs, in addition to all other sums provided by law. A waiver by
any parry of a breach of a provision of this Deed of Trust shall not constitute a waiver of or prejudice the party's rights otherwise to
demand strict compliance with that provision or any other provision. Rights of Trustee. Trustee shall have all of the rights and duties of Lender as set forth in this section.
NOTICES. Any nolice required to be given under this Deed of Trust, including without limitation any notice of default and any nolice of sale
shall be given in writing, and shall be effective when actually delivered, when actually received by telefacsimile (unless othenvise required by
law), when deposited with a nationally recognized overnight courier, or, if mailed, when deposited in the United States meil, as first class,
certified or registered mail poslage prepaid, direcfed to the addresses shown near ihe beginning of this Deed of Trust. All copies of notices
of foreclosure trom the holder of any lien which has priority over this Deed of Trust shall be sent to Lender's address, as shown near the
beginning of this Deed of Trust. Any parry may change its address for notices under this Deed of Trust by giving tormal written notice to the
other parties, specifying that the purpose of the notice is to change the party's address. For notice purposes, Grantor agrees to keep Lender
informed at all times of Grantor's current address. Unless otherwise provided or required by law, if there is more than one Grantor, any
notice given by Lender to any Grantor is deemed to be notice given to all Grantors. MISCELLANEOUS PROVISIONS. The following miscellaneous provisions are a part of this Deed of Trust: ,
Amendments. This Deed of Trust, togelher with any Related Documents, constitutes the entire understanding and agreement of the
parties as to the matters set torth in this Deed of Trust. No alteration of or amendment to this Deed of Trdgi shall be effective unless
given in writing and signed by the party or parties sought to be charged or bound by the alteration or emendment.
Annual Reports. If fhe Property is used for purposes other than Grantor's residence, Grantor shall fumish to Lender, upon request, a
certified statement of net operating income received from the Property during Grantor's previous fiscal year in such form and detail as
Lender shall require. "Net operating income" shall mean all cash receipls from the Property less all cash expendRures made in
connection with the operation of the Property.
Arbitratlon. Borrower and Grantor and Lender agree that all disputes, claims and controversies between them whether individual, joint,
or class in nature, arising from this Deed of Trust or othenvise, including without limitation contract and tort disputes, shall be arbitrated
pursuant to the Rules of the American Arbitration Association in effect at the time the claim is filed, upon request of either party. No act
to take or dispose of any Properry shall constitute a waiver of this arbitration agreement or be prohibited by this arbitration agreement.
This includes, without limitation, obtaining injunctive relief or a temporary restraining order; invoking a power of sale under any deed of
trust or mortgage; obtaining a writ of anachment or imposition of a receiver; or exercising any rights relating to personal property,
including taking or disposing of such property with or without judicial process pursuani to Article 9 of the Uniform Commercial Code.
Any disputes, claims, or controversies concerning the lawfulness or reasonableness of any act, or exercise of any right, concerning any
Property, including any claim to rescind, reform, or otherwise modify any agreement relating to the Property, shall also be arbitrated,
provided however that no arbitrator shall have the right or the power to enjoin or restrain any act of any party. Judgment upon any
award rendered by any arbitrator may be entered in any court having jurisdiction. Nothing in this Deed of Trust shall preclude any party
from seeking equitable relief from a court of competent jurisdiction. The statute of limitations, estoppel, waiver, laches, and similar
docirines which would otherwise be applicable in an action brought by a party shall be applicable in any arbitralion proceeding, and the
commencement of an arbitration proceeding shall be deemed the commencement of an action for these purposes. The Federal .
Arbitration Act shall apply to the construction, interpretation, and enforcement of this arbitration provision.
Caption Headings. Caption headings in this Dsed of Trust are for convenience purposes only and are not to be used to interpret or
define the provisions of this Deed of Trust.
Merger. There shall be no merger of the interest or estate created by this Deed of Trust with any other interest or estate in the Property
at any time held by or for the benefit of Lender in any capacity, without the written consent ot Lender.
Governing Law. This Deed of Trust will be governed by, construed and enforced in accordance with federel law and the laws ot
the State of Colorado. This Deed of Trust has been accepted by Lender in the State of Colorado. Jolnt and Severel Liability. All obligations of Borrower and Grantor under this Deed of Trust shall be joint and several, and all
references to Grantor shall mean each and every Grantor, and all reterences to Borrower shall mean each and every Borrower. This
means that each Borrower and Grantor signing below is responsible for all obligations in this Deed of Trust. Where any one or more of
the parties is a corporation, partnership, limited liability company or similar entity, it is not necessary for Lender to inquire into the
powers of any of the officers, directors, partners, menbers, or other agents acting or purporting to act on the entiry's behalf, and any
obligations made or created in reliance upon the professed exercise of such powers shall be guaranteed under this Deed of Trust.
No Waiver by Lender. Lender shall not be deemed to have waived any rights under this Deed of Trust unless such waiver is given in
writing and signed by Lender. No delay or omission on the part of Lender in exercising any right shall operate as a waiver of such right

Drive (Lot 14 @ the 44`h Indushial Park) under the following stipulations:
1. A Letter of Credit be submitted to the City of Wheat Ridge for the amount $1750.00 for damage to
the pubiic improvements at this address. The replacement of the damaged azeas have been identified
by the Public Works Department and shall be replaced no later Chan April 30, 2001. Please call the
Public Works Department for the proper inspections for these areas prior to consh-uction.
3. There shall be silt fence located on the east portion of the property (adjacent to Ted's Sheds)
extending around the site to the west. This shall be placed to protect the side slopes from eroding into
both the parking lot of the new structure and also the drainage pan located on the south, and west side.
This silt fence is to remain and be maintained until permanent landscaping is placed in these areas.
