In the event Homeowner fails to pay to Gen 3 the amounts due hereunder, Homeowner shall be responsible for and shall pay to Gen 3 a sum equal to all reasonable attorneys' fees and costs of collection incurred by Gen 3 in enforcing this Agreement. 17. Applicable Law. This Agreement shall be deemed to be a contract made under the laws of the State of Colorado and for all purposes will be governed by and interpreted in accordance with the laws prevailing in the State of Colorado, without regarding to principles of conflict of laws. 18. Arbitration. In the event there are any claims or disputes between Gen 3 and Homeowner or claims relating to, or arising out of, this Agreement, the parties shall work together in good faith for thirty (30) days to resolve such claims or disputes. If after such thirty (30) day period any claims or disputes (or any portion thereof) remain outstanding, Gen 3 and/or Homeowner may elect to resolve such outstanding claims or disputes through final and binding arbitration. Such arbitration shall be with JAMS, the Resolution Experts, of Denver, Colorado, in accordance with the rules of JAMS. Said arbitration will be by a single arbitrator and shall take place in Denver, Colorado. The decision of such arbitrator shall be binding on all parties. If any provision of this Agreement is held or determined to be illegal, invalid or unenforceable under any present or future legal requirement, and if there shall be no material adverse effect with respect to the rights or obligations of any party under this Agreement in connection therewith: (a) such provision will be fully severable; (b) this Agreement will be construed and enforced as if such illegal, invalid or unenforceable provision had never comprised a part of this Agreement; (c) the remaining provisions of this Agreement will remain in full force and effect and will not be affected by the illegal, invalid or unenforceable provision or by its severance from this Agreement; and (d) in lieu of such illegal, invalid or unenforceable provision, there will be added automatically as a part of this Agreement a legal, valid and enforceable provision as similar in terms to such illegal, invalid or unenforceable provision as may be possible. 20. Waiver.
