TRANSPORTATION DISTRICT, a political subdivision of the State of Colorado, herzinafter
referred to as "Licensee".

valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the
parties agree as 7oliows:
SECTION 1
7HE LICENSE
Subject ro a!1 the xerms and ogndi#ians hereof, Licensor hereby grants to Licensee a ficense
to occupy and use the parcel of land described in xhe diagram attached hereto marked
Exhibit A, annexed hereto and incarporated herein, hereinafter referred to as the
"Premises", and more particularly described as:

Bus Passenger Shelter, associated passenger amenities, and fior incidental purposes refated
thereto during the period beginning on the date ot this Agreement and continuing untii this
Agreement is terminated as hereinafter provided.

TERMINATION
Either party may terminate this Agreement at any time by giving notice to the other
party specifying the date oi termination, such notice to be given not less than sixty (60)
days prior to the date specified therein.
SECTION a
kUlA1NTENAlVCE
Licensee shali, at its own expense, clean and keep and maintain in good repair all
improvements placed by Licensee on the Premises puesuant hereto, and shall provide
regular trash removal and litter control concerning the impravements and the Premises. At
the termination of this Agreement, Licensee shail remove the improvements from the
Premises and shall restore the Premises to its original condition both at ics own expensa
unless otherwise agreed in writing by the parties.

proceeds thereaf.
SECTION 7

1. Agreement Binding. This Agreement shall inure to the benafit of and be binding
upon the heirs, suncessors, and assigns of the oarties hereto. It is specifically agreed and
understood that the interests conveyed herein shall be fully assignable and any such
assignmeM shall not be interpreted as a termination of this agreemenf.

and local laws, rules, regulati4ns, and guidelines shalt govern this ,Agreemen2.
3. Amendment. This Agreement may not he amended except in writing by mutual

an instrument in writing signed by the party charged with such waiver.
4. Rewrdation. This Agreement shall not be recorded.
5. Headinqs, The headings of the ssctions of this Agreement are inserted for

AGREEMENT
AGREEMENT made this ZZnd day of JulY , 2003, by and between
Exempla Lutheran Medical Center, hereinafter referred to as "Licensor" and the REGIONAL
TRANSPORTATION DISTRICT, a political subdivision of the State of Colorado, hereinafter
referred to as "Licensee".
in consideration of the mutual promises contained herein, and for other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the
parties agree as follows:
SECTION 7
THE LICENSE
Subject to ail the terms and conditions hereof, Licensor hereby grants to Licensee a license
to occupy and use the parcel of land described in the diagram attached hereto marked
Exhibit A, annexed hereto and incorporated herein, hereinafter referred to as the
"Premises", and more particularly described as:

By entering into this Agreement, Licensor hereby represents to Lice.nsee that Licensor is the '
owner of the Premises, and has fuil legai right and ability to license the same as set forth
herein.
SECTION 2
TERM OF AGREEMENT
The above described Premises may be occupied and used by Licensee for an RTD
Bus Passenger Shelter, associated passenger amenities, and for incidental purposes reiated
thereto during the period beginning on the date of this Agreement and continuing until this
Agreement is terminated as hereinafter provided.

SECTION 3
TERMINATION
Either party may termirtate this Agreement at any time by giving notice to the other
party specifying the date of termination, such notice to be given not less than sixty (60)
days prior to the date specified therein.
SECTION 4
MAINTENANCE
Licensee shall, at its own expense, clean and keep and maintain in good repair all
improvements placed by Licensee on the Premises pursuant hereto, and shall provide
regular trash removal and litter control concerning the improvements and the Premises. At
the termination of this Agreement, Licensee shall remove the improvements from the
Premises and shall restore the Premises to its original condition both at its own expense
unless otherwise agreed in writing by the parties.
SECTION 5
NOTICE
Any notices given pursuant hereto by either party to the other party shall be in
writing and mailed by certified mail, return receipt requested, postage prepaid, addressed
as follows:

SECTION 6
PROHIBITED INTERESTS
No officer, member, or employee of the Licensee and no member of its governing
body, and no other public official or employee of the governing body of the locality or
localities included within the Regional Transportation District during his or her tenure or for
one year thereafter, shall have any intere,st, direct or indirect, in this Agreement or the
proceeds thereof.
SECTION 7
MISCELLANEOUS
1. Agreement Binding. This Agreement shall inure to the benefit of and be binding
upon the heirs, successors, and assigns of the parties hereto. it is specifically agreed and
understood that the interests conveyed herein shall be fully assignable and any such
assignment shall not be interpreted as a termination of this agreement.
2. Laws to Appiy. The laws of the State of Coloredo and applicable Federal, State
and local laws, rules, regulations, and guidelines shali govern this Agreement.
3. Amendment. This Agreement may not be amended except in writing by mutual
agreement of the parties, nor may rights specifically set forth herein be waived except by
an instrument in writing signed by the party charged with such waiver.
4. Recordation. This Agreement shall not be recorded.
5. Headings. The headings of the sections of this Agreement are inserted for
reference purposes and are not restrictive as to content.
