APPLEWOOD VILLAGE ACCESS -TRAFFIC SIGNAL DESIGN
CONSUL TANT AGREEMENT
THIS AGREEMENT made this 29th day of December, 2016, by and between the City of Wheat Ridge,
Colorado, hereinafter referred to as the "City" or "Owner" and Kimley-Horn and Associates. Inc ..
4582 South Ulster Street. Suite 1500. Denver. CO 80237, hereinafter referred to as Kimley-Horn or the
"Consultant."
WITNESSETH, that the City of Wheat Ridge and the Consultant agree as follows:
ARTICLE 1 -SERVICES
The Consultant shall serve as the City's contractor and provide as a minimum all of the professional services
described in the attached proposal dated December 7, 2016. The work shall include the design of a
proposed traffic signal at Xenon Street & 32"d Avenue in Wheat Ridge, CO, accessible curb ramp design,
signage and striping, and illumination improvements at the project intersection.
Deliverables shall include the following items:

ARTICLE 2 -TERM
The work to be performed under this agreement shall commence promptly after receipt of a fully-executed
copy of the agreement, to the extent that the Consultant has been authorized to proceed by the City.
Completion shall be by early Spring of 2017, based on an early January 2017 authorization.
The City may, upon mutual written agreement by the parties, extend the time of completion of services to be
performed by the Consultant, if needed.

ARTICLE 3 -PAYMENT AND FEE SCHEDULE
It is understood and agreed by and between the parties hereto, that the City shall pay the Consultant for
services provided, and the Consultant shall accept a lump sum fee of Thirty-one Thousand Eight Hundred
Sixtv-five Dollars, CS 31.865.00) as full payment for such services, per task and reimbursable expenses as
follows and the attached estimated schedule of hours.

The City hereby agrees to pay the Consultant the amounts required for additional work as deemed
necessary, at the unit prices set forth in the Consultant's proposal, and agrees to reimburse direct expenses
at 1.15 times cost, if authorized in advance by the City representative, in accordance to the provisions and
subject to the conditions as set forth in this agreement and the documents referred to above.
There is no charge for computer, telephone, postage, copies, or other ordinary costs and expenses.
A. Invoices by Task
Invoices will be submitted monthly by the Consultant for services performed and expenses incurred,
pursuant to this agreement during the prior month. The payment will be expedited by the user
department and processed as a VISA transaction within two business days of City approval. The City
may elect the alternative method of payment by the Treasurer's Office through proper accounting
procedures. Payment is then made to the Contractor within thirty (30) days of receipt. A check is mailed
to the Consultant.
B. Funding
There is in effect within the City of Wheat Ridge, Colorado, a provision of the City's Code of Laws which
limits the amount for which the City shall be liable to the amount expressly appropriated by the City
Council, either through budgeted appropriation, or contract or bid award. The consultant is specifically
advised of the provisions of this portion of the Code of Laws of the City of Wheat Ridge, which was
enacted pursuant to Ordinance 787, Series of 1989, and expressly incorporated herein. This contract is
specifically subject to the provisions of said Ordinance and adopted Code Section.
ARTICLE 4-INDEPENDENT CONTRACTOR
In performing the work under this agreement, the Consultant acts as an independent contractor and is solely
responsible for necessary and adequate worker's compensation insurance, personal injury and property
damage insurance, as well errors and omissions insurance. The Consultant, as an independent contractor, is
obligated to pay Federal and State income tax on monies earned. The personnel employed by the Consultant
are not and shall not become employees, agents, or servants of the City because of the performance of any
work by this agreement. The Consultant warrants that it has not employed or retained any company or
person, other than a bona fide employee working solely for it, to solicit or secure this agreement, and that it
has not paid or agreed to pay any company or person-other than bona fide employees working solely for the
Consultant-any commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or
resulting from the award or making of this agreement. For breach or violation of this warranty the City will
have the right to annul this agreement without liability or in its discretion to deduct from the agreement price or

consideration, or otherwise recover the full amount of such fee, commission, percentage, brokerage fee, gift,
or contingent fee.
ARTICLE 5 -INSURANCE
In accordance with Article 4 above, the Consultant shall furnish a certificate of insurance upon notification of
award, and prior to performance. Work shall not commence under this agreement until the Consultant has
submitted to the City and received approval thereof, a certificate of insurance showing compliance.with the
following minimum types and coverages of insurance:

The City of Wheat Ridge shall be named as additional insured on employer and general liability
policies. Insurance shall include provisions preventing cancellation without 30 days prior notice
by certified mail to the City.
Nothing herein shall be deemed or construed as a waiver of any of the protections to, which the agencies may
be entitled pursuant to the Colorado Governmental Immunity Act, Sections 24-10-101, CRS, as amended.
ARTICLE 6-INDEMNIFICATION
The Consultant agrees to indemnify and to hold the City and its agents harmless for, from, and against any
and all claims, expenses, damages, or other liabilities-including reasonable attorney fees and court costs
arising out of damage or injury to persons, entities, or property caused or sustained by any person or persons
to the extent caused by the negligent performance or non-performance of the Consultant pursuant to the
terms of this agreement.
ARTICLE 7 -CHANGE ORDERS OR EXTENSIONS
The City may, from time to time, require changes in the scope of services of the Consultant to be performed
herein. Such changes, including any increase or decrease in the amount of the Consultant's compensation,
must be mutually agreed upon in writing by the City and the Consultant. The Consultant shall be

compensated for all authorized changes in services, pursuant to the submitted proposal, or if no provision
exists, pursuant to the terms of the Change Order.
ARTICLE 8 -EQUAL EMPLOYMENT OPPORTUNITY
The Consultant shall not discriminate against any employee or applicant for employment because of age,
race, color, religion, sex, or national origin. The Consultant shall adhere to acceptable affirmative action
guidelines in selecting employees and shall ensure that employees are treated equally during employment,
without regard to age, race, color, religion, sex, or national origin. Such action shall include-but not be
limited to the following: employment, upgrading, demotion or transfer, recruitment or recruitment advertising,
layoff or termination, rates of pay or other forms of compensation, and selection for training-including
apprenticeship. The Consultant agrees to post in conspicuous places, available to employees and applicants
for employment, notices provided by the local public agency setting forth the provisions of this
nondiscrimination clause.
The Consultant will cause the foregoing provisions to be Inserted in all subcontracts for any work covered by
this agreement so that such provisions will be binding upon each subcontractor-provided that the foregoing
provisions shall not apply to contracts or subcontracts for standard commercial supplies or raw materials.
ARTICLE 9 -CHARTER. LAWS, AND ORDINANCES
The Consultant at all times during the performance of this agreement, agrees to strictly adhere to all
applicable Federal, State, and local laws, rules, regulations, and ordinances that affect or govern the work as
contemplated under this agreement.
ARTICLE 10-LAW AND VENUE
The laws of the State of Colorado shall govern as to the interpretation, validity, and effect of this agreement.
The parties agree that venue and jurisdiction for disputes regarding performance of this contract is with the
District Court of Jefferson County, Colorado.
ARTICLE 11 -TERMINATION
The Consultant acknowledges that his failure to accomplish the work as described shall be considered a
material breach of the contract and entitle the City to consequential damages resulting from failures, acts, or
omissions-including, but not limited to re-procurement costs, insufficient or improper work.
The City and the Consultant agree that this agreement may be canceled for cause by either party, with a
fifteen (15) day prior written notice. The cost of completing the portion of the work which remains unperformed
at the time of such termination shall be deducted from the contract price before payment is made.
The City may terminate the agreement for its convenience, upon thirty (30) days written notice. Jn the event of
such termination the Consultant will be paid for all work and expenses incurred up until the time of such
termination.
All work accomplished by the Consultant prior to the date of such termination shall be recorded, and tangible
work documents shall be transferred to and become the sole property of the City, prior to payment for
services rendered.

ARTICLE 13-ASSIGNMENT AND SUBCONTRACTORS
The duties and obligations of the Consultant arising hereunder cannot be assigned, delegated, nor
subcontracted except with the express written consent of the City. The subcontractors permitted by the City
shall be subject to the requirements of this agreement, and the consultant is responsible for all subcontracting
arrangements, as well as the delivery of services as set forth in this agreement. The consultant shall be
responsible for the performance of any subcontractor.
ARTICLE 14-SEVERABILITY
To the extent that the agreement may be executed and performance of the obligations of the parties may be
accomplished within the intent of the agreement, the terms of this agreement are severable. Should any term
or provision hereof be declared invalid or become inoperative for any reason, such invalidity or failure shall
not affect the validity of any other term or provision hereof. The waiver of any breach of a term hereof shall
not be construed as a waiver of any other term, or the same term upon subsequent breach.
ARTICLE 15-INTEGRATION OF UNDERSTANDINGS
This agreement is intended as the complete integration of all understanding between the parties. No prior or
contemporaneous addition, deletion, or other amendment hereto shall have any force and effect whatsoever,
unless embodied herein in writing. No subsequent novation, renewal, addition, deletion, or other amendment
hereto shall have any force or effect unless embodied in writing and signed by an authorized representative of
the City and the consultant.
ARTICLE 16-PROHIBITION ON EMPLOYING OR CONTRATING WITH ILLEGAL ALIENS
Illegal Aliens-Public Contracts for Services
CRS 8-17.5-101 and Public Law 208, 104th Congress, as amended and expanded in Public Law 156, 108th
Congress, as amended:
The Consultant certifies that he/she shall comply with the provisions of CRS 8-17.5-101 et seq. The
Consultant shall not knowingly employ or contract with an illegal alien to perform work under this contract or
enter into a contract with a subcontractor that knowingly employs or contracts with an illegal alien. The
Consultant represents, warrants, and agrees that it (i) has verified that it does not employ any illegal aliens,
through participation in the Basic Pilot Employment Verification Program administered by the Social Security
Administration and Department of Homeland Security, or (ii) otherwise will comply with the requirements of
CRS 8-17.5-101 (2)(b)(I). The Consultant shall comply with all reasonable requests made in the course of an
investigation by the CO Department of Labor and Employment. If the Consultant fails to comply with any
requirement of this provision or CRS 8-17.5-101 et seq., the City may terminate this contract for breach and
the Consultant shall be liable for actual and consequential damages to the City.

ARTICLE 17-DISADVANTAGED BUSINESS ENTERPRISES
Disadvantaged business enterprises are afforded full opportunity to submit bids and will not be discriminated
against on the grounds of race, color or national origin in consideration for an award. Consultants shall insert
this provision in all sub-contracts for any work covered by this Agreement, so that it shall be binding upon
each sub-consultant or sub-contractor providing labor or services.

ARTICLE 18 -AUTHORIZATION
Each party represents and warrants that it has the power and ability to enter into this agreement, to grant the
rights granted herein, and to perform the duties and obligations described herein.
IN WITNESS WHEREOF, the parties hereto have executed this agreement in two (2) copies, each of which shall
be deemed an original on the day and year first written above.

Access Modification and Traffic Signal Design Services Revised Proposal

Dear Mr. Westburg:
Kimley-Horn and Associates, Inc. ("Kimley-Horn") is pleased to submit this scope and fee letter to the
City of Wheat Ridge, Colorado ("the Client" or "the City") for providing intersection improvement
engineering design services at the intersection of Applewood Village Access/Xenon Street & 32nd
Avenue in Wheat Ridge, Colorado. The project involves the design of a proposed traffic signal,
accessible curb ramp design, signage and striping, and illumination improvements at the project
intersection. Our scope of services, schedule, and fee and billing are as follows.
Scope of Services
TASK 1: DATA COLLECTION
Kimley-Horn will review readily available existing studies and reports provided by the City and
conduct a field investigation to review existing conditions of the project site. The field review will
include observation of the existing intersection and visible utilities that may affect the proposed signal
layout.
Point Consulting will establish horizontal and vertical survey control for the site. Point Consulting will
conduct supplemental field survey to provide existing road right-of-way and property lines for the
parcels located on the south side of the Applewood Village Access and 32"d Avenue intersection.
Should easements of right-of-way be required for the constructed improvements, legal descriptions
can be provided as an additional service. The right-of-way information will be incorporated into the
survey previously conducted by Point Consulting for the Applewood site development for use as the
project base map.
Kimley-Horn will identify critical underground utility locations where further investigations may be
desired to confirm available locations for placing the signal poles. We have not included potholing
services within this proposal but can provide this as an additional service.

TASK 2: ROADWAY AND TRAFFIC SIGNAL DESIGN
A traffic signal will be designed for the intersection of the Applewood Village main access along 32nd
Avenue per City of Wheat Ridge standards and requirements. It is anticipated that traffic signal poles
with mast arms will be located on the northwest corner of the intersection and within the new curb
area constructed in Xenon Street along the south side of 32nd Avenue. The traffic signal pole along

the south side of 32"d Avenue is anticipated to include two mast arms at 90 degree angles for
eastbound and southbound indications. In addition, a pedestal pole is proposed on the northeast
corner of the intersection.
Kimley-Horn will design modifications to Xenon Street to restrict turning movements to eastbound
right tum movements only. The design will consist of a curbed bulb-out at the southeast curb return.
The design will consist of spot elevations for the new bulb-out and the two proposed curb ramps,
detailed within a separate sheet of the plan set. Curb ramps on the north side of the intersection will
be modified to provide directional ADA compliant access.
Signage and striping modifications will be designed to accommodate the new intersection
configuration, to consist of crosswalks, turn arrows, and stop bars identified for installation, and
signage along Xenon street to inform drivers that it is not a through street. As part of the design,
Kimley-Horn will review opportunities to realign the travel lanes so that the westbound bike lane can
be extend through the intersection. It is assumed that proposed signage and striping for W. 32"d
Avenue can be shown using an aerial image as the base map.
Signal underground design will be detailed including the pull box and conduit layouts. The controller
cabinet will be located as part of the signal underground design, most likely to be provided on the
northwest corner of the intersection. The equipment and overhead signs to be included on each pole
and mast arm will then be designed per the City's specifications and the Manual on Uniform Traffic
Control Devices (MUTCD). Pole mounted signal heads will be designed for both the far side left turn
movement and far side right main phase and will include countdown pedestrian signal heads.
A proposed street light will be shown on the northeast corner of the intersection to match the City's
lighting standard. Kimley-Horn will review the intersection photometrics with the specific lighting
fixture data provided by the City to confirm adequate intersection illumination. We will also review the
need for shielding to limit overflow onto the private property. We have not included fees for electrical
design and can these as an additional scope.
A concept layout in PDF format will be provided to City after the initial traffic signal layout is
completed to confirm the layout is acceptable to the City. Any comments will be addressed during
preparation of the preliminary and final construction plans.

TASK 3: PRELIMINARY AND FINAL CONSTRUCTION PLANS
Following the City's approval of the concept design we will proceed with the preliminary and final
design and preparation of the construction plans. Upon completion of the intersection layout design,
the recommended phasing diagram, symbol legend, signal head type legend, sign legend, estimated
quantities, general notes, and construction notes will be added to the design sheet. The general
notes and construction notes will identify the type of equipment to be installed or make reference to
the City's standards.

Kimley-Horn will prepare and submit 60% and 90% construction plans for review and comment to the
City of Wheat Ridge. Plans will be delivered for City staff review as electronic 11"x17" PDF sheets.
Three set of 11x17 plan sets will delivered for the final plans. It is assumed that a review meeting will
be scheduled after submission to discuss comments and address changes. We have included
addressing up to two rounds of comments within this task.
Kimley-Horn will also prepare a summary of approximate quantities, and Opinion of Probable
Construction Cost (OPCC) estimate for the 60% and 90% submissions. We have not included cost to
prepare project specifications but can prepare those as an additional service upon request.

TASK 4: PROJECT MANAGEMENT, MEETINGS & COORDINATION
Kimley-Hom will participate in and attend project meetings and coordinate with the City and key
stakeholders. This task is intended to capture the effort for the meetings, conference calls, and design
coordination necessary for this project. We have estimated up to 30 hours for this task, included
attending up to two (2) progress meetings and two (2) design review meetings. Kimley-Horn will also
prepare meeting minutes, schedule updates, and monthly progress status reports as part of this task.

ADDITIONAL SERVICES
Kimley-Horn can provide additional services as requested. Any requested additional services will be
performed only after receipt of written authorization from the Client. Additional services may consist
of construction support to include:
• Legal descriptions for additional right-of-way or easements
• Utility coordination for relocations or to obtain power
• Utility potholing
• Electrical design
• Project specifications and contract documents
• Stormwater management plans and report
• Retaining wall design and construction plans
• Traffic control and construction phasing plans
• Landscaping and restoration plans

Construction support services can be provided by Kimley-Hom on a time and materials basis.
Information Provided By Client
We shall be entitled to rely on the completeness and accuracy of all information provided by the
Client or the Client's consultants or representatives. The Client shall provide all information
requested by Kimley-Horn during the project.
SCHEDULE
We will provide our services as expeditiously as practicable to meet the mutually agreed upon
schedule after receipt of an executed agreement and notice to proceed. Additional services will be
completed in a timely manner after they are authorized.
Assuming a notice to proceed date of December 19, 2016, we propose the following milestone
schedule:
• Conceptual Layout by January 11, 2017
• City comments to Kimley-Horn by January 18, 2017
• 60% Plan Submittal by February 8, 2017
• City comments to Kimley-Horn by February 22, 2017
• 90% Plan Submittal by March 1, 2017
• City comments to Kimley-Horn by March 8, 2017
• 100% Plans by March 22, 2017
FEE AND BILLING
Kimley-Horn will provide the services described within the Scope of Services for a Lump Sum fee of
$31,865 as shown below and per the attached estimated schedule of hours.
