REGARDING ROOF VENTILATION: Roof ventilation shall comply with IBC Sec. 1203.2 or IRC Sec. R806. The installation of ridge venting requires the installation or existence of soffit venting. For calculation purposes, one hat or turtle vent equal to one-half of one square foot of opening. Effective December 1, 2014, asphalt shingle installations require an approved midroof inspection, conducted when 25-75 percent of the roof covering is installed, prior to final approval. Installation of roof sheathing (new or overlay) is required on the entire roof when spaced or board sheathing with ANY gap exceeding one half inch exists. Sheathing and mid -roofs may be called in at the same time, one hundred percent of the sheathing must be complete and 25-75 percent of the mid -roof may be complete. Asphalt shingles are required to be fastened to the roof deck with a minimum of 6 nails per shingle. Ice and water shield is required. Eave and rake metal is required. A ladder extending 3 feet above the roof eave and secured in place is required to be provided for all roof inspections. Roof ventilation is required to comply with applicable codes and/or manufacturer installation instructions, whichever is more stringent. The late charge and finance charge shall be in addition to Colorado State Exteriors, LLC other rights and remedies hereunder, or at law or in equity. 4. Change Orders Should Customer, Customer's insurance company, any governmental body or inspector require modifications to the work or specifications contained in this contract, any cost incurred shall be added to the contract price as extra work and Customer agrees to pay Colorado State Exteriors, LLC its normal selling price for such work. Both parties in a written change order will approve any changes or extra work. All change orders will become part of this contract and will be incorporated herein. 5. Customer's Responsibility. Customer shall be responsible for the following: A. To provide for storage area at the work site for the delivery and storage of materials and to assume the risk of loss by theft, vandalism or casualty to such materials. B. To relocate and protect an item that prevents Colorado State Exteriors, LLC from having free access to the work site, including without limitation, any TV or radio antennas and satellite dishes. If Customer fails to relocate such items, Colorado State Exteriors, LLC may relocate such items, but in no event shall Colorado State Exteriors, LLC be responsible for any damage incurred during such relocation or work. C. To correct any defects recognized during the course of Colorado State Exteriors, LLC work, including without limitation, any dry rot, structural defects or code violations. D. To maintain property insurance on the premises before and during the work progress. If Colorado State Exteriors, LLC work is damaged or destroyed at any time during the project by accident, disaster, theft or vandalism, any labor or materials provided by Colorado State Exteriors, LLC in re- roofing or restoring the project shall be paid as extra work by the Customer. Notwithstanding contractors general liability insurance will be applied first. 6. Completion. If customer believes corrections need to be made, customer shall inform Colorado State Exteriors LLC within seven business days after receiving Colorado State Exteriors, LLC notice of completion of the work and/or final invoice. Customer and Colorado State Exteriors, LLC then shall conduct an inspection of the project. All mutually agreed upon uncompleted items shall be listed and completed by Colorado State Exteriors, LLC as soon as practical. Customer shall be entitled to withhold payment from final payment 150% of the value of any uncompleted items, which amount shall be paid promptly upon completion of the punch list items. 7. Signage. Customergrants to Colorado State Exteriors, LLC the right to display signage at the work site before, during, and for 14 days following completion of the work. 8. Default. In the event of non-payment, other than other than mutually agreed upon corrections as described in section six of this document, Customer agrees to pay all costs and expenses of collection, including attorney fees, late charges and continuing finance charges until payments is made in full. In the event Customer fails to pay a payment when due, Colorado State Exteriors, LLC reserves the right to suspend further work. 9. Surplus Materials. Any surplus or salvage materials shall remain the property of Colorado State Exteriors, LLC and shall be removed upon completion of the work. 10. Installation. Customer shall communicate with subcontractors at the work site only through the authorized Colorado State Exteriors, LLC representative. Customer will not assume any responsibility or have any control over or charge of construction means, methods, techniques or procedures in connection with the work_ 11. Force Majeure. Colorado State Exteriors, LLC shall be excused for any delay in completion of the project caused by natural disaster, weather, fire, strikes, modifications, change orders or other acts of Customer, failure of manufacturer to make timely delivery of materials, labor disputes, acts of god, acts of public utilities, public bodies, inspectors, war, aggression, casualty or destruction, or any occurrences beyond the reasonable control of Colorado State Exteriors, LLC. 12. Warranty. Building materials are guaranteed under manufacturer's warranty. Upon receipt of final payment Colorado State Exteriors, LLC will assign to Customer all warranties on materials as provided by the manufacturer of such materials. Colorado State Exteriors, LLC workmanship warranty shall be limited to defects in workmanship within the scope of work performed by Colorado State Exteriors, LLC as set forth in Colorado State Exteriors, LLC's five (5) year workmanship warranty which is subject to the provisions of the limited warranty attached to this contract and made apart hereof. In no event will Colorado State Exteriors, LLC be responsible for any damage to siding, flashing, or skylights resulting from a lack of maintenance to such features. THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ANY IMPLIED WARRANTY OF MERCHANTIBILTY, FITNESS FOR ANY PARTICULAR PURPOSE OR ANY WARRANTY OF QUALITY, WHETHER EXPRESSED OR IMPLIED. 13. Limitation of Liability. COLORADO STATE EXTERIORS, LLC SHALL NOT UNDER ANY CIRCUMSTANCES BE LIABLE FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, UNLESS CAUSED BY THE NEGLIGENCE OF COLORADO STATE EXTERIORS, LLC. The remedies of customer set forth herein are exclusive, and the liability of Colorado State Exteriors, LLC with respect to this contract, whether arising out of contract, negligence, strict tort or any warranty or otherwise, shall exceed the price of the contract upon which such liability is based. Colorado State Exteriors, LLC shall have no liability for and makes no warranty, express or implied, against material failure. 14. Mediation; Arbitration. The parties agree to meet in good faith to resolve any claims, disputes or other matters in question arising out of or related to this contract or work performed hereunder. If the parties are unable to resolve any such claim or dispute between them, then the parties shall first proceed in good faith to submit the matters to non-binding mediation. In the event the parties are unable in good faith to reach an agreement through mediation within 30 days, then such claim or controversy between the parties arising or relating to the terms of th is contract shall be decided by arbitration in accordance with the construction industry rules of the American Arbitration Association currently in effect. If the parties elect to arbitrate a disputed claim or claims, the award rendered by the arbitrator shall be final and judgment may be entered upon it in accordance with applicable law in any court having jurisdiction thereof. Notwithstanding anything contained in this contract or Proper performance limited warranty to the contrary, Customer agrees that Colorado State Exteriors, LLC shall have the right to attempt to repair any defect prior to Customer initiating any mediation or arbitration action against Colorado State Exteriors, LLC. 15. Applicable law. All transactions between Customer and Colorado State Exteriors, LLC shall be governed by and construed in accordance with the laws of the state of Colorado, without regard to conflict of law principles. Venue for any action arising out of or in connection with any transaction between Customer and Colorado State Exteriors, LLC shall be exclusively in courts of the city and county of Denver, Colorado. 16. Attorney's Fee. In the event that customer or Colorado State Exteriors, LLC incurs attorneys' fees to enforce the terms and conditions of this Agreement, whether arbitration is initiated, the prevailing party of the dispute will be entitled to recover from the other party reasonable attorneys' fees incurred to enforce this Agreement.
