TITLE.
AN ORDINANCE ADDING SECTION 25 OF CHAPTER 25 OF THE CODE
OF LAWS OF THE CITY OF WHEAT RIDGE, COLORADO, CONCERNING
DUTIES OF THE ECONOMIC DEVELOPMENT AND REVITALIZATION
COMMISSION
WHEREAS, the City of Wheat Ridge has established an Urban Renewal Authority
pursuant to the Colorado Urban Renewal Law (C R S Section 31-25-101 et seq ), and
WHEREAS, the Wheat Ridge Economic Development and Revitalization Commission
(EDARC) has functioned as the Wheat Ridge Urban Renewal Authority, and
WHEREAS, the City of Wheat Ridge has adopted an Economic Development Plan which
anticipates an economic development advisory board as described in Resolution 1357, Series
of 1994, and amended by Resolution 1386, Series of 1994, and
WHEREAS, EDARC currently is not actively redeveloping any real property within the
Wheat Ridge Town Center urban renewal area, although it continues to pursue
development/redevelopment opportunities; and
WHEREAS, the Mayor and City Council have not appointed an Economic Development
Board, and
WHEREAS, EDARC wishes to serve in the advisory role to the City Council regarding
economic development, and
WHEREAS, such function would also serve EDARC's statutorily mandated role pursuant
to C R S Section 31-25-105, and specifically including the power to prepare plans to assist
the City in the preparation of a program to eliminate and prevent the development or spread
of slum and blighted areas
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF WHEAT RIDGE,
COLORADO.
Section 1 A new Section 25-25 of the Wheat Ridge Code of Laws is enacted to read
Section 25-25 Additional duties.
The Wheat Ridge Economic Development and
Revitalization Commission shall also serve in an advisory capacity
to the City Council regarding economic development throughout

the City of Wheat Ridge. Specific duties shall include, but not be
limited to.
(A) Assist the City Manager in the formation of
a business development plan.
(B) Provide advice and assistance to the City
Council and administrative staff in business development
programs and strategies designed to retain existing businesses,
encourage expansion of existing businesses, and to aid in the
development of new business
(C) Assist the administrative staff with
promotional efforts forthe City's business development program
(D) Review specific business development
proposals and advise the administrative staff on business
incentives and other related City programs
Section 2 Safety Clause The City Council hereby finds, determines, and declares that
this Ordinance is promulgated under the general police power of the City of Wheat Ridge, that
it is promulgated for the health, safety, and welfare of the public and that this Ordinance is
necessary for the preservation of health and safety and for the protection of public
convenience and welfare The City Council further determines that the Ordinance bears a
rational relation to the proper legislative object sought to be attained
Section 3. Severability; Conflictinq Ordinances Repealed If any section, subsection
or clause of this ordinance shall be deemed to be unconstitutional or otherwise invalid, the
validity of the remaining sections, subsections and clauses shall not be affected thereby All
other ordinances or parts of ordinances in conflict with the provisions of this ordinance are
hereby repealed
Section 4 Effective Date This Ordinance shall take effect immediately upon adoption
at second reading, as permitted by Section 5 11 of the Charter
INTRODUCED, READ, AND ADOPTED on first reading by a vote of 5 to 3 on this 23rd
day of June, 1997, ordered published in full in a newspaper of general circulation in the City
of Wheat Ridge and Public Hearing and consideration on final passage set for July 14, 1997,
at 7'00 o'clock p.m., in the Council Chambers, 7500 West 29th Avenue, Wheat Ridge,
Colorado

COOPERA nON AGREEMENT
THIS AGREEMENT, effectIve thIs 14 th day of July , ] 997, by and between
the CITY OF WHEAT RIDGE, COLORADO, a Municipal Corporation ("CIty"), and the
WHEA T RIDGE ECONOMIC DEVELOPMENT AND REVlT ALlZA nON COMMISSION, a
body corporate and politIC of the State of Colorado ("AuthOrIty")
RECIT ALS
In furtherance of the objectIves of the Colorado Urban Renewal Law, the AuthOrIty IS
engaged In the implementatIon of an Urban Renewal Plan for the Wheat RIdge Town
Center Project, prevIously deSIgnated by the City Council of the City of Wheat R1dge as
an urban renewal area by ResolutIons adopted on September 28, ] 98] and October] 2,
] 987, and September] 2, 1992, as blighted and In need of redevelopment for the best
Interests and well-beIng of the commumt~

A July 12, 1992, Intergovernmental Agreement regarding the CIty Council
approVIng all EDARC expendItures, budgets and contracts
B October 26, 1987, CooperatIOn Agreement regarding the City Council and
EDARC aVOIding unnecessary duplIcatIon of serVIces, eqUipment and
employees.
C June] I, ]984, regardIng the appoIntment of the AuthOrIty to perform
economIc development services for the CIty ThiS has not been funded
since 1986
D June] 4, 1982, regardIng the KIpling ActIVIty Center The terms of thIs
Agreement have been performed by both parties.
E. October, ] 982, regardIng the Wheat R1dge Town Center Park land, the
terms of thIS Agreement have been performed by both partIes.
F March 3, 1982, regardIng the coordinatIon of efforts. The terms of thIS
Agreement were superseded by the October 27, ] 987 CooperatIon
Agreement
4 It IS the Intent of the parties to clarIfY the obligatIOns while aVOIding unnecessary
duplIcatIon of servIces, eqUipment and employees. To thIs end, thIs Agreement proVIdes
for the AuthorIty and the City to share resources including services, eqUipment and
personnel when the need of both entities can be served
NOW THEREFORE, it is agreed by the parties as follows:
ARTICLE I - PRIOR AGREEMENTS
The CIty and the AuthorIty hereby termInate all of the prIor agreements described above
between the two partIes
ARTICLE II - DUTIES OF THE AUTHORITY
SectIOn I. Urban Renewal Authonty The AuthorIty shall act as the CIty of Wheat
Ridge's urban renewal authority as speCIfied In an adopted urban renewal plan and under the
Colorado Urban Renewal Law (C R.S 25-31 et seq) as amended.
Section 2. EconomIc Development AdVISOry CommIttee. The Authonty IS hereby
appOInted as an adVISOry board for the purpose of revIewIng economic development possibilIties
for the entire City, IncludIng without lImit, economIc development strategies and polICies,
reVIeWIng speCIfic economIc development areas and ImplementatIon of programs for attractIng
busInesses and developers to accomplIsh economIc development.
SectIon 3. Recommendation made to CIty Council. The Authonty shall make
recommendatIons to the City Council regarding economIc development proposals and
Implementation strategIes. All recommendatIOn shall Include a fiscal note and request for fundIng,
If necessary
SectIOn 4. AuthOrIty to Contract With Consultants. Subject to a City Council
approved budget or a speCIfic authonzatlon, the AuthOrIty shall be able to contract With
consultants or adVisors to accomplish ItS dutIes related to the exercise of urban renewal powers
ARTICLE 11I- EMPLOYEES
Section] . ExecutIve Director. The Economic Development CoordInator shall be
aSSIgned to work for the Authority while actIng In ItS adVISOry capacIty to the City Council Such
person also shall act as the Executive Director of the AuthOrIty If the City does not have an
economIC development pOSitIOn funded, than the Authority shall hIre an ExecutIve Director,
subject to CIty Council approvaL The AuthOrIty shall be responsible for and pay the CIty for such
time expended by the City Employee on AuthOrIty matters related so]ely to the Wheat Ridge
Town Center or any other urban renewal area. The annual amount to be paid by the AuthOrIty
shall be mutually agreed upon by the partIes to thIS Agreement at the tIme of preparatIon of the
budget based upon the percentage of tIme spent by City employees for urban renewal related
matters.
Section 2. Recording Secretary. The City shall hire a recordmg secretary, If needed,
who will serve at the pleasure of the ExecutIve Director to record meetmgs, assemble documents,
duplicate reports and perform such other clerIcal dutIes as the Authority shall assign
SectIon 3. CIty Employees. Upon request of the Executive Director of the AuthOrIty
subJect to approval of the City Manager, City employees may be assigned to work for the
Authonty While performmg servIces for the Authority, such City employees shall coordInate
theIr services With the ExecutIve DIrector
SectIOn 4. AuthOrIty Employees. The Authority may retain the services of additIOnal
staff for the Authonty, If approved by CIty Council or Included m a City Council approved budget
and for the exercise of urban renewal powers
ARTICLE IV- OTHER SERVICES
SectIon ]. The City may prOVIde the AuthOrIty With such other services as may be
required to perform Its publIc functIOns Includmg, but not lImIted to, legal, accountIng, treasury
management, financmg, procurement, budgetary matters, personnel servIces, plannIng services
and engmeenng servIces, proVided, however, that nothIng herem shall be construed as prohibItIng
the Authonty from contractmg With or retammg third parties to proVide all or a portIOn of any
services related to the exercIse of urban renewal powers and Included m a City Council approved
budget or speCIfically approved by City CounciL
ARTICLE V- OFFICE SPACE; FlJRNISHlNGS
The City shall make available approprIate office space and eqUipment to the Authority
All furnlshmgs, eqUipment and supplies for the AuthOrIty shall be acqUired by the City or
AuthOrIty subject to a City Council approved budget. All furnlshmgs and eqUipment acqUired by
the Authonty shall become the property of the City upon the dissolutIon of the Authonty
ARTICLE VI- OPERATION INTEGRATION
Section ]. City Codes. The AuthOrIty shall comply WIth applicab]e City ordInances,
codes, rules and reb'Ulatlons related to the redevelopment of the urban renewal areas, except as
proVided In an adopted urban renewal plan and the Colorado urban renewal law
ARTICLE VII- AMENDMENT
This Agreement may be amended by the mutual consent of the parties at any time after
glVmg at least thIrty (30) days WrItten notIce of mtentlon to do so, proVIded, however,
amendment of thIS Agreement shall not release the AuthOrIty from its oblIgation to pay the funds
due the Citv as prOVIded hereIn, unless such obligatIons are speCIfically termmated by the City
Such notIce shall be submItted to the CIty Manager of the City, 7500 West 29'h Avenue,
Wheat Ridge, Colorado
The parties have executed thIs Agreement effectIve on the date first above WrItten.
