RESOLUTION NO. 931

TITLE: RESOLUTION APPROVING INTERGOVERNMENTAL AGREEMENT WITH
COLORADO DEPARTMENT OF HIGHWAYS FOR THE FAUS PROJECT ON
44TH AVENUE BETWEEN YOUNGFIELD AND TABOR
WHEREAS, Federal-Aid urban system funds have been made
available for preliminary engineering, utilities and right-of-way
for improvements on 44th Avenue between Youngfield and Tabor
Street; and
WHEREAS, the City must enter into a contract with the
Colorado Department of Highways for administration of federal
funds and technical support; and
vJHEREAS, the Colorado Department of Highways ha s offered
this Agreement under authority of Sections 24-92-101, et seq.,
43-1-102, 43-1-106, 43-2-101(4} (c) and 43-2-144, C.R.S., as amended;
and
WHEREAS, the matching ratio for this Federal-aid urban
system project is 78.00% Federal-aid funds ($150,000) and 22.00%
city of Wheat Ridge funds ($42,308) for costs eligible for Federal
participation; it being understood that all non-participating costs
are borne by the City of Wheat Ridge at 100%; and
WHEREAS, Section 14.2 of the Horne Rule Charter of the
City of Wheat Ridge authorizes the city of Wheat Ridge, by
resolution, to enter into Intergovernmental Agreements.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Wheat Ridge that the Intergovernmental Agreement with
the Colorado Department of Highways attached to this Resolution
be approved, and the Mayor be authorized to sign said Intergovern-
mental Agreement.
DONE AND RESOLVED this 14th day of January, 1985.

AGREEMENT
THIS AGREEMENT is made this 7th day of Janua~19~, by and
between the CITY OF ARVADA, a municipal corporation of the County of
Jefferson, State of Colorado, hereinafter referred to as "ARVADA", and
the CITY OF WHEAT RIDGE, a municipal corporation of the County of
Jefferson, State of Colorado, hereinafter referred to as "WHEAT RIDGE".
WHEREAS, the people of the City of Arvada created the Arvada
Center for the Arts and Humanities in 1976, hereinafter referred to as
"Center", for the purposes of offering the citizens of Arvada the
opportunity to experience quality cultural and educational programs,
and
WHEREAS, the City of Wheat Ridge desires to meet the expanding
needs of its citizens for programs and services in the arts and
humanities, and
WHEREAS, the City of Arvada, through the Arvada Center for the
Arts and Humanities, desires to offer its services in the area of
cultural and educational programs to the citizens of Wheat Ridge,
NOW THEREFORE, the parties to this agreement in consideration of
the mutual covenants and stipulations set out herein,
AGREE AS FOLLOWS:
1. Payment. The City of Wheat Ridge agrees to pay to the Arvada
Center for the Arts and Humanities the sum of Ten Thousand ($10,000)
dollars, to be made by January 31, 1985. Said payment shall be made
to the Arvada Center at 6901 Wadsworth Blvd., Arvada, CO 80003.

2. Duration of Contract. This contract is to take effect
January 1, 1985, and is to continue in force through December 31, 1985.
3. Services. Arvada agrees, through the Arvada Center for the
Arts and Humanities, to provide the following services to Wheat Ridge
during the term of this agreement.
A. The resident children's theatre group of the Arvada
Center, A Company of Players, will schedule four (4) performances in
Wheat Ridge parks during the summer of 1985 on dates to be mutually
agreed upon.
B. Two evening performances in 1985 will be designated as
"Wheat Ridge Recognition Nights". These evenings are sponsored by
Wheat Ridge. Center staff will work with Wheat Ridge staff to help
promote these evenings designed to attract residents of Wheat Ridge.
The schedule for these events will be as follows:
1. April 3, 1985 performance of the "St. Matthew
Passion" by the Arvada Center Chorale and Orchestra.
2. A fall performance date of the Arvada Center
Theatre Company to be mutually agreed upon.
C. The Center will offer a ten percent (10%) fee reduction
for any Center education class if five or more Wheat Ridge residents
register as a group.
D. The Center offers interpretative services for the deaf
and hearing impaired population. This program provides access to
theatre performances, classes and gallery/museum tours to
approximately 2,400 residents of Wheat Ridge with hearing impairments.
4. Arvada will publicly recognize that Wheat Ridge is a major
contributor to the Arvada Center. A statement of recognition will
appear in the 1985 Annual R~~ Honor Roll of Donors.

5. Wheat Ridge agrees to publicize to its citizens that it is
helping to support its citizens' participation at the Arvada Center.
All news releases will be sent regularly to the Wheat Ridge Director of
Parks and Recreation.
6. Reports. The Executive Director of the Arvada Center for the
Arts and Humanities shall report on the progress of this program to
the City Administrator and Mayor, on a semi-annual basis, with a final
report to be made by January 31, 1986.
7. No Partnership Intended or Created. Nothing in this Agreement
is intended to, or shall be deemed to, constitute a partnership or
joint venture between the parties.
8. Integration. With the exception of those items specifically
reserved for mutual agreement at a later date, this instrument
contains the entire agreement between the parties, and no statement,
promises, or inducements made by either party or agent of either party
that is not contained in this written contract, shall be valid or
binding; and this contract may not be enlarged, modified, or altered,
except in writing, signed by the parties and endorsed thereon.

IN WITNESS WHEREOF, the parties have executed this agreement at
Wheat Ridge and Arvada, Colorado, the day and year first above written.
