HomeMy WebLinkAboutResolution-1992-1319 RESOLUTION NO. 1319 Series of 1992 TITLE: A RESOLUTION AUTHORIZING AN INTERGOVERNMENTAL AGREEMENT WITH THE TOWNS OF LAKESIDE AND MOUNTAIN VIEW FOR THE REHABILITATION OF WEST 44TH AVENUE BETWEEN HARLAN STREET AND SHERIDAN BOULEVARD. WHEREAS, section l4. 2 of the Home Rule Charter of Wheat Ridge provides express authority to enter into intergovernmental Agreements providing for cooperative efforts between governments; and WHEREAS, The city of Wheat Ridge and the Towns of Lakeside and Mountain View wish to jointly improve the condition of West 44th Avenue in their individual jurisdictions between Harlan street and Sheridan Boulevard; and WHEREAS, in the spirit of cooperation the City Wheat Ridge, has offered to design, advertise, award and construct the pro- ject, including the segments within the Towns Lakeside and Moun- tain View; and WHEREAS, in order to insure that the project costs for the segments of West 44th Avenue belonging to the Towns of Lakeside and Mountain View are reimbursed to the City of Wheat Ridge, it is necessary to enter into an intergovernmental agreement with the Towns of Lakeside and Mountain View. NOW, THEREFORE, BE IT RESOLVED that: See. l. The Mayor of the City of Wheat Ridge is hereby authorized to execute an intergovernmental agreement with the Towns of Lakeside and Mountain View for the Rehabilitation of West 44th Avenue between Harlan Street and Sheridan Boulevard. WITNESSETH THAT: WHEREAS, sections 29-1-20l and 29-l-203 Colorado Revised statutes, 1972, as amended, permit and encourage governments to make the most efficient use of their powers and responsibilities by cooperating and contracting with other governments to provide authorized services; and, WHEREAS, Wheat Ridge, Lakeside rehabilitate West 44th Avenue Boulevard, hereinafter sometimes and Mountain View desire to jointly between Harlan street and Sheridan referred to as the "Project"; and, WHEREAS, Parties desire to cooperate to the fullest extent possible to ensure that the planning, engineering and construction of the Project are accomplished according to the mutual desires of each party for the best interests of their respective citizens. NOW, THEREFORE, in order to accomplish the in consideration of the mutual covenants forth, the Parties agree as follows: above stated desires, and promises herein and set l. Parties understand and agree that the rehabilitation of West 44th Avenue between Harlan Street and Sheridan Boulevard will be in accordance with engineering specifications and design standards mutu- ally acceptable and beneficial to Parties in order to bring West 44th Avenue to an acceptable service level as defined by each party. 2. Wheat Ridge agrees to design, advertise, award a construction contract and provide contract administration and project inspection for the project in accordance with the mutual desires of Parties. 3. Parties agree that engineering costs associated with design, advertisement, contract administration and project inspection will be 5% of the bid amount submitted by the lowest qualified bidder for the Project. Engineering costs will be split based upon the portion of the surface area of West 44th Avenue within the corporate limits of each party. The percentages for Lakeside, Wheat Ridge and Mountain View are 58.6, ll.7 and 29.7, respectively. 4. Parties agree that the Project costs associated with traffic control, mobilization, milling, placement of pavement fabric and overlay material will be split based upon the portion of the surface area of West 44th Avenue within the corporate limits of each party. The percentages for Lakeside, Wheat Ridge and Mountain View are 58.6, ll.7 and 29.7, respectively. The Project costs shall consist of the following: A. Construction costs as incurred by the lowest bidder. qualified B. Authorized written change or work orders issued by the Engineer. c. contingencies mutually agreeable to the Parties. D. Early Completion Incentive Bonus as provided for in the Contract Documents. 1 E. Lakeside will pay lOO% of the costs associated with con- struction of proformed plastic traffic marking matorial for the entire roadway. F. Lakeside will pay lOO% of the costs associated with recon- struction of the northwest corner of the intersection of West 44th and Sheridan. This reconstruction will provide a xx foot flow line radius and related traffic signal and site improve- ments. G. Work associated with the traffic signal at the east Lakeside Mall entrance near 44th and Depew will be borne by Lakeside. H. Work associated with the traffic signal at 44th and Fenton will be allocated to Wheat Ridge, Lakeside and Mountain View at a 25%, 50% and 25% ratio, respectively. I. Repair of traffic detector loops inside the Lakeside Mall property will be borne by Lakeside. J. Each entity will be responsible for isolated roadway pave- ment reconstruction and repair of curb, gutter and sidewalk, alley pans, and paving behind 44th Avenue's curb line within the bounds of their respective frontages. 5. The estimated cost of the Project is $26l,000. The estimated cost for each entity is included in attachment A which is attached and expressly made part of this agreement. The estimated engineering costs for the project are $l3,000. Lakeside's, Mountain View's and Wheat Ridge's share of this cost is $7,000, $3,900 and $2,lOO, respectively. 6. Prior to award of the construction contract by Wheat Ridge, Lakeside and Mountain View will deposit with Wheat Ridge their respec- tive share of the Project costs based upon the low bidder's bid prices for the project plus l5% for contingencies and incentive bonus as well as their share of the Engineering costs. Wheat Ridge will place these funds and Wheat Ridge's share of the project into the appropriate Capital Improvement Fund Account and will make progress payments from this account. Upon completion of the project, Wheat Ridge will pre- pare a final estimate of cost for each entity based upon work actually completed within the owning jurisdiction. In the event additional funds are required from either or both entities, Lakeside and Mountain View agree to deposit with Wheat Ridge such funds within 30 days of written notice. In the event excess funds remain after completion of the project, these funds will be returned to the owning entity within 30 days after final acceptance of the work and release of retained amounts. Funds deposited with Wheat Ridge for Engineering costs will not be returned. 7. Wheat Ridge agrees to jointly contract with a licensed and reputable contractor for the Project. 8. Wheat Ridge agrees to be responsible for the administration of the construction contract according to applicable state and federal laws. Lakeside and Mountain View agree to assist as needed or re- quested to accomplish such administration. 9. Wheat Ridge agrees to prepare engineering estimates, adver- tise for construction bids, conduct a formal bid opening, prepare formal contract documents, and award construction contracts. The construction documents shall be submitted to Lakeside and Mountain View for review prior to bid opening and any addendum thereto shall be submitted to Lakeside and Mountain View for review. Lakeside and Mountain View will be allowed to review all bids submit- ted and a Contract will not be awarded without prior approval of Lakeside and Mountain View. 10. Wheat Ridge agrees to prepare and issue all written change or work orders to the construction contracts. Lakeside and Mountain View will be allowed to review any change orders to the Project. 2 ll. Wheat Ridge will conduct a final inspection of the Project upon completion and certify the results to Lakeside and Mountain View. l2. Parties agree that each shall own the improvements located within their respective jurisdictions. l3. Parties agree that the contractor to whom the Project is awarded will be required to carry, at a minimum, adequate workers compensation, casualty and liability insurance in amounts mutually acceptable to the Parties. Contractor will be required to name all parties as additional insured in his insurance policies. 14. Parties agree that the contractor to whom the Project is awarded shall be required to present a five percent (5%) bid bond, 100 percent (lOO%) performance and labor and materials payment bonds, contractor I s agreement to a maximum five percent (5%) retainage on periodic and final payments, and contractor's compliance with any other applicable statutory provisions required of Parties. l5. Each party shall be responsible for its own negligent acts. Wheat Ridge shall be solely responsible for the design, construction, inspection and administration of said Project, and shall be solely responsible for any liability resulting from or relating to said design, construction, inspection and administration of said project, and shall reimburse the Town of Lakeside and the Town of Mountain View for any costs, expenses, or legal fees that the Towns may incur for any liability resulting from said project. 16. The Agreement embodies the entire understanding of Parties and shall be deemed to be a contract extending and binding upon Par- ties hereto, their representatives, agents, administrators, successors and assigns. 7-f1 / ENTERED INTO this Ie - day of~c~ , 1992.
