HomeMy WebLinkAboutResolution-1993-1359 RESOLUTION NO. 1359 Series of 1993 TITLE: A RESOLUTION AUTHORIZING THE MAYOR AND CITY CLERK TO SIGN THE CONTRACT WITH THE WHEAT RIDGE HISTORICAL SOCIETY AND TO CREATE A WHEAT RIDGE FIRST POST OFFICE FUND WHICH WILL ALLOW FOR THE RESTORATION OF THE WHEAT RIDGE FIRST POST OFFICE. WHEREAS, the city of Wheat Ridge desires to assist the Wheat Ridge Historical Society with the restoration of the Wheat Ridge First Post Office by providing administrative and accounting services; and WHEREAS, the City of Wheat Ridge will transfer $4570 to a special account to allow the Historical Society to begin the project. These funds will be reimbursed $2285 from a Jefferson County Open Space Joint Venture Grant and $2285 from a Colorado Historical Fund Grant; and NOW, THEREFORE BE IT RESOLVED by the City Council of the City of Wheat Ridge that the Mayor and City Clerk be authorized to sign the contract with the Wheat Ridge Historical Society for the restoration of the Wheat Ridge First Post Office; and BE IT FURTHER RESOLVED that a special fund be created for the purpose of restoring the Wheat Ridge First Post Office; and BE IT FURTHER RESOLVED that the City will transfer $4570 from account 01-102-795 City Council Contingency to the newly created Wheat Ridge First Post Office Fund for restoration of the Wheat Ridge First Post Office. 1993. DONE AND RESOLVED on this 26th day of July ~~ (51 c,-" ATTEST: rk - CONTRACT THIS CONTRACT, is made this _lin day of /Iv (Yt./$/, by and between the City of Wheat Ridge, Colorado (hereinafter, "City") and the Wheat Ridge Historical Society (hereinafter "Historical Society" ) . WHEREAS, the City and the Historical Society desire to enter into a contract delineating the rights and responsiblities of each party with respect to the financial transactions necessary to ensure the completion of the restoration of the First Wheat Ridge Post Office (hereinafter, "the Project"), located at 4610 Robb Street, Wheat Ridge, Colorado 80033; and, WHEREAS, the parties have the authority to enter into the commitments set forth below; and, WHEREAS, required approval, clearance, and coordination has been accomplished from and with appropriate agencies. NOW, THEREFORE, it is hereby agreed that: 1. The total cost for the Project is expected to be $22,l20.00. 2. The parties to this Agreement intend to fund the Project through grants received from various sources, including, but not limited to, the State Historical Society and the Jefferson County Open Space Joint Venture Grant Program. 3. The parties intend for this Contract to provide the framework for future use and administration of grant monies for the Project, as well as for use of monies from previously-approved grants. 4. The City has received for the Project a Jefferson County Open Space Joint Venture Grant in the total sun of $11,060.00. 5. The Historical Society has received for the Project a Colorado Historical Society grant in the sum of $2285.00. 6. The Historical Society agrees that it will, with due diligence and good faith, apply for further grants to complete the Project, as those grants become available. Any such grants received shall be awarded to the City alone or jointly to the City and the Historical Society. The Historical Society shall make application for such grants in such a manner as to accomplish this result. Page 2 7. To begin the Project, the City shall establish a special account for "Wheat Ridge Post Office Restoration," and transfer from its general fund the sum of $4570.00 to allow the Historical Society to proceed with the Project. Said funds will be disbursed pursuant to the provisions of this Contract. 8. Said sum shall be paid from funds transferred into a special account in the City to accomplish said advance to the Historical Society. 9. The City shall be reimbursed for this $4570.00 as follows: a. $2285.00 from the Historical Society upon receipt by the Historical Society of its grant award money from the Colorado Historical Society (Project #93-02-068); b. $2285.00 from monies received by the City pursuant to a Jefferson County Open Space Joint Venture Grant awarded to the City for the Project. 10. In the future, as funds are needed and received for the Project, the City shall transfer such funds to the Historical Society, in such sums and in such manners as may be approved by the City Council of the City of Wheat Ridge, and in accordance with all other provisions of this Contract. Nothing in this Contract shall be deemed a commitment on the part of the City for funding other than that which is specifically authorized in paragraph 7 of this Contract. In the event the City Council shall fail to authorize expenditure of any further funds for the Project, the City shall have no liability to the Historical Society or any other entity concerning the funding of this Project. 11. The parties agree that all expenditures of funds for the Project shall be approved by both the City and the Historical Society. This shall be accomplished by having a signature line for each party on any form approving expenditures for the Project. 12. As monies are received by the Historical Society pursuant to its grants for the Project, those monies will be transferred to the City pursuant to the internal policies and procedures as established by the City, and as authorized by the City Council. 13. The City shall be deemed the administrator of the funds received for the Project, and the City shall be responsible for the accounting required for said fund administration. The Historical Society shall assist the City in administering the funds. The City's purchasing procedure shall be followed with respect to all aspects of the Project. All receipts and expenditures associated with the Project shall be documented in a detailed and specific manner, and shall never exceed the funds available for said Project. - Page 3 l4. The Historical Society shall comply in all respects with any rules, regulations, requirements, procedures, limitations, or conditions imposed by the City or the State Historical Society concerning all aspects of the Project. 15. In the event the City does not receive funds for the Project as specified in this Contract, the City shall not be obligated in any way to fund the Project out of any other City monies. 16. Neither the Historical Society nor any of its agents, employees, contractors, or subcontractors shall be deemed employees of the City. The Historical Society shall have no authority, express or implied, to bind the City to any agreements or expenditures without the express, written consent of the City. 17. The Historical Society shall, at all times relevant to this Contract, strictly adhere to all applicable federal and State laws that have been, or may hereafter be established. 18. To the extent that this Contract may be executed and performance of the obligations of the parties may be accomplished within the intent of the Contract, the terms of this contract are severable, and should any term or provision hereof be declared invalid or become inoperative for any reason, such invalidity or failure shall not affect the validity of any other term or provision hereof. The waiver of any breach of a term hereof shall not be construed as waiver of any other term. 19. This Contract shall inure to the benefit of, binding upon, the parties and their respective successors. and be 20.
