TITLE:
A RESOLUTION APPROVING AN INTERGOVERNMENTAL
COOPERATION AGREEMENT BETWEEN THE CITY OF WHEAT
RIDGE AND THE WHEAT RIDGE HOUSING AUTHORITY
WHEREAS, the parties referenced in the title of this resolution wish to enter
into a Cooperation Agreement, described more fully and set forth in the
Cooperation Agreement attached hereto and made a part hereof; and
WHEREAS, the parties to the Cooperation Agreement have determined that it
is in the best interest of and will promote the health, safety, and welfare of the
citizens of the City of Wheat Ridge to execute this Agreement; and
WHEREAS, Section 14 2 of the Home Rule Charter of the City of Wheat
Ridge requires that all intergovernmental agreements entered into by the City be
approved by resolution
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Wheat Ridge, Colorado, as follows.
1. That certain Cooperation Agreement between the City of Wheat Ridge,
Colorado and the Wheat Ridge Housing Authority, attached hereto and made a part
hereof, is hereby approved
2. The Mayor and City Clerk are authorized to execute said Cooperation
Agreement.

COOPERATION AGREEMENT
THIS AGREEMENT is effective this April 9th of 2001, by and between the
CITY OF WHEAT RIDGE, COLORADO, a Municipal Corporation ("City"), and the
WHEAT RIDGE HOUSING AUTHORITY, a body corporate and politic of the State of
Colorado ("AUTHORITY"), together referred to as the "Parties"
WHEREAS, it is the intent of the parties to clarify the obligations while avoiding
unnecessary duplications of services, equipment and employees, to this end, this
Agreement provides for the Authority and the City to share resources including services,
equipment and personnel when the need of both entities can be served
ARTICLE I - DUTIES OF THE AUTHORITY
Section 1. Housinq Authority The Authority shall act as the City of Wheat
Ridge Housing Authority as specified under the Colorado Housing Authorities Law
(C RS 29-4-201 et seq ) as amended, and as established by Resolution The powers
of the Authority as established by law rest solely in the Authority and, unless otherwise
provided in this Agreement or by law, the Authority is not required to obtain City Council
approval for any action taken in the exercise of its powers.
Section 2. Recommendations made to City Council The Authority shall make
recommendations to the City Council regarding housing development! redevelopment
proposals and implementation strategies All recommendations shall include a fiscal
note and request for funding, if necessary
Section 3. Authority to Contract with Consultants Subject to a City Council
approved budget or other necessary appropriation of funds, the Authority shall be able
to contract with consultants or advisors to accomplish its duties related to the exercise
of Authority powers Nothing in this section shall be construed to subject the sole
discretion of the Authority over the substance or necessity of such contracts to the
approval of the City Council
ARTICLE 11 - EMPLOYEES
Section 1. Executive Director The City Manager or his/her designee shall be
assigned to work for the Authority while acting in its advisory capacity to the City
Council Such person also shall act as the Executive Director of the Authority The
Authority shall be responsible for and shall pay the City for all time expended by City
employees on Authority matters The annual amount to be paid by the Authority shall
be mutually agreed upon by the parties to this Agreement at the time of preparation of
the annual budget based upon the percentage of time spent by City employees for
Authority-related matters

Section 2. Recordinq Secretary The City, acting through the City Manager,
shall provide a recording secretary who will assist the Executive Director and Authority
to record meetings, assemble documents, duplicate reports and perform such other
clerical duties as the Authority shall assign
Section 3. City Emplovees Upon request of the Executive Director of the
Authority, employees may be assigned to work for the Authority While performing
services for the Authority, City employees shall coordinate their services with the
Executive Director and Authority Chair
Section 4. Authoritv Emplovees The Authority may retain the services of
additional staff for the Authority, if approved by the City Councilor included in a City
Council approved budget.
ARTICLE III - OTHER SERVICES
Section 1. The City may provide the Authority with such other services as may
be required to perform its public functions including, but not limited to legal, accounting,
treasury management, financing, procurement, budgetary matters, personnel services,
planning services, and engineering services, provided, however, that nothing herein
shall be construed as prohibiting the Authority from contracting with or retaining third
parties to provide all or a portion of any services related to the exercise of Authority
powers and included in a City Council approved budget or specifically approved by City
Council
ARTICLE IV - MEETING SPACE; FURNISHINGS
The City shall make available appropriate meeting space and equipment to the
Authority All furnishing, equipment, and supplies for the Authority shall be acquired by
the City of Wheat Ridge subject to a City Council approved budget. All furnishings,
equipment, and supplies acquired by the Authority shall become the property of the City
subject to the dissolution of the Authority
ARTICLE V - COMPLIANCE WITH LAW
Section 1. City Codes All projects of the Authority are subject to the planning,
zoning, sanitary and building laws, ordinances, and regulations of the City
Section 2. State and Federal Law The Authority shall comply with applicable
state and federal law and regulations in performing its function

ARTICLE VI - AMENDMENT
This Agreement may be amended by the mutual consent of the parties at any
time after giving at least thirty days written notice of intention to do so, provided,
however, amendment of this Agreement shall not release the Authority from its
obligation to pay the funds due to the City as provided herein, unless such obligations
are specifically terminated by the City Notice to and from the City and the Authority
shall be submitted to the City Manager of the City, 7500 West 29th Avenue, Wheat
Ridge, Colorado
The parties have executed this Agreement effective on the date first above
written
