A G R E E MEN T
TIlis Agreement made this~day of July, 1971, by
PETROLEUM FACILITIES, INC., a Delaware corporation, and RALPH E. HALL, JR.,
(hereinafter called "Hall"),
WITNESSETH:
WHEREAS, Hall is the record owner in fee simple of the following-
described real property located in the County of Jefferson, State of Colorado:
A tract or parcel of land situated in the Southwest Quarter
of Northwest Quarter (SH\;NW~) of Section Twenty-Two (22),
Township Three (3) South, Range Sixty-nine (69) West, more
particularly described as follows:
Beginning at a point on the East boundary line of Kipling
Street being 396 feet North and 40 feet East of the South-
west corner of the NW~ of Section 22, Township 3 South,
Range 69 West, Corner No.1; thence East and parallel to
the South boundary line of West 44th Avenue a distance of
90 feet to the SW corner of that certain tract or parcel of
land described in the warranty deed recorded in Book 964 at
Page 494, being Corner No.2; thence North along the West
boundary of that certain tract or parcel of land described
in the warranty deed recorded in Book 964 at Page 494 a dis-
tance of 150 feet more or less to a point on the South boun-
dary of West 44th Avenue, being Corner No.3; thence West
along the Southern boundary of West 44th Avenue a distance of
90 feet to the east boundary line of Kipling Street, being
Corner No.4; thence South along the east boundary line of
Kipling Street a distance of 150 feet more or less to Corner
No.1, the point of beginning.
and,
WHEREAS, Hall is the successor lessor by assignment and Petroleum
Facilities, Inc., a Delaware corporation, is the successor lessee by assignment
of the above-described real property under that certain Lease dated April 18,
1960, as amended January 18, 1961, which Lease as amended remains in full
force and e=fect; and,
WHEREAS, the aforesaid assignment of Lease to Petroleum Facilities,
Inc., was effected by virtue of an "Assignment of Lease" dated April 29, 1961,
and recorded April 24, 1962 in the office of the Jefferson County Clerk and
Recorder in Book 1470 at Page 336, wherein the California Oil Company assigned
the Lease to Petroleum Facilities, Inc., which "Assignment of Lease" remains
in full force and effect; and,
WHEREAS, the City of Wheat Ridge, State of Colorado, requires immediate
possession of a parcel of land within the above-described real property, containing

32 square feet, more or less, for the purpose of highway construction, which
parcel of land is described as follows:
A tract or parcel of land containing 32 square feet more or less,
situated in the Southwest 1/4 of the Northwest 1/4 of Section 22,
Township 3 South, Range 69 West of the 6th Principal Meridian in
the City of IVheat Ridge, County of Jefferson, Colorado, described
as follows:
Beginning at a point which is the Northwest property corner being
East along the south line of the NW~ of Section 22 a distance of
40 feet and North parallel with the West line of the NW~ of Section
22 a distance of 546 feet from the SW corner of the NW!4 of Sec. 22,

1. Thence Easterly along the north property line a distance
of 8.0 feet;

The above described parcel contains 32 square feet more or less.

WHEREAS, the City of Wheat Ridge, State of Colorado, in conjunction
with its acquisition of the above-described parcel of land, requires that the
parcel be released from the terms, conditions and obligations of the aforesaid
"Assignment of Lease" dated April 29, 1961.
NOW, THEREFORE, for and in consideration of the mutual covenants
herein contained, the parties hereto agree as follows:
1. Petroleum Facilities, Inc. hereby releases the following- des-
cribed parcel of land from the terms, conditions and obligations of the Lease
dated April 18, 1960 as amended January 18, 1961, and the "Assignment of Lease"
dated April 29, 1961 and recorded April 24, 1962 in the Office of the Jefferson
County Clerk and Recorder in Book 1470 at Page 336:
A tract or parcel of land containing 32 square feet more or less,
situated in the Southwest 1/4 of the Northwest 1/4 of Section 22,

and effect and binding upon all parties thereto.
