Exhibit C attached hereto providing for (i) the, Phase I description of the subdivision
work serving Lot 2 in the amount of $886,094; (ii) the Phase H description of the
subdivision work in the amount of $427,080, and the Phase M subdivision work (40
Avenue traffic signal) in the amount of $347,170.

Center North, upon completion of the Phase I subdivision infi and upon
completion of Lot 2 building improvements as the same are permitted, inspected and
approved by the City, shall be authorized to receive a Certificate of Occupancy for
said Lot 2 improvements.
