TITLE: A RESOI,UTI ON AUTHOR I ZING AN INTERGOVERNMENTAL 1,GREEMENT
WITH THE CITY OF ARVADA FOR THE OVERLAY OF A PORTION
OF RIDGE ROAD BE'I'WEEN KIPLING AND SIMMS S'I'REETS
WHEREAS, Section 14.2 of the Home Rule Charter of Wheat
Ridge provides express authority to enter into intergovernmental
agreements providing for cooperative efforts between governments;
and
WHEREAS, The City of Arvada is doing an asphalt
Ridge Road from Kipling to Simms Street, incluc1ing
partially within the City of Wheat Ridge; and

WHEREAS, in order to insure that the overlay costs for the

an intergovernmental agreement with the City of Arvada.
NOW, 'l'HEREFORE, BE IT RESOLVED that:
Sec. 1. The Mayor of the City of Wheat Ridge is hereby
authorized to execute an intergovernmental agreement with the
City of Arvada for overIaying the City of Wheat Ridge owned
segment of Ridge Road between Kipling and Simms Streets.
Sec. 2. That all costs associated with this overlay be
charged to Capita I Fund Account No. 30-303-851.

INTERGOVERNMENTAL AGREEMENT BETWEEN
THE CITY OF ARV ADA AND
THE CIn OF WHEAT RIDGE FOR
STREET RESURFACING ON RIDGE ROAD

THIS AGREEMENT, dated for reference purposes only this /1 --- day of
,/)) ) J;,-(~ , 1990, is entered into by and between the City of Arvada,
Colorado ("Arvada"J, and the City of Wheat Ridge, Colorado ("Wheat Ridge").
WITNESSETH
WHEREAS, Part 2 of Article I of Title 29, C.R.S., permits and encourages
local governments to make the most efficient and effective use of their powers
and responsibilities by cooperating and contracting with local governments in
order to provide any lawfully authorized function, service or facility, and
WHEREAS, Arvada desires to arrange for resurfacing and repair of Ridge Road
from Simms Place to Kipling Street; and
WHEREAS, Arvada and Wheat Ridge are mutually responsible for maintenance of
Ridge Road; and
WHEREAS, the total length of street resurfacing proposed is 5,624 feet with
2,870 feet situate in Arvada and the remaining 2,754 feet in Wheat Ridge; and
WHEREAS, Arvada is under contract with Western Paving Construction Company
for its annual Street Resurfacing and Repair program, City Project No. 90-ST-01
and has arranged for inclusion of Ridge Road resurfacing in this project.
NOW THEREFORE, in consideration for the making and performance of the mutual
promises and covenants contained herein the parties agree as follows:
1. Responsibility of Arvada
Arvada shall perform 24 foot width street resurfacing on Ridge Road from
Kipling Street to Simms Place under Project 90-ST-01. Said resurfacing and
preparatory work therefore shall include minor street patching, geotextile fabric
installation and 2 1/2 inch average depth resurfacing at a total estimated cost
not to exceed $52,470.40 with Wheat Ridge's share not to exceed $25,694.08. See
Exhibit "A".
2. Responsibility of Wheat Ridge

Wheat Ridge shall reimburse Arvada an amount not to exceed $25,694.08 upon
satisfactory completion of the work described herein.
4. Authorized Representatives
Arvada designates James Root, City Engineer, as its authorized
representative. Wheat Ridge designates John Oss, Senior Project Engineer, as its
authorized representative.
5. Cooperation
Arvada and Wheat Ridge will cooperate in the scheduling of the work, and in
supervision and review when applicable.
6. Warranty
The parties agree that any contracts awarded for the performance of the work
described in Sections 1 and 2 above, shall require that the work be warranted by
the contractor for one year and that surety be provided for enforcement of this
warranty.
7. Third Party Claims or Suits
Arvada and Wheat Ridge agree that in the event any claim or suit is brought
against either or both cities by any third party as a result of the operation of
this agreement, that both parties will cooperate with each other, and with the
insuring entities of both cities, in defending such claim or suit.
8. Termination
This agreement shall terminate upon the completion of the work and payment
therefore on or before December 31, 1990, whichever shall first occur.
9. Amendment
This instrument contains the entire agreement between the parties, and no
statement, promises, or inducements made by either party or agent of either party
that is not contained in this written Agreement shall be valid or binding; this
agreement may not be modified except in writing, signed by the parties and
endorsed on this Agreement.
IN WITNESS WHEREOF, the parties have hereto set their hand and seal on the
dates so indicated below.
