INTERGOVERNMENTAL AGREEMENT THIS AGREEMENT MADE AND ENTERED INTO THIS DAY OF ,1990, by and between the City of Wheat Ridge, with offices at 7500 West 29th Avenue, Wheat Ridge, Colorado, a Home Rule Municipality within the County of Jefferson, state of Colorado, herelnafter referred to as "Wheat RLdge" and the TOwn of Lakeside. with offices at Colorado, a HOME RULE municipality within Jefferson, State of Colorado, hereinafter r~ferred to Wheat Ridge and Lakewood hereinafter referred to the as as County of "Lakeside" ; "Parties". WITNESSETH THAT: WHEREAS, Sections 29-1-201 and 29-1-203 Colorado Revised Statutes, 1972, as amended, permit and encourage governments to make the most efficient use of their powers and responsibilities by cooperating and contracting with other governments to provide authorized service5; and, WHEREAS, Wheat Ridge and Lakeside desire to jointly reconstruct the traffic signal at West 44th Avenue and Harlan Street, hereinafter sometimes referred to as the "Project"; and, WHEREAS. Parties desire to cooperate to the fullest extent possible to ensure that the planning, engineering and construction of the traffic signal reconstruction is accomplished according to the mutual deslres of each party for the best interests of their respective cltizens. ". "t 2. Wheat Ridge agrees to design. advertise, and construct said reconstruction as part of the 1990 Traffic Signal Replacement Program in accordance with the mutual desires of Parties. 3. Parties agree that the project costs shall be split based upon the portion of the traffic signal installation within the bound- ar~e5 of the respective parties. The project costs shall consist of the following: A. Construct1on costs as incurred by the lowest qualified bidder. B. Lakeside's costs associated with the Project shall be the lesser of actual construction costs or $17,500.00. share either 5. Wheat Ridge will initially bear the full C05t of the Project. Opon completion of the Project, Lakeside shall reimburse Wheat Ridge for its share of the Project costs, as outlined in Section 4. 6. Wheat Ridge agrees to jointly contract with a licensed and reputable contractor for the traffic signal reconstruction. 7. Wheat Ridge agrees to be responsible for the administration of the construction contracts according to applicable state and federal laws. Lakeside agrees to assist as needed or requested to accomplish such administration. 8. Wheat Ridge agrees to advertise for construction bids, con- duct a formal bld opening, prepare formal contract documents, and award construction contracts. The construction documents shall be subm~tted to Lakeside for approval prior to bid opening and any adden- dum thereto shall be submitted to Lakeside for review prior to issu- ance of the addendum and award of the contract. Lakeside shall be allowed to review all bids submitted and a contract shal1 not be awarded wkthout prior approval by both Parties. 9. Wheat Ridge agrees to prepare and issue all written change or work order~/to the~onstruction contracts with Lakeside's approval. VV~d- X;:d~~ w// I 10. Parties agree that each shall own the improvements located wlthin their respectkve jurisdictions. Wheat Ridge shall continue to provide maintenance of the portion of the traffic signal within Lakeside's jurisdiction. 12. Parties agree that the contractor to whom-"~e Project is awarded shall be required to carry, at a minimum, adequate workers compensa~on, casualty and liability insurance in amounts mutually 13.
