TITLE:
RESOLUTION APPROVING INTERGOVERNMENTAL AGREEMENT BETWEEN
THE CITY OF WHEAT RIDGE, AND JEFFERSON COUNTY FOR
ASSISTANCE IN CONSTRUCTION IMPROVEMENTS OF YOUNGFIELD
SERVICE ROAD
WHEREAS, the parties referenced in the title of this
resolution wish to enter into an agreement to jointly rehabilitate
the Youngfield Service Road, hereinafter sometimes called the
Project; and
WHEREAS, Wheat Ridge is currently constructing a roadway
project relating to the relocation of the Youngfield Service Road
in the vicinity of W. 32nd Avenue; and
WHEREAS, in the spirit of cooperation, the County has
offered to supply and place hot bituminous pavement to the project
at a cost of $14.51 per ton; and
WHEREAS, the parties to the Agreement have determined
that it is in the best interest of and will promote the health,
safety, and welfare of each of the parties' citizens to execute
this Agreement; and
WHEREAS, section 14.2 of the Home Rule Charter of the
City of Wheat Ridge requires that all intergovernmental agreements
entered into by the City be approved by resolution;
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Wheat Ridge, Colorado, as follows:
1. That certain Intergovernmental Agreement between the
city of Wheat Ridge, Colorado, and the County of Jefferson, which
is attached hereto, is hereby approved.
2. The Mayor and City Clerk are authorized to execute
said Intergovernmental Agreement.

INTERGOVERNMENTAL AGREEMENT
THIS AGREEMENT MADE AND ENTERED INTO THIS DAY OF
1996, by and between the City of Wheat Ridge, with
offices at 7500 WEST 29TH AVENUE, WHEAT RIDGE, COLORADO 80215-
6713, a Home Rule Municipality within the County of Jefferson,
state of Colorado, hereinafter referred to as "Wheat Ridge", and
JEFFERSON COUNTY, with offices at 100 JEFFERSON COUNTY PARKWAY,
GOLDEN, COLORADO 80419-5533, state of Colorado, hereinafter re-
ferred to as "the County, Wheat Ridge and the County hereinafter
sometimes referred to as the "Parties".
WITNESSETH THAT:
WHEREAS, Sections 29-1-201 and 29-1-203 Colorado Revised sta-
tutes, 1972, as amended, permit and encourage governments to make
the most efficient use of their powers and responsibilities by
cooperating and contracting with other governments to provide
authorized services; and
WHEREAS, Wheat Ridge is currently constructing a roadway project
relating to the relocation of the Youngfield service Road in the
vicinity of West 32nd Avenue; and

WHEREAS, In the spirit of cooperation, the County has offered to
supply and place hot bituminous pavement to the project at a cost
of $14.51 per ton; and
WHEREAS, the Parties desire to cooperate to the fullest extent
possible to ensure that the construction of the project are
accomplished according to the mutual desires of each party for
the best interests of their respective citizens.
NOW, THEREFORE, in order to accomplish the above stated desires,
and in consideration of the mutual covenants and promises herein
set forth, the Parties agree as follows:
1. Wheat Ridge has awarded a construction contract to Wycon
Construction to construct improvements related to the Project.
Construction relating to the roadway work is expected to begin
the week of February 26th.
2. Weather permitting, the contractor expects to have the road-
way ready for placement of pavement material in late March/early
April.
3. Wheat Ridge is providing constru~ion administration,
observation, inspection to the project. Wheat Ridge will
coordinate construction activities between Wheat Ridge's
contractor and the County and will give the County at least 10
working days advance notice prior to placement of pavement mate-
rial.
4. The City's contractor will prepare the roadway and related
facilities prior to placement of Hot Bituminous Pavement. The
City's contractor will provide access and traffic control during
placement of pavement material by the County.
5. The County agrees to supply and place hot bituminous pavement
material at the rate of $14.51 per ton. Load tickets indicating
the net weight of pavement material will be supplied to the city
with each truck load of pavement material delivered to and ac-
cepted for placement in the Project.
6. The County agrees to place the hot bituminous pavement
material in accordance with current CDOT (as modified by the
city) specifications. compaction of the pavement material will
be 95% of job mix specification. The County shall have no
further responsibilities related to the roadway or the roadway's
overall performance.

7. Wheat Ridge agrees to pay the County for quantity of hot
bituminous pavement delivered to and incorporated into the Pro-
ject. The quantity will be based upon the load tickets described
in number 4 above. Payment will be made within 30 days of
placement of the pavement material.
8. The city has encumbered $29,020.00 during authorization of the
Construction Contract for the Project to defray the cost of the
County supplied pavement material.
9. The parties agree that Wheat Ridge shall own the improvements
located in the relocated Youngfield Service Road.
10. Each Party shall be responsible for its own negligent acts.
Wheat Ridge shall be solely responsible for the design, construc-
tion, inspection and administration of said Project, and shall be
solely responsible for any liability resulting from or relating
to said design, construction, inspection and administration of
said Project. Each Party shall reimburse the other Party for any
costs, expenses or legal fees that either Party may incur for any
liability resulting from the negligent acts of the other Party.
This section shall not be construed as a waiver of the
governmental immunity of either party.
11. This Agreement embodies the entire understanding of the
Parties and shall be deemed to be a contract extending and bind-
ing upon Parties hereto, their representatives, agents, adminis-
trators, successors and assigns.
