TITLE:
A RESOLUTION APPROVING AN AGREEMENT OF
COOPERATION BY AND BETWEEN APPLEWOOD
BUSINESS ASSOCIATION, THE CITY OF WHEAT
RIDGE, ENTERPRISE WHEAT RIDGE, JEFFERSON
COUNTY, JEFFERSON COUNTY SCHOOL DISTRICT,
JEFFERSON ECONOMIC COUNCIL, THE WEST
CHAMBER AND WHEAT RIDGE 2020, INC.
WHEREAS, this Agreement of CooperatIOn (Exhibit A) IS made to promote
cooperation, collaboration, mutual advocacy, and coordination among the Parties to facilitate
effective community, business and economic development within the City of Wheat Ridge; and
WHEREAS, the parties recogmze that coordination of mterrelated functIOns, goals,
programs and policies, IS necessary to effectuate and promote effective community, business,
government and economic development, and prosperity within the City of Wheat Ridge; and
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Wheat Ridge, Colorado, that the Agreement of Cooperation By and Between Applewood
Business Association, the City of Wheat Ridge, Enterprise Wheat Ridge, Jefferson
County, Jefferson County School District, Jefferson Economic Council, the West
Chamber, and Wheat Ridge 2020, Inc. be hereby approved.

AGREEMENT of COOPERA TION
This AGREEMENT ("Agreement") is made this day
of , 2006 ("Effective Date") by and between APPLEWOOD BUSINESS
ASSOCIATION, THE CITY of WHEAT RIDGE, ENTERPRISE WHEAT RIDGE,
JEFFERSON COUNTY, JEFFERSON COUNTY SCHOOL DISTRICT, JEFFERSON
ECONOMIC COUNCIL, THE WEST CHAMBER, AND WHEAT RlDGE 2020, INC.;
(collectively herein defined as, the, "PARTIES"), is made to promote cooperation,
collaboration, mutual advocacy, and coordination among the PARTIES to facilitate
effective community, business and economic development within the City of Wheat
Ridge.
BACKGROUND
WHEREAS, the PARTIES to this agreement are stake holders in the Wheat Ridge
community, promoting public services, business services, community and economic
development, and municipal functions; and
WHEREAS, each PARTY to tlus agreement has specific areas of interest related
to thelf mdlVidual missions, corporate or municipal function, and the memberships or
CItizens they serve, and
WHEREAS, many ofthe functIOns of the PARTIES are interrelated, and
WHEREAS, the PARTIES recogmze that coordmation of these mterrelated
functIOns, goals, programs and poliCIes, is necessary to effectuate and promote effective
community, business, government and economic development, and prospenty WIthin the
City of Wheat Ridge, and
WHEREAS, the PARTIES desire to engage with each other in an offiCial
capacity, developing a bmdmg relationship, to assert coordmation and collaboratIOn, and
WHEREAS, this relatIOnshIp WIll enable the PARTIES to share information,
coordmate and leverage resources, and collaborate with each other to promote a positive
atmosphere m Wheat Ridge for public services, business services, community and
economic development, and muniCipal functions; and
NOW THEREFORE, in consideration of the mutual covenants set forth herein,
the PARTIES agree to work together in cooperation and with a collaborative spirit to
effectuate and promote effective community, business, government and economic
development, and prosperity within the City of Wheat Ridge, and enter into this
AGREEMENT in accordance with the following:

I The recitals set forth above are incorporated herein by reference.
2. The PARTIES shall provide representation to regularly scheduled meetings,
devoted to promoting a positive atmosphere in The City of Wheat Ridge for
public services, business services, community and economic development,
and municipal functions.
3. The PARTIES shall inform each other as to policy, opportunities, programs
and projects that concern or have impact within the CIty of Wheat Ridge,
within a context that does not breach, or compromise any ofthe PARTIES'
corporate and mUlllcipal functions, policies, governing by-laws or
imitations associated with confidentiality, for the purposes of knowledge
sharing, collaboration and cooperation.
4. The PARTIES shall engage to leverage their individual functions to promote
greater effectiveness of each function within the City of Wheat Ridge.
5 ThIS AGREEMENT does not relinquish any individual rights or mterests of
each PARTY
IN WITNESS WHEREOF, the Parties hereto, mtendmg to be legally bound hereby,
