RESOLUTION NO. 10

TITLE:
A RESOLUTION DISCLAIMING ANY INTEREST OF CITY
IN LOT 2, INDEPENDENCE BUSINESS PARK SUBDIVISION,
1ST AMENDMENT, JEFFERSON COUNTY, COLORADO
WHEREAS, On May 1, 2001, the City entered into an agreement with 5000
Independence Street LLC, the owner of a parcel of real property in the City; and
WHEREAS, a portion of the property (Lot 1) is a commerciallindustrial property; and
WHEREAS, the remaining portion (Lot 2) is a lake adjacent to Clear Creek; and
WHEREAS, the Agreement contained two (2) provisions: First, a settlement on payment
of use taxes owed by Star Guide, a prior owner of the property. That provision has been fully
complied with; and
WHEREAS, the second provision of the Agreement grants a "Right of First
Opportunity" to the City to acquire Lot 2. This right expires six (6) months after the City fails to
exercise it, after notice trom the owner, or if the owner sells Lot 1; and
WHEREAS, the owner intends to sell Lot 1 together with Lot 2. Because of this, the
Right of First Opportunity will expire.
NOW, THEREFORE, BE IT RESOLVED by the Wheat Ridge City Council:
Section 1. The City Council, acting on behalf of the City of Wheat Ridge, Colorado
hereby disclaims any right, title, or interest in the following real property arising in any respect
from the Agreement for Resolution of Use Tax Claims between 5000 Independence Street LLC
and the City of Wheat Ridge, dated May 1, 2001:
Lot 2, INDEPENDENCE BUSINESS PARK SUBDIVISION, First
Amendment, City of Wheat Ridge, Jefferson County, Colorado.
Section 2. This Resolution shall be effective upon adoption.
